Osirium End User Software License Agreement

OPEN SOURCE LIBRARIES - The Software incorporates and makes use of a number of open source libraries which are subject to additional license terms. The details of each licence for each library can be found at: https://osirium.com/eula. You acknowledge that use of the software is subject to the following terms as well as the relevant licence terms for each open source software library you use.

BY AFFIRMING ACCEPTANCE OF THE TERMS OF THIS SOFTWARE LICENSE, YOU SIGNIFY YOUR AGREEMENT TO EACH AND EVERY TERM AND CONDITION SET FORTH IN THIS LICENSE AGREEMENT.

1. GRANT OF LICENSE - Osirium grants you a non-exclusive non-transferable license for the term as set out in the relevant Purchase Order with the following rights and obligations:

Software. You may install, use, access, display, run, or otherwise interact with (RUN) a high-availability (HA) pair on a computer(s), virtual machine(s), server(s), workstation, terminal (COMPUTER).

Storage/Network Use. You may also store or install an HA copy of the SOFTWARE on a storage device, such as a network server, used only to RUN the SOFTWARE on your other COMPUTERS over an internal network; however, you must acquire and dedicate an HA license for each HA COMPUTER configuration on which the SOFTWARE is RUN from the storage device.

License Use. This Licence is limited to the use of the Licensed Programs by the number of Users and for deploying the number of Devices specified in the Customer Order Acknowledgement. Customer acknowledges that an additional licence fee is payable for additional Users and Devices in accordance with the Osirium price list.

Termination and Expiry. We may terminate this Licence immediately by written notice to you if you commit a material or persistent breach of this Licence which you fail to remedy (if remediable) within 14 days after the service on you of written notice requiring you to do so.

This Licence will automatically expire at the end of the term (which is set out in the relevant Purchase Order).

Upon expiry or termination for any reason:

(a) all rights granted to you under this Licence shall cease;

(b) you must cease all activities authorised by this Licence; and

(c) you must immediately delete or remove the Software from all computer equipment in your possession and immediately destroy or return to Osirium (at Osirium's option) all copies of the Software then in your possession, custody or control and, in the case of destruction, certify to Osirium that you have done so.

2. INTELLECTUAL PROPERTY RIGHTS - All title and intellectual property rights in and to the software are owned by Osirium or its suppliers. All rights not expressly granted are reserved by Osirium.

3. RESTRICTIONS ON USE -  You may not rent, lease, distribute, sublicense or otherwise transfer the Software to any third party. You may not reverse engineer, disassemble or create derivative works of the Software. You may not use any of the software components within Osirium for any other purpose than running Osirium software.

4. WARRANTY DISCLAIMER - The Software is supplied 'as is' without warranty of any kind whether express or implied. Osirium and its suppliers will not in any event be liable for any loss, including consequential loss, arising out of or in any way related to the use of or inability to use the software. In any event liability shall be limited exclusively to the amount of the License fee paid.

In no event does Osirium authorise you to use Osirium in applications or systems where failure to perform can reasonably be expected to result in significant physical injury, or in loss of life. Any such use by you is entirely at your own risk, and you agree to hold Osirium and its suppliers harmless from any such claims or losses relating to such unauthorised use.

5. END USER COMMUNICATIONS - Osirium reserves the right at all times to communicate with the End-User by post, email or telephone for the purposes of; product updates, technical support, license audits and general commercial purposes.

6. GENERAL - This license is the complete statement of the agreement between the parties on the subject matter and supersedes all other or prior understandings, purchase orders, agreements and arrangements. This license shall be governed by the laws of England.
