This agreement constitutes the transfer of EQM AUTOMOTIVE SCM SOLUTION to THE CUSTOMER of the computer program named Microsoft® Dynamics 365 for F&SCM for the management of the company in pay-per-subscription model, whose technical specifications and terms of use are attached in this document, and in the assignment of the EQM verticals that are included in the implementation proposal. Regarding the software and for the purposes of this agreement, the source code, design and all elements or components necessary to run the EQM application and verticals are included in the assignment. 

The assignment to THE CUSTOMER of the license to use the software indicated above owned by Microsoft®, and the assignment to THE CUSTOMER of the EQM AUTO SCM Solution indicated above owned by EQM, are made under the following conditions:

a) Inter-transmissibility: The CUSTOMER is expressly prohibited from transferring, assigning, transferring, leasing, selling or under any other form transmitting in whole or in part the right of use the object and EQM AUTO SCM Solution of this contract, unless written and expressly authorized by EQM.

b) Limited scope: The license subject to this agreement only authorizes CUSTOMER to use the Microsoft® Dynamics 365 for F&SCM application with EQM AUTO SCM Solution. Although CUSTOMER has the right to use the inherent components of the software subject to the contract, customer may not install, copy, modify or otherwise use the source code or any other elements owned by Microsoft®, relating to Microsoft® Dynamics 365 for F&SCM licenses, such as classes or components, that are hosted in the software ceded for use and also the EQM AUTO SCM Solution, owned by EQM.

c) Copyright Ownership: Intellectual property rights in the software are not transferred.
