Terms of Use In exchange for payment of applicable Licensee fees, Xytech grants to Licensee a non-exclusive, non-transferable, perpetual right and license for the use of the MediaPulse Software, “MediaPulse”, exclusively for Licensee’s internal business operations. Licensee expressly agrees not to disassemble, decompile, reverse engineer or modify the MediaPulse except as authorized by Xytech in writing. Licensee agrees to not bypass or alter software systems encoding or licensing technologies. Licensee further agrees not to remove any product identification, copyright, trademark, or other proprietary notices from MediaPulse and to include all such notices in any back up and archive copies thereof made by Licensee. Licensee may not copy or otherwise reproduce MediaPulse in whole or in part, except for internal archival and/ back-up copy and disaster recovery purposes. Licensee shall not transfer, outsource, provide or otherwise make available MediaPulse to a third party without the prior written consent of Xytech. Licensee shall not transfer, ship or use MediaPulse outside Licensee’s facility where it was originally licensed without Xytech’s prior written approval, for which approval shall not be unreasonably withheld or delayed. Any Software license acquired by Licensee for access by or on behalf of the U.S. Government, its agencies and instrumentalities is provided to Licensee with RESTRICTED RIGHTS. Use, duplication or disclosure by the U.S. Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software Clauses at DFARS 52.227 7013 or subparagraphs (c)(1) and (2) of Commercial Computer Software - Restricted Rights at 48 CRF 52.227-19, as applicable.
