• Sela will not be held responsible to any damages that may be a result of customers’ shift to Azure and following such transformation. • Sela will not be responsible to any damages resulting from a Microsoft data center malfunction • The service is granted in the form of monthly resource hire. With no need for monthly confirmation, based on Microsoft’s service price list. • The monthly bill will be based on the actual customer’s Azure consumption in his CSP account, as reflected in the consumption summary sent by Microsoft. Sela will nit be responsible on the amount and cost of resources the client consumes. • Customers’ account will be debited charged automatically monthly under the same conditions, unless requested by the customer to terminate it by email to - CloudTermination@sela.co.il, 2 weeks prior to end of month. The service will be terminated on the last day of said month. • On the first month of service, payment and benefits will be calculated prorated. • The client approves Microsoft’s Customer Agreement on the following link. • Sela support package is an additional service (Appendix B) • The resources are given as a monthly rental. • At the end of every month, an invoice will be made based upon customer package and actual consumption. • Sela's expert support (over the phone) – will be reserved at least 1 working day in advance and will be debited per full hours (no partial hour support is available). • Frontal consulting (presale excluded) will be calculated as 8-hour day. • All benefits are calculated Yearly. If the client wishes to consume extra hours over the relative benefit, those hours will be billed. No benefits can be used based on future benefits. • Dollar billings will be charged in ILS based on the high exchange rate on the day of invoice issue, which will be the last day of every activity month. • All fees are due Net + 5 days. • Prices don’t include any tax if any. • This offer is valid for 30 days, based on the above specifications. • Prices and benefits may be updated from Jan 1st, 2022 (after coordination with the client) • All benefits ends on termination and resets after each colander year of the engagement.
