Terms and Conditions for use:

1. TCS Clever Energy™ is a TCS Proprietary Software for Energy Management.
2. Ownership rights to the base Intellectual Properties and its Derivative Works shall remain vested in TCS, at all the times.
3. Ownership rights to Customer Data will always vest in Customer
4. TCS shall grant Customer, a non-exclusive, non-sub licensable, non-transferable license during the License Term, to permit Customer and its authorized Users to use TCS Clever Energy™, only at permitted sites and in accordance with the terms and conditions more precisely described in “TCS PROPRIETARY SOLUTION TERMS OF USE” – The detailed terms of use will be shared in the contract.
5. TCS Clever Energy™ is a TCS Proprietary Software and will be delivered in object code only, including but not limited to derivatives, extensions, enhancements, customization, adapters, interfaces, improvements, and any other sub-components.
6. TCS Clever Energy™ may require use of other third-party software(s). Customer agrees to acquire the appropriate third-party product licenses directly. Customer undertakes to stay compliant to the applicable terms and conditions of such respective third parties, as applicable.
7. “TCS PROPRIETARY SOLUTION TERMS OF USE” are applicable from the contract start date, irrespective of when the usage / license fee payment was charged / paid and occurrence of any other business event.
