MAiS Subscription Agreement: USE OF SERVICES
All services are provisioned and delivered by MAiS as part of the Solution. Following the commencement of a POC or implementation, a primary subscription agreement and an applicable application form are completed, which includes the terms of service as below.

Subscriptions. Unless otherwise provided in the applicable Order Form, (a) Services are purchased as subscriptions, and (b) subscriptions may be added during a subscription term. If an Affiliate of Customer enters into an Order Form, such Affiliate will be bound by the terms of this Agreement as if it were an original party hereto and all references to Customers herein shall apply equally to such Affiliate. Notwithstanding the foregoing, Customer shall be responsible for any breach of this Agreement or any Order Form (including payment obligations) by any of its Affiliates.

Customer Responsibilities. Customer will assure User's compliance with this Agreement and obtain from any Consultant or Contractor who is a User a written agreement requiring such User (1) to protect Cazena's Confidential Information (as defined in Section 6.1) under obligations (2) use the Services in accordance with this Agreement in all respects, (b) be liable for any breach of this Agreement by any of its Affiliates or their respective Users, employees, consultants, contractors, agents or any third party to whom you or a Customer Affiliate has issued user identification and password or access granted to the Services, (c) is responsible for the accuracy, quality and legality of Customer Data and the means by which Customer acquired Customer Data, (d) make commercially reasonable efforts to unauthorized access or use of the Services, and notify MAiS promptly of any such disclaimer. access or use, and (e) use the Services only in accordance with applicable Documentation and laws and governmental regulations.

Restrictions on Use. You will not make the Services available or use the Services for the benefit of any person other than Customer or its Users, (b) sell, resell, license, sublicense, distribute, rent or lease the Services or include Services (c) use the Services to store or transmit infringing, defamatory, or otherwise unlawful or tortuous material, or to store or transmit material in violation of the privacy of third parties and / or property rights (d) use the Services to store or transmit malicious, harmful, or destructive viruses, worms, time bombs, Trojan horses or other computer codes, files, scripts, agents, programs, or similar forms, or use the Services to disrupt or maliciously prevent the operation of Third Party Systems, (e) interfere with or disrupt the integrity or (f) attempt to gain unauthorized access to the Services or its related systems or networks, (g) allow direct or indirect access to the Services or use them in such a way as to circumvent a limit of contractual use; (h) copy the Services or any part, feature, function or user interface, (i) frame or mirror any portion of the Services, except framing on Customer's own intranets or otherwise to Customers, for internal commercial purposes or as permitted in the Documentation, or (j) reverse engineering of the Services or any underlying software code. In addition to any other remedy available to MAiS, MAiS may immediately suspend Customer's use of the Service if MAiS reasonably believes that Customer is in violation of this Section.
