この度は、当社ソフトウェアをお求めいただき誠にありがとうございます。記録媒体の包装を開封される前に、又は、パスワード若しくはライセンスパックを使用される前に、本「ソフトウェア使用許諾契約書」を必ずお読みの上、ご使用条件をご理解ください。記録媒体の包装の開封又はパスワード若しくはライセンスパックの使用をもって、「ソフトウェア使用許諾契約書」の条件に同意し、ソフトウェアの使用許諾契約が成立したものとさせていただきます。条件にご同意いただけない場合には、記録媒体の包装を未開封のままで、又は、パスワード若しくはライセンスパックを未使用のままで、本製品のすべてを速やかにお買い求めの販売店にご返却くだされば、代金をお返しいたします。

ソフトウェア使用許諾契約書

株式会社日立ソリューションズ(以下「当社」といいます。)は、お客様に対し、下記のソフトウェア(以下「本ソフトウェア」といいます。)について、後記「ソフトウェアのご使用条件」により使用を許諾します。

ソフトウェアのご使用条件
(使用許諾)
第1条 お客様は、本ソフトウェアを「ソフトウェア一覧表」の「ライセンス許諾数合計」欄に記載の数の特定の装置においてのみ使用することができます。ただし、特定の装置が故障等で使用できない場合には、本ソフトウェアを一時的に他の装置で使用することができます。なお、「使用する」とは、コンピュータのRAM等の一時メモリに読み込むこと、又は、コンピュータのハードディスク等の固定メモリに組み込むことを意味し、以下同様です。
(使用条件)
第2条 お客様は、本ソフトウェアを、前条のライセンス許諾数合計の数の範囲内で複製することができます。
2.お客様は、前項に定める複製の目的のために本ソフトウェアをお客様の内部ネットワーク内のネットワークサーバ等の装置に複製することができます。この場合、当該ネットワークサーバ等の装置の複製ソフトウェアが前項の複製の目的のためにのみ使われている限り、当該ネットワークサーバ等の装置への複製は前条に定める「使用する」ことには含まれないものとします。
3.前2項に定めるほか、お客様は本ソフトウェアをバックアップの目的で複製することができます。
4.前3項の規定に基づき複製された本ソフトウェアの取扱いは原本の取扱いと同一とし、お客様は、本ご使用条件の定めに従ってのみ取り扱うとともに、その複製ソフトウェアのすべてに原本と同一の表示を行うものとします。
5.お客様は、本ソフトウェアの全部又は一部を逆アセンブル又は逆コンパイルすることはできません。また、それらの行為を第三者に行なわせることはできません。
6.お客様は、本ソフトウェアの全部若しくは一部を改変し、又は、他のプログラムと結合してはならないものとします。
7.お客様は、本ソフトウェアを固定している記録媒体を廃棄する場合には、固定された本ソフトウェアをあらかじめ復元不可能な状態に消去、削除その他の消滅の措置を必ず講ずるものとします。
(責任の制限)
第3条 本ソフトウェアの記録媒体に物理的な不具合があった場合で、お客様が本ソフトウェアを購入されてから1か月以内に当社に書面で申出をされたときは、本ソフトウェアを無償で交換いたします。
2.当社及び本ソフトウェアの著作権者は、前項に定める場合を除き、本ソフトウェアに関するいかなる損害、請求その他の責任についても一切責任を負わないものとします。
(権利の譲渡)
第4条 お客様は、本ソフトウェアを第三者に対し、有償であると無償であるとを問わず、譲渡、使用許諾その他の方法で使用させてはならないものとします。ただし、お客様は、お客様の責任で第三者に本ご使用条件を遵守させること、お客様が本ソフトウェアを使用する権利を放棄すること、及び、お客様が第2条第1項乃至第3項の規定により複製されたソフトウェアをすべて復元不可能な状態に消去、削除その他の消滅の措置を必ず講ずることを条件として、本ソフトウェアを関連資料とともに第三者に譲渡することができるものとします。
(輸出管理)
第5条 お客様が当社から購入・使用許諾により提供を受ける本ソフトウェアの全部若しくは一部を単独で、又は、他の製品と組み合せ、若しくは他の製品の一部として、直接又は間接に次の各号に該当する取扱いをする場合には、お客様は、「外国為替及び外国貿易法」の規制及び米国輸出管理規則等外国の輸出関連法規を確認の上、必要な手続をとるものとします。
(1)輸出するとき。
(2)海外に持ち出すとき。
(3)非居住者へ提供し、又は、使用させるとき。
(4)前3号に定めるほか、「外国為替及び外国貿易法」又は外国の輸出関連法規に定めがあるとき。
(使用の終了)
第6条 お客様が本ご使用条件に違反した場合には、当社は、お客様の本ソフトウェアの使用を即時に終了させ、お客様に対して本ソフトウェアを直ちに復元不可能な状態に消去、削除その他の消滅の措置を講ずるよう求めることができるものとします。この場合において、お客様は、当社の要求に基づき、本ソフトウェアを直ちに復元不可能な状態に消去、削除その他の消滅の措置を講じた旨の証明書を当社に対して提出するものとします。
2.前項の場合において、当社は使用料をお客様に返還いたしません。
(追加条件書の取扱い)
第7条 本ソフトウェアに追加の使用条件がある場合、かかる追加の使用条件を定めた「ソフトウェア使用追加条件書」が併せて適用されるものとし、「ソフトウェア使用追加条件書」に本ご使用条件と異なる定めがある場合は「ソフトウェア使用追加条件書」の定めが優先して適用されるものとします。
(暴力団等の排除)
第8条 お客様は、現時点及び将来にわたって、自己が次の各号のいずれにも該当しないことを表明し、又は確約するものとします。
(1)暴力団、暴力団員、暴力団準構成員、暴力団関係企業、総会屋、社会運動等標ぼうゴロ、特殊知能暴力集団その他これらに準ずる者(以下総称して「反社会的勢力」といいます。)であること、又は反社会的勢力であったこと。
(2)反社会的勢力が経営を支配していること。
(3)代表者、責任者又は経営に実質的に関与している者が反社会的勢力であること。
(4)自己又は第三者の不正の利益を図る目的をもってするなど反社会的勢力を利用していると認められる関係を有すること。
(5)反社会的勢力に対して資金等を提供し、又は便宜を図るなど反社会的勢力に利益を供与していると認められる関係を有すること。
(6)反社会的勢力と密接に交際をするなど社会的に非難されるべき関係を有すること。
(7)暴力的又は法的な責任を超えた不当な要求行為を行うこと。
(8)取引に関して脅迫的な言動をし、又は暴力を用いる行為を行うこと。
(9)風説を流布し、又は偽計若しくは威力を用いて、相手方の信用を毀損し、又は相手方の業務を妨害する行為を行うこと。
2.お客様が前項の表明又は確約のいずれかに違反した場合、当社は通知その他の手続を要しないで、本契約の全部又は一部を解除することができ、解除により生じた損害の賠償をお客様に請求できるものとします。また、係る解除によりお客様に生じた損害について、当社は賠償義務を負わないものとします。
(準拠法及び紛争解決方法)
第9条 本契約は日本法に準拠するものとし、本契約に関する一切の紛争については、東京地方裁判所のみを管轄裁判所として処理するものとします。

ソフトウェア使用追加条件書
お客様へのお願い

本ソフトウェア使用追加条件書(以下「本追加条件書」といいます。)は、ソフトウェア使用許諾契約書(以
下「使用許諾契約書」といいます。)の「ソフトウェアのご使用条件」に次の各項の追加又は変更を加える
ものです。本追加条件書の定めと使用許諾契約書の定めが異なる場合には、本追加条件書の定めが優先され
ます。

3.お客様は、項番14のオープンソースソフトウェアのソースコードを入手することができます。入手方
法は、各オープンソースソフトウェアのホームページをご参照ください。
4.当該オープンソースソフトウェアについては、別途著作権その他の権利を有する第三者の知的財産であ
り、現状のままで提供するものです。また、無償での使用許諾であり、当社及び当該オープンソースソフト
ウェアの権利を有する第三者は、当該オープンソースソフトウェア及びその使用または使用不能に関して生
じたいかなる損害についても、一切の責任を負わないものとします。

5.当該オープンソースソフトウェアについては、別途著作権その他の権利を有する第三者の知的財産であ
り、現状のままで提供するものです。また、無償での使用許諾であり、当社及び当該オープンソースソフト
