Nokia Digital Automation Cloud Agreement This Nokia Digital Automation Cloud (“NDAC” or Nokia DAC”) Agreement, together with any schedules and attachments (the "Agreement") is made and entered into by and between Nokia Innovation US LLC, a Delaware limited liability company, [or Nokia Canada in Canada] ("Nokia") and ("Customer") (each a “Party” and collectively, the “Parties”). This Agreement is effective on the earlier of: (i) the date when Customer signs this Agreement; or (ii) the date on when Customer first uses for the first time the Nokia DAC Service (as defined in Section 2) (the “Effective Date”). In consideration of the promises contained herein, the Parties agree as follows: 1. SCOPE 1.1. This Agreement provides for: (a) the sale by Nokia to Customer of new and/or refurbished standard equipment and components and new and/or refurbished specialized hardware (“Nokia DAC Equipment”) that: (i) enables access to Nokia Digital Automation Cloud (“NDAC”); and (ii) is procured solely for the purpose of Customer’s use of the Nokia DAC Service, made commercially available for sale by Nokia. Notwithstanding the foregoing, Nokia DAC Equipment does not include any Nokia Drone Networks products. Nokia DAC Equipment together with Customer’s other items relevant for access to the Nokia DAC Service (such as but not only, Customer’s site inclusive of the site where a GPS outdoor antenna is located, power sources for the Nokia DAC Equipment, internet connectivity, a PC or other device with a Firefox or Chrome web browser, cabling, and other hardware or software procured for use with the Nokia DAC Service, including items sourced from third parties, Connected Things (as defined below), Wearables/Identifiers (as defined below)) constitute “Customer’s Home DAC Network” (or “Customer’s Network Bubble”), (b) the license by Nokia to Customer of “Nokia Software” which is defined as: (i) software supplied by Nokia, including components for interoperability with or use of Customer’s Home DAC Network, as well as any subsequent versions and updates of such software as may be provided by Nokia; and (ii) commercially available software and firmware pre-loaded onto the Nokia provided Nokia DAC Equipment at the time of delivery and any subsequent updates thereto as may be provided by Nokia, and excluding the software used by Nokia in providing the Nokia DAC Service as well excluding any software in non-Nokia provided hardware (the software used by Nokia in providing the Nokia DAC Service and any and all software in non-Nokia provided hardware is excluded from and will not be considered a part of Nokia Software), (c) the license by Nokia to Customer of commercially available standard documentation relating to any Nokia DAC Equipment or Nokia Software ("Documentation"), (d) the terms for Customer’s Subscription to, and the provision by Nokia, of the Nokia DAC Service and (e) the performance of services by Nokia other than the Nokia DAC Service (“Services”). The Parties will enter into one or more addenda or statements of work (each an “Addendum” and collectively “Addenda”) to supplement this Agreement for specific Products or Services. All references to “Agreement” include this document and its schedules together with any and all Addenda and their attachments. The term “Products” refers to Nokia DAC Equipment, Nokia Software and/or Documentation, and the term “Licensed Materials” refers to Nokia Software and/or Documentation. 1.2. The term of this Agreement begins on the Effective Date and, unless otherwise earlier terminated under this Agreement, will continue until the earlier of: (i) the date of expiration of the Initial Subscription (described in Section (9.3.1)) or (as applicable) the then-current Renewed Subscription (described in Section (9.3.4)); and (ii) the date of termination in accordance with this Agreement. 1.3. All Products and Services furnished by Nokia to Customer are for Customer’s own internal use in the United States only (the “Territory”). Customer represents and warrants that it shall not resell any Nokia DAC Equipment. Customer has no right to resell any Nokia DAC Equipment sublicense any Licensed Materials. 2. DEFINITIONS 2.1. For the purpose of this Agreement the following definitions apply. 2.1.1. Affiliate: means, with respect to a Party, an entity that directly or indirectly own or control that Party, is under the same direct or indirect ownership or control as the Party, or is directly or indirectly owned or controlled by the Party. An entity “controls” another if that entity has fifty percent (50%) or more of the votes in such entity, is able to direct its affairs, and/or is able to control the composition of its board of directors or equivalent body, for as long as such control exists. 2.1.2. Connected Things: means any Items fitted with a Nokia-provided SIM card. 2.1.3. Intellectual Property Rights: means copyright rights (including the exclusive right to use, reproduce, modify, distribute, publicly display, and publicly perform the copyrighted work), trademark rights (including trademarks, service marks, and trade dress), patent rights (including the exclusive right to make, use and sell), trade secret rights, and all other intellectual property rights worldwide arising under statutory or common law of any jurisdiction, as may exist now and/or hereafter come into existence, and all renewals and extensions thereof. 2.1.4. Nokia DAC User Account: means the information systems access account set up by Nokia for Customer and for named individuals representing Customer as a means to manage Customer’s purchases from Nokia and access and use the Nokia DAC Service. 2.1.5. Nokia DAC Architecture: means technical information on the details on each component or subsystem and can be found by referring to Nokia official Customer documentation. All the names of such component and subsystems (such as Nokia DA Edge or Nokia DAC Radio) used in this Agreement shall have the meaning given to them in such Nokia official Customer documentation. 2.1.6. NOKIA DAC Service: means the Nokia’s cloud core of a high-bandwidth private wireless network made available for access and use by Customer. 2.1.7. Subscription: means the right to access and use, the Nokia DAC Service during the applicable Term. 2.1.8. Wearables/Identifiers: means items used to connect identifiable natural persons, or that will be carried by/on or used by an identifiable natural person, or that collect data which may directly or indirectly identify a natural person or persons. 3. NOKIA DIGITAL AUTOMATION CLOUD (“DAC”) REQUIREMENTS In order for Customer to receive the Nokia DAC Service, the following needs to be in place: 3.1. Nokia DAC Access. In order to access the Nokia DAC Service, Customer shall create its Home DAC Network, make its components available for activation and place an Order (in accordance with the procedures set forth in Section 4 below) to subscribe to the Nokia DAC Service. Subject to having an active and paid Subscription (as set forth in Section (9.3)) Nokia will provide regular updates to Nokia Software on Nokia DAC Equipment items. 3.2. Creation of Customer’s Home DAC Network. Customer is responsible for procuring the components of its Home DAC Network, which may be procured by (i) purchasing Products from Nokia; and/or, (ii) procuring such components, other than Nokia DAC Equipment, from third parties. 3.3. Applications to Nokia DAC. Access to additional DAC applications on top of Nokia DAC (“DAC Applications”) may be achieved by purchasing relevant Nokia DAC Equipment and subscripting to such DAC Applications. Terms and conditions of this Agreement also govern the use and access of the DAC Applications. 3.4. Applicable Permits. Customer shall be responsible for obtaining all governmental consents, permits, approvals, and licenses, including spectrum licenses and spectrum availability (collectively, “Permissions”) necessary for the performance of this Agreement (including timely delivery, installation, testing, commissioning, and operation of the Products), and for acquisition and the preparation of the applicable sites for the delivery and installation in accordance with Nokia’s specifications. Nokia, in its sole discretion, may assist Customer with its obligations of providing Customer with access to initial spectrum: if CBRS Band 48 Band is used at any point of time to deploy the Customer’s Home DAC Network, section 3.4.1 will apply and if Band 53 is used at any point of time then 3.4.2 will apply. For the sake of clarity, if CBRS band 48 and Band 53 are used in parallel, both 3.4.1 and 3.4.2 will apply. 3.4.1. CBRS Band 48 Deployments and Compliance. Subject to both Parties continuous compliance with FCC CBRS regulation, Customer may use CBRS band 48 shared spectrum right as regulated by the FCC that can be used in Customer’s Home DAC Network for the duration of the Term of this Agreement and subject to Customer having applicable Subscription(s) in place. This spectrum right is shared spectrum, provided under “AS IS” basis and Customer agrees that other users (if applicable) may reduce or limit spectrum allocated to Customer and Nokia does not warrant spectrum availability at any point of time. Customer specifically understands, acknowledges and agrees that when using CBRS band 48 shared spectrum that Customer’s Home DAC Network must always be connected to Spectrum Access System (“SAS”) and Environmental Sensing Capability (“ESC”) through the Nokia DAC Service. If this internet connection between SAS, ESC and Customer’s Network Bubble is interrupted or lost, the Parties must comply with FCC CBRS regulation and Customer’s Network Bubble will turn off for as long as the connection to the SAS or ESC remains unavailable. Nokia assumes no liability whatsoever over to Customer’s Home Network outage caused by lost connection between Customer Home Network, SAS and ESC. Customer represents and warrants that it will not try to disable automation that shuts down Customer’s Home Network due to lost connection to the SAS and ESC. Unless a specific instance of spectrum usage is portable, the specific physical location of the regulated items is required to be provided to the regulatory authorities for compliance purposes and, therefore, the Customer must not move or change the location of any regulated item after installation, even if it is owned by the Customer. For the sake of clarity, Nokia has no obligation to set up, provide or continue Customer to access to the Nokia DAC Service in the lack of continuous compliance with this Section 3. Nokia may suspend or terminate access to the Nokia DAC Service if Customer breaches this Section 3 or if suspending or terminating access to the Nokia DAC Service is required for Nokia to comply with applicable regulation specifically including the FCC CBRS regulation. In case CBRS band 48 spectrum becomes subject to any additional fees or costs that are currently not under included in the FCC CBRS regulation, Customer agrees it is responsible to pay such additional fees. Subject to Nokia’s written consent, Customer may apply for CBRS band 48 Priority Access License (“PAL”) in order to obtain allocated band 48 spectrum as set forth by the FCC. In this event, Customer is responsible of obtaining and keeping applicable permits, licenses and renewals in relation to PAL spectrum access. Customer will also bear all costs in relation to obtaining the PAL license. 3.4.2. Band 53 Deployments and Compliance. Subject to both Parties continuous compliance with the Band 53 regulation and Nokia’s guidelines for Band 53 spectrum usage, Customer will be provided with a limited access to Band 53 that can be used in Customer’s Home DAC Network for the duration of the Term of this Agreement and subject to Customer having applicable Subscription(s) in place. Unless a specific instance of spectrum usage is portable, the specific physical location of the regulated items is required to be provided to the regulatory authorities for compliance purposes and, therefore, the Customer must not move or change the location of any regulated item after installation, even if it is owned by the Customer. Customer also grants access to Nokia or Nokia’s designated authorized third party to access Customer’s access points at Customer’s site utilizing Band 53. This access is granted solely for the purposes of complying with Band 53 related regulation and contractual obligations. For the sake of clarity, Nokia has no obligation to set up, provide or continue Customer to access to the Nokia DAC Service in the lack of continuous compliance with this Section 3. Nokia may suspend or terminate access to the Nokia DAC Service if Customer breaches this Section 3 or if suspending or terminating access to the Nokia DAC Service is required for Nokia to comply with applicable regulation and contractual requirements specifically related to Band 53 spectrum rights. 4. ORDERING PROCEDURE 4.1. Customer will purchase Nokia DAC Equipment, license Licensed Materials, subscribe to Nokia DAC Service and/or engage Nokia to perform Services by delivering to Nokia a written order (an “Order") in response to a Quotation (as defined in Section 5.1 below) issued by Nokia. Each Order is a firm commitment to buy and must (i) identify the Customer by full name and address; (ii) itemize the quantity, part number and description of the Nokia DAC Equipment that Customer desires to purchase, the Licensed Materials that Customer desires to license, the number of desired subscriptions to Nokia DAC Service and/or such other Services that Customer desires to engage Nokia to perform; (iii) state the price of the itemized Products and Services determined under Section 4 of this Agreement (the “Price”), (iv) identify the “bill-to” address, (v) identify the “ship-to” address, (vi) set forth the requested delivery dates (and any shipping instructions) and/or performance dates, consistent with Nokia’s standard published intervals, (viii) provide a Customer contact name and telephone number, and (ix) explicitly refer to this Agreement. Customer’s “bill-to” and “ship-to” address must be located within the Territory. All Orders are subject to review and written acceptance by Nokia. Each Order is subject only to the terms and conditions of this Agreement and the applicable Quotation. Terms and conditions contained in an Order, which are inconsistent with this Agreement or applicable Quotation, including any pre-printed terms and conditions on such Order, are ineffective and void. 4.2. Upon written acceptance of an Order, Nokia shall make reasonable efforts to deliver to Customer the requested Products and perform the requested Services on or prior to a mutually agreed date. 4.3. Customer may request in writing changes to an Order (“Change Request”) that Nokia has previously accepted. In response to a Change Request, Nokia will provide written Quotations, including any changes to prices, license fees, delivery dates or completion dates. A Change Request is a separate Order subject to Nokia’s change order process and written acceptance. 5. PRICES 5.1. The Price (or “Fee”) of a Product or Service is either (i) set forth in the appropriate Addendum or (ii) offered to Customer in a valid, specific, written quotation from Nokia (a “Quotation”). A Quotation is valid for 30 days after issuance, except as otherwise provided therein. All Quotations are deemed to incorporate this Agreement. If Customer submits an Order other than in response to a Quotation, then the Price of the requested Product or Service must be that set forth in the appropriate Addendum or must be in compliance with the then current published Prices. Where a Quotation is signed by authorized representatives of Nokia and Customer, any provisions of that Quotation which conflict with this Agreement will supersede the comparable provisions of this Agreement, but only with respect to the particular Products and/or Services that are the subject of that Quotation. Nokia may change its prices and/or fees both with respect to Subscriptions as well as with respect to Products, at any time without prior notice to Customer, but such change will not affect any outstanding Quotation or any accepted Order. 5.2. All Orders accepted by Nokia are non-cancelable and the sums paid are non-refundable. 5.3. The Price does not include, and Customer shall be liable for and shall reimburse Nokia for all of the following tax payments with respect to transactions under this Agreement, unless a valid tax exemption certificate is timely furnished to Nokia by Customer: State and local sales taxes, use taxes, including Arizona transaction privilege tax, Arkansas gross receipts tax, California sales tax, Hawaii general excise tax, Illinois retailer’s occupation tax and New Mexico gross receipts tax or any other similar transaction tax Nokia is required to collect on behalf of or pay to any state/local tax jurisdiction, and Federal manufacturers’ and retailers’ excise taxes, as applicable. Taxes payable by Customer will be added to the Prices, as applicable, stated as separate items on the invoice, and submitted to Customer at the time Nokia seeks payment of the applicable Products and Services provided for each Order. Customer shall reimburse Nokia for and shall hold Nokia harmless from and against any tax, penalty, interest, or other charges that may be levied or assessed as a result of a tax jurisdiction audit determination including any costs and expenses incurred by Nokia in contesting any such tax liability as a result of Nokia following Customer’s specific written taxation application and sourcing instructions, reliance on Customer’s tax exemption certificate or Customer’s acceptance of Nokia invoices without sales and use taxes as being correct regarding the reporting or collection of such tax. Upon Customer’s request, the Parties shall consult with respect to the basis and rates upon which Nokia shall pay any taxes for which Customer is obligated to reimburse Nokia under this Section. If Customer determines that in its opinion any such taxes are not payable or should be paid on a basis less than the full price or at rates less than the full tax rate, Customer shall so inform Nokia in writing. Nokia agrees to reasonably cooperate with Customer’s efforts to determine the applicable taxes for which Customer is obligated to reimburse Nokia. 5.4. The Price does not include, and Customer shall pay Nokia for, any and all charges for packing requirements exceeding Nokia’s commercial standards. Customer shall pay for, or reimburse Nokia if Nokia pays for, the shipment of any Product from Nokia's designated dock to the destination specified by Customer. Nokia shall prepay all applicable shipping charges, unless: (a) the Order requests shipment “Collect” and identifies the carrier and Customer’s account number with that carrier and (b) Customer or its agent coordinates shipment with Nokia’s transportation department in advance of delivery. 5.5. The Price is based on Nokia’s standard, published intervals for shipping, planning, or completion, unless Nokia otherwise agrees in the Quotation or Addendum. The Price does not include, and Customer shall pay, or reimburse, Nokia for, any and all costs or charges for or relating to (a) specific or special delivery requirements (e.g., street closure, parking fees, lift gates, cranes, heavy-lifting equipment and other similar charges) and (b) goods or services needed to install any Product (e.g., obtaining power, telephone lines and other similar charges), except to the extent that those costs or charges have been explicitly identified and included in the related Quotation or accepted Order. 5.6. The Price for a Service is based on the specific assumptions, requirements, Product quantities, configuration(s), and location(s) set forth in the Quotation or Addendum, and the Price for a Service is subject to adjustment if any of these items are changed or if a Service is renewed. 5.7. In addition to the Price for Services, Customer shall also pay charges incurred under this Agreement, including charges for: (a) work undertaken by Nokia at Customer’s request that is not included in the Quotation; (b) time (including certain minimum charges), materials, and travel charges if Services are performed outside of the hours applicable to the Quotation; (c) support Services, including a response by Nokia to a fault report or request for assistance where no problem is found to exist or when the problem reported is one not covered by the Service Quotation or Addendum; and (d) Services for which increased costs are the result of Customer’s failure to comply with its obligations herein. 5.8. Unless otherwise expressly agreed in a Quotation or Addendum, Customer shall reimburse Nokia for all out-of-pocket expenses relating to the Services, including expenses for travel, lodging and meals incurred by Nokia personnel who perform Services at a location other than their normal place of work. 6. PAYMENT TERMS 6.1. Nokia will issue invoices as follows: (a) for Products, upon shipment; (b) for non-recurring Services, including engineering and installation Services, as such Services are incurred or performed; and (c) for recurring Services, including Nokia DAC Service, maintenance and management Services, upon commencement of such Services. Except as may be expressly provided in an applicable Addendum or Quotation, all amounts due for recurring Services are due quarterly payable in advance. 6.2. Each invoice will describe the requested Products or Services and their respective Prices and will also show the total amount due to Nokia from Customer, including all taxes, transportation charges, and other costs or charges that are Customer’s responsibility (the "Invoice Total"). Customer shall pay each Invoice Total in full, exclusively in United States dollars, for receipt by Nokia within 30 days after the date of the related invoice. Customer shall pay each Invoice Total in excess of U.S. $100,000.00 by wire transfer according to the instructions on the invoice. 6.3. Nokia has the right to reject any unaccepted Order, suspend or delay shipment of any Product and/or performance of any Service under an accepted Order, if (i) Customer fails to maintain adequate creditworthiness as determined by Nokia in its sole discretion, (ii) Customer breaches any of its payment obligations under this Agreement or (iii) an Event of Default (defined in Section 19.1) exists. If Nokia fails to receive Customer’s timely payment for Services, Nokia may immediately cease performing the Services. 6.4. Customer shall notify Nokia of any billing discrepancies or disputes about an invoice within 10 days after receiving it, specifying with particularity the basis of any such discrepancy or dispute (“Dispute Notice”). Tender of a Dispute Notice does not relieve Customer of its obligations to pay the undisputed portion of the invoice. The Parties shall negotiate in good faith to resolve any Dispute Notice. Interest will accrue on any past due amount (not subject to a Dispute Notice) at the lesser of 18% per annum or the maximum rate permitted by applicable law. Notwithstanding the foregoing, any amounts that were the subject of a Dispute Notice and are subsequently resolved in favor of Nokia will be subject to interest charges accruing from the original due date. Customer shall reimburse Nokia for reasonable attorneys’ fees and other costs associated with collecting delinquent amounts. 6.5. Customer hereby grants Nokia a security interest in all Products and all proceeds of them in any form to secure payment and performance of all obligations of Customer under this Agreement. Customer shall provide such additional documentation as Nokia deems reasonably necessary to establish or perfect this security interest. 7. DELIVERY, TITLE, AND RISK OF LOSS 7.1. Delivery is FCA Nokia's designated dock (Incoterms® 2010). Nokia shall pack each Product for shipment according to Nokia’s commercial standards, except as the Parties may otherwise agree in writing. 7.2. Risk of loss and damage to any Product will pass to Customer in accordance with the Incoterms set forth above. Title to Nokia DAC Equipment will pass to Customer upon full payment. Nokia and its licensors retain title to all Licensed Materials, Nokia Confidential Information, and other data delivered to Customer and all copies of same. 7.3. Nokia may in its discretion decide to cease the production of any Products, Services, and/or any parts thereof (including spare parts). Nokia will use commercially reasonable efforts to advise Customer in advance of such a decision and offer a last time buy opportunity. 8. ACCEPTANCE AND VERIFICATION TESTING 8.1. Products are deemed accepted upon shipment, unless Nokia is obligated by mutual agreement to install the Products by the terms of an applicable Addendum or Quotation. 8.2. When Nokia is required by the terms of any Addendum or Quotation to install a Product, Nokia will perform its standard verification tests after the installation Service for that Product is complete, and upon successful completion, Nokia shall advise Customer that the installation has been verified. Upon the earlier of Customer’s commercial or beneficial use of a Product or receipt of such advice (a) the Product will be deemed accepted by Customer and (b) any failure by Nokia to perform the related installation Services will be deemed waived by Customer. If Customer’s actions cause a delay in Nokia’s installation for more than 15 days (in aggregate) following delivery, Customer’s acceptance will be deemed to occur on the 16th day after the delivery date. 8.3. Acceptance of Services is deemed to occur as Services are provided. 8.4. NDAC Service Activation. The availability for the Nokia DAC Service takes place either on the agreed upon start date or on the date on which the following three (3) conditions apply: (i) ability to activate Nokia DA Edge hardware, as reflected in Nokia DAC User Account; (ii) ability to activate Nokia access point Nokia DAC Equipment, as reflected in Nokia DAC User Account; and (iii) ability to provision a Nokia SIM card, as reflected in Nokia DAC User Account (“NDAC Service Activation Date”). 9. NOKIA DAC SERVICE ACCESS, SUBSCRIPTIONS, AND RENEWALS 9.1. Nokia DAC User Account. Access to the Nokia DAC Service is provided through a Nokia DAC User Account that Nokia establishes for the Customer. In order to establish a Nokia DAC User Account, Customer shall provide Nokia with admin information, such as (for example) contact e-mail addresses and telephone numbers for its employees. Customer shall remain at all times responsible for the actions of its personnel in relation to the Nokia DAC Service. Customer shall ensure that only personnel who have reviewed and accepted the Nokia Privacy Policy (available at https://www.nokia.com/en_int/privacy) may provide admin information to Nokia. Customer shall ensure that each relevant personnel consent’s to having Admin Information collected and used by Nokia in accordance with the Nokia Privacy Policy, and shall ensure the accuracy, currency, and security at all times of the registration information related to Nokia DAC User Account. 9.2. Types of Subscription 9.2.1. Initial Subscription. Initial Subscription to the Nokia DAC Service begins, subject to Customer’s compliance with the terms of this Agreement, on the earlier of (i) the NDAC Service Activation Date, or (ii) thirty (30) days from date of delivery of the Nokia DAC Equipment. The Initial Subscription will continue for the number of months specified in the Order as the length of time the Subscription will be in place (“Subscription Period”). 9.2.2. Subscription for New Nokia DAC Equipment. If Customer orders new or used/refurbished additional Nokia DAC Equipment for its Home DAC Network, the Subscription for each respective piece of Nokia DAC Equipment will begin when it is visible into the Nokia DAC User Account and available for activation. 9.2.3. Subscription to DAC Applications. If Customer orders a DAC Application for its Home DAC Network, the Subscription for each respective DAC Application will begin when it is visible into the Nokia DAC User Account and available for activation. 9.2.4. Renewal Subscriptions. Once the Initial Subscription Period (or a Renewal Subscription Period) ends, the Renewal Subscription(s) Period (if any) will start the day following the date on which the Initial Subscription Period, or an earlier Renewal Subscription Period respectively, ends. The Renewal Subscription is subject to Customer’s acceptance and payment of Nokia’s then-current Fees for the Nokia DAC Service. A Renewal Subscription Period will continue for the number of months specified in the Order as Subscription Period. 10. GRANT OF LICENSE 10.1. Customer shall use all Licensed Materials in accordance with this Section 10. Upon delivery of any Licensed Material and subject to Customer having a valid subscription in place for all respective Nokia DAC Equipment and Customer’s continuous payments of the applicable fees (including subscription fees) for such Nokia DAC Equipment and compliance with the terms and conditions of this Agreement, Nokia grants to Customer, and Customer accepts, a personal, time-based, nonexclusive, non-sublicensable, non-transferable, non-assignable, revocable license to use the portions of the Licensed Material for which activation has been authorized by Nokia and Customer has a valid subscription in place for such Nokia DAC Equipment, solely on or with the single unit or arrangement of Nokia DAC Equipment for which the Licensed Material was delivered for the duration of the Term, for Customer’s internal use in the Territory. 10.2. Customer acknowledges and agrees that: (a) Nokia may have encoded within the Nokia Software optional functionality, features and/or capacity, which may be accessed only through the purchase of the applicable license extension from Nokia at an additional Price (no licenses are granted to such functionality, features and/or capacity unless Customer purchases the applicable license extension); and (b) Customer may need to obtain a new or additional application key from Nokia to use such Nokia Software. 10.3. This Agreement applies to all updates, upgrades, maintenance releases, revisions and enhancements for the Licensed Materials which Nokia may supply to Customer from time to time. 10.4. Customer may copy Licensed Materials as reasonably necessary for backup and archival purposes if the copies contain all of the Nokia proprietary notices contained in the original Licensed Materials. All copies of all Licensed Materials (including partial copies) are Nokia Confidential Information. All rights, title and interest in and to the Licensed Materials, including all intellectual property rights, remain vested in Nokia, its suppliers and licensors, and Customer is granted only a limited license to use the Licensed Materials in conjunction with the Nokia DAC Equipment, as set out in this Section 10. 10.5. Customer shall not directly or indirectly: (a) modify, copy, transmit, alter, merge, decompile, disassemble, reverse engineer or adapt any Licensed Material or portion thereof; (b) encumber, time-share, rent or lease the rights granted herein; (c) manufacture, adapt, create derivative works of, localize, port or otherwise modify any Licensed Material or portion thereof; (d) disclose or otherwise make available any Licensed Material or portion thereof to any third party; (e) enable any Nokia Software functionality, feature or capacity which Nokia licenses as a separate product, without Nokia’s prior written consent; (f) take any action that may result in the Nokia Software becoming subjected to the terms of a license that requires it to be (i) disclosed or distributed in source code form, (ii) licensed for the purpose of making derivative works, or (iii) redistributable at no charge; or (g) use any Licensed Material or portion thereof except in accordance with this Section 10. 10.6. Upon reasonable prior written notice, Nokia may inspect and audit Customer’s compliance with this Section 10 during normal business hours. Customer shall cooperate with the audit and shall grant assistance and access to applicable records, materials, personnel, Nokia DAC Equipment, and any other information or products which may reasonably enable Nokia to determine whether the use, copying and disclosure of the Licensed Materials comply with this Agreement. In addition, Customer shall provide remote access to its systems to enable Nokia to electronically audit Customer’s compliance with this Section 10. If an audit reveals that Customer possesses or at any time possessed unlicensed copies of any Licensed Materials, or used any Licensed Materials beyond the licensed functionality, features or capacity restrictions or beyond the terms stated herein, then Customer shall pay Nokia the applicable license fees (plus interest) and the costs incurred in the audit immediately upon request. 10.7. No License to Third Party Software. Nokia Software does not include, and the license granted above does not apply to, any third-party software (including open source software) delivered to Customer in connection with or as part of the delivery of any Product, as this software is licensed on its own terms. No license is granted to the software running the Nokia DAC Service, for which access is provided on an “as a service” basis only. 10.8. Certain software may be delivered with its own specific license (“Additional License”). In such a case, the terms of the Additional License will be delivered to Customer, such as in a separate license.txt file or as part of a tear-open document, and will govern use of the software by Customer to the extent Nokia does not have a right to supersede them in this Agreement. Nokia’s licensors are third party beneficiaries of this Agreement with respect to their Licensed Materials. 10.9. No Further Licenses. Any license granted hereunder to Customer expires at the end of the Term unless terminated earlier in accordance with this Agreement. Customer has no further rights to use the Nokia Software after the termination of the License. If Customer wishes to continue using Nokia DAC Equipment after the end of the Term, Customer shall first return the Nokia DAC Equipment to Nokia for removal of the Nokia Software, or engage Nokia to do so. Nokia will perform the removal of such Nokia Software and the return of the cleaned Nokia DAC Equipment to Customer. 10.10. Further, if Customer’s license or Additional License is cancelled or terminated, or when Customer no longer uses the Licensed Materials, Customer shall return or destroy the Licensed Materials and all copies and certify to Nokia that it has done so. 11. LIMITED WARRANTY 11.1. Nokia warrants to Customer that for the warranty period defined in Section 11.2: (a) Nokia DAC Equipment manufactured by Nokia (including those manufactured for Nokia by a contract manufacturer and based on Nokia’s procurement specification) and purchased hereunder will, under normal use and service, be free from defects in material and workmanship; (b) Nokia DAC Equipment manufactured by Nokia or Nokia Software owned by Nokia and purchased or licensed hereunder will materially conform to Nokia’s specifications in effect on the date of shipment; and (c) Services purchased hereunder will be performed in accordance with Nokia’s written standards, or in the absence of such standards, in a professional and workmanlike manner. However, Nokia makes no warranty that any Nokia Software will operate uninterrupted or error free. For Products or partial assembly of Products furnished by Nokia where the Nokia DAC Equipment and Nokia Software media was not manufactured by Nokia and/or the Nokia Software is not owned by Nokia, Nokia hereby assigns, to the extent permitted, the warranties given to Nokia by its suppliers or licensors of such items. 11.2. The warranty period for Nokia DAC Equipment is 12 months and for the Nokia Software is 90 days, and begins on the shipment date and for Nokia Software when initial software is deemed to be delivered, unless Nokia performs installation Services for the Nokia DAC Equipment or Nokia Software, in which case the warranty period begins on the date of Product acceptance as determined under Section 8. The warranty period for Services is 30 days beginning on the date of completion or acceptance, as applicable. 11.3. If any Nokia DAC Equipment is not as warranted in this Section 11, then (a) Customer must obtain from Nokia a return authorization number and properly pack and return the Nokia DAC Equipment at its expense, together with the authorization number and a detailed description of the problem, to Nokia's designated repair facility; and (b) Nokia shall repair or replace the Nokia DAC Equipment and return it at Nokia’s expense to Customer’s point of shipment. Customer has the risk of loss and damage to any Nokia DAC Equipment returned to Nokia for repair or replacement until receipt by Nokia of such Nokia DAC Equipment. Nokia shall assume the risk of loss and damage to any Nokia DAC Equipment returned to Nokia for repair or replacement from receipt until delivery to Customer’s point of shipment. If Nokia ascertains that Nokia DAC Equipment is not readily returnable for repair, then at its option, Nokia may elect to repair or replace the Nokia DAC Equipment at Customer’s site. In such instances, Customer, at its expense, shall make the Nokia DAC Equipment accessible for repair or replacement and shall restore the site after Nokia has completed its repair or replacement. For any Nokia DAC Equipment or parts thereof repaired or replaced under this Section 11, the warranty period applicable to the Nokia DAC Equipment will continue for the longer of (c) the remainder of the original warranty period or (d) 90 days after shipment date of the repaired or replaced Nokia DAC Equipment. 11.4. Upon notice from Customer that any Nokia Software is not as warranted in this Section 11, Nokia shall correct the Nokia Software by (a) electronic means or (b) delivery to Customer of suitable media chosen solely by Nokia. The warranty period for the corrected Nokia Software via fixes and/or patches will be the remainder of the original warranty period. For the avoidance of doubt, the Nokia Software Warranty Period applies only to Products that are Nokia Software procured directly from Nokia and excludes the Nokia DAC Service. 11.5. Upon notice from Customer that any Service is not delivered materially in accordance with its specifications, Nokia shall correct the Service. The warranty period for the corrected Service will be the remainder of the original warranty period. 11.6. If Nokia determines that it cannot, in a commercially reasonable manner: (a) repair or replace any Nokia DAC Equipment, (b) correct any Nokia Software, or (c) correct any Services, then Nokia may, in its sole discretion, credit to Customer the Price of the Product or Services, less a reasonable adjustment for beneficial use. Nokia’s fulfilment of the obligations set out in this Section 11 will be in full satisfaction of Nokia’s liability for defects with regard to the Products. In repairing or replacing any Nokia DAC Equipment, part of Nokia DAC Equipment, or Nokia Software medium under this warranty, Nokia may use new, remanufactured, reconditioned, refurbished, or functionally equivalent Nokia DAC Equipment, parts of Nokia DAC Equipment, or Software medium. 11.7. Notwithstanding any provision of this Agreement to the contrary, Nokia has no obligation to repair or replace any Nokia DAC Equipment, correct any Nokia Software, or correct any Services if (a) the Product has been modified, repaired or reworked by anyone other than Nokia; or (b) the defect is the result of (i) any improper storage, handling or use by anyone other than Nokia, (ii) failure to provide a suitable climatic and/or operational environment (including, by way of example, failure to provide the facilities prescribed in Nokia’s specifications, failure to provide for adequate control of humidity or failure to prevent the ingress of dust particles), (iii) operator error, (iv) improper installation of the Product by anyone other than Nokia, (v) use in a manner not in accordance with the Documentation, (vi) failure to implement any new releases or updates to the Nokia Software, (vii) any use of the Product in conjunction with another non-Nokia product (except to the extent provided in the Documentation), (viii) consumable items, including fuses, light bulbs, motor brushes and the like, (ix) Products which have had their serial numbers or month and year of manufacture removed, altered, defaced, or deleted, or (x) any damage by power failure, fire, explosion or any act of God or other cause beyond Nokia’s control. The warranties set forth in this Section 11 are nontransferable. 11.8. If Nokia determines that any returned Nokia DAC Equipment or Nokia Software is not defective, Customer shall pay Nokia’s costs of handling, inspecting, testing, and transportation and, if applicable, travel and living expenses. 11.9. Warranty does not include: Nokia assisting in diagnostic efforts; access to Nokia’s technical support web sites, databases, or tools; Product integration; on-site assistance; or Documentation updates. These Services may be available during and after the warranty period at Nokia’s published prices. 11.10. For the avoidance of doubt, Customer is responsible for any backups and back-hauling of Customer’s Content (which can be images, audio/video or the like, that Customer uploads to or generates in using its Home DAC Network, including data transported on the user plane of the Nokia DAC Service, but not including any of the data that facilitates that transport) as and any other information Customer creates in connection with its Home DAC Network and/or the Nokia DAC Service. Nokia will not take any backups and gives no warranties or guarantees that Customer’s Content will be or remain accessible or stored. After expiration or termination of the Term, Nokia will not maintain, or provide access to, any of Customer’s Content on Customer’s behalf. 11.11. THE LIMITED WARRANTIES SET FORTH IN THIS SECTION FOR PRODUCTS AND SERVICES ARE THE EXCLUSIVE WARRANTIES THEREFOR. NOKIA DISCLAIMS ALL OTHER WARRANTIES, REPRESENTATIONS AND/OR CONDITIONS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND/OR NON-INFRINGEMENT. THE REMEDIES PROVIDED UNDER SECTIONS 11.3, 11.4 AND 11.5 ARE CUSTOMER’S EXCLUSIVE REMEDIES FOR FAILURE OF PRODUCTS OR SERVICES TO CONFORM TO THEIR RESPECTIVE WARRANTIES. 12. CONFIDENTIAL INFORMATION 12.1. “Confidential Information” means: (a) any nonpublic information disclosed by either Party (the "Discloser") to the other Party (the "Recipient") in any form, including written, electronic, photographic or other tangible form, or information provided orally or visually; (b) any notes and other records made from or about such information; (c) all copies of any of such information, notes or other records; and (d) the terms and conditions of this Agreement. Confidential Information disclosed in a tangible or electronic form may be marked or otherwise identified by Discloser with a legend as being confidential or proprietary, but the absence of such mark or identification will not affect Recipient’s obligations to treat such information as Confidential Information. 12.2. Discloser grants Recipient the right to use the Confidential Information solely to exercise its rights and to perform its obligations under this Agreement (the “Purpose”). Recipient shall hold the Confidential Information in confidence using the same degree of care the Recipient normally exercises to protect its own proprietary information of a similar nature, using no less than a reasonable degree of care, and shall not disclose the Confidential Information to any third party, except as expressly provided herein. Recipient may disclose Discloser’s Confidential Information only to those of Recipient’s and its Affiliates’ employees (“Representatives”) who require knowledge of the Confidential Information to accomplish the Purpose and who have been advised by Customer of their obligations under this Agreement. In addition, Recipient may disclose Confidential Information of Discloser to Recipient's subcontractors and agents who, in each case, (i) require knowledge of the Confidential Information to accomplish the Purpose, (ii) have agreed in writing to maintain the confidentiality of the information and (iii) are not competitors or employees of any competitor of Nokia or any of its Affiliates (when Customer is the Recipient). Recipient shall provide Discloser with a copy of each such writing at its request. Recipient is liable for each Representative’s, subcontractor's and agent’s compliance with this Agreement. An individual who has seen Discloser’s Confidential Information under this Agreement is not precluded from working on projects for Recipient that relate to similar subject matters whether during or after the term of this Agreement, provided that the individual does not use or make reference to Discloser’s Confidential Information. 12.3. The preceding obligations and restrictions do not apply to Confidential Information if, and then only to the extent that, it: (a) was known to Recipient before receipt from Discloser; (b) is generally available to the public (or becomes so) without the fault or negligence of Recipient; (c) is or was rightfully received by Recipient from a third party without a duty of confidentiality; or (d) is or was independently developed by or for Recipient or its Affiliates without any use of or reference to Discloser's Confidential Information. 12.4. Recipient may disclose the Confidential Information as required by law; provided, however, that Recipient shall (a) when permitted by law, give Discloser prompt written notice of a disclosure requirement and before the disclosure is made, (b) take reasonable actions and provide reasonable assistance to Discloser to secure confidential treatment at Recipient’s cost, and (c) disclose only such Confidential Information as is required by law. 12.5. Recipient shall promptly return or destroy (at Discloser’s option) all copies and excerpts of the Confidential Information to Discloser when no longer needed or when requested to do so by Discloser, except for copies of documents in electronic formats that are made as a consequence of automatic backup processes and procedures. Despite the preceding sentence, latent data such as deleted files and other non-logical data types, such as memory dumps, swap files, temporary files, printer spool files and metadata that can customarily only be retrieved by computer forensics experts and are generally considered inaccessible without the use of specialized tools and techniques will not be within the requirement for return or destruction of Confidential Information. 12.6. Other than the limited right to use the Confidential Information for the Purpose, Discloser does not grant any right or license, explicitly or implicitly, under any trademark, patent, copyright, mask work protection right, trade secret, or any other intellectual property right. 13. EXPORT CONTROL The Parties acknowledge that Products, Licensed Materials and Confidential Information may be subject to the export laws and regulations of the United States, the European Union and/or other countries (cumulatively, "Export Laws"). Customer shall not use, distribute, export, re-export, transfer, or transmit the Products, Licensed Materials or Confidential Information (even if incorporated into other items) in violation of the Export Laws. If requested by Nokia, Customer will sign written assurances and other export-related documents as may be required for Nokia to comply with the Export Laws. 14. CONTENT AND INTELLECTUAL PROPERTY RIGHTS 14.1. Ownership of Intellectual Property Rights. Each Party and its third-party licensors own and continue to own all rights, title, and interest in all Intellectual Property Rights pertaining to its proprietary intellectual property, where this means all intellectual property of a party, including know-how, information, ideas, inventions, methods, processes, machines, modifications, prototypes, tools, other tangible embodiments, and works of authorship, including, specifications, software, algorithms, databases, compilations, schematics, designs, documentation, and presentations. No rights or licenses to such Intellectual Property Rights are granted to the other Party except as expressly otherwise stated in this Agreement. 14.2. No Co-Development. No co-development, including co-development of intellectual property, will be undertaken under this Agreement unless otherwise agreed between the Parties in writing. 14.3. Customer’s Content. Customer owns all Customer’s Content. Nokia is not the publisher of and does not claim ownership of, endorse, or control any of Customer’s Content. Customer hereby grants Nokia, under all of Customer’s rights in and to Customer’s Content, a non-exclusive, transferable, worldwide, royalty-free, and fully paid-up license to use, copy, reproduce, and modify (in whole and/or in part) Customer’s Content to the extent necessary for providing, operating the Nokia DAC Service and any related hardware, software or services, including to store (e.g., on geographical location), host, cache, record and display Customer’s Content to provide, analyze, support, maintain and/or improve the Nokia DAC Service and any related hardware, software or services. Customer acknowledges and agrees that Nokia may use and disclose any of Customer’s Content that Nokia holds if necessary to comply with a legally binding order, subpoena or similar request of a court of governmental or regulatory body. Customer will indemnify and defend Nokia against any claims made by an unaffiliated third party that: (a) any of Customer’s Content or Customer’s items infringes third party’s patent, copyright, or trademark or makes unlawful use of its trade secret or in any other manner infringe any third party's Intellectual Property Rights; and/or (b) arise from violation of this Agreement. 14.4. Feedback. If Customer provide Nokia with feedback, improvements, or suggestions about any of the products or services provided by Nokia to Customer under this Agreement (including the Nokia DAC Service or other Nokia products or services) (“Feedback”), it is understood that Customer does so voluntarily. Customer will remain the owner of the Feedback and Customer permits Nokia to use, modify, and transfer the Feedback (in whole or in part) without restriction. 14.5. Use of Network Data. Nokia grants Customer the right to use Network Data for operating Customer’s Home DAC Network in the Territory during the Term, subject to the terms and conditions of this Agreement. 14.6. No Infringement. Customer shall not, and Customer shall ensure that Customer’s personnel does not, take any action that could place the Nokia DAC Service or Nokia's, its Affiliates', or its licensors' Intellectual Property Rights at risk. Customer shall also ensure that Customer’s Content and Customer’s items do not infringe, or make otherwise unlawful use of, any third party Intellectual Property Rights. 15. INFRINGEMENT INDEMNITY 15.1. Subject to the conditions and exceptions stated below, Nokia: (a) shall defend Customer against any claim, action or proceeding brought against Customer alleging an infringement or misappropriation of any United States patent, copyright, trade secret, or other intellectual property right of any third party (other than an Affiliate of Customer) because of use, consistent with Nokia’s specifications, of any Nokia DAC Equipment manufactured by Nokia or Nokia Software owned by Nokia (a “Claim”) and provided to Customer under this Agreement; and (b) shall indemnify Customer against, and hold Customer harmless from, any and all costs and damages assessed against Customer in a final judgment on such Claim, if: (i) Customer gives Nokia prompt written notice of the Claim, (ii) Customer grants to Nokia the sole authority to assume the defense, and the sole right to settle the Claim, through counsel chosen by Nokia, and (iii) Customer furnishes all information and assistance requested by Nokia and reasonably cooperates with Nokia to facilitate the defense and settlement of the Claim. 15.2. If Customer's use of any Product is enjoined as a result of any Claim, is subject to a Claim, or in Nokia’s opinion is likely to be enjoined or to be subject to a Claim, then, at its expense, Nokia may: (a) procure for Customer the right to continue to use the Product; or (b) replace or modify the Product with a functionally-equivalent or better Product so that Customer’s use is not subject to a Claim. If Nokia determines that it cannot accomplish either of the foregoing in a commercially reasonable manner, then, upon Nokia’s request, (c) Customer shall deliver the Product to Nokia, and (d) Nokia shall promptly credit to Customer the Price of the Product less a reasonable allowance for use. 15.3. Nokia has no obligations under this Section 15 with respect to a Claim to the extent that it: (a) arises from adherence to design modifications, specifications, drawings or written instructions which Customer directs Nokia to follow, (b) relates to uses of any Product in combination with any item not provided directly by Nokia, if use of the Product alone would not have resulted in such infringement, (c) relates to the use of any Product in a manner not contemplated by this Agreement, or (d) relates to a modification of any Product by any person other than Nokia, (e) to the extent it is based on Customer’s Content or data, non-Nokia hardware or software, or materials provided or made available by Customer in the course of using its Home DAC Network or Nokia DAC Service, (f) based on Customer’s use of a Nokia trademark without our express written consent, or use of the Nokia DAC Service in violation of this Agreement or after Nokia notifies Customer to stop due to a third-party claim; (g) based on Customer’s redistribution of the Nokia DAC Service to, or use for the benefit of, any unaffiliated third party; (h) where the Nokia DAC Service has been provided free of charge; or (i) outside the Territory. Furthermore, Customer shall defend Nokia against any such Claim, and indemnify Nokia against, and hold Nokia harmless from, any and all costs and damages incurred by Nokia arising from any such Claim. 15.4. The rights and remedies set forth in this Section 15 are Customer’s exclusive rights and remedies with respect to third party claims of infringement and misappropriation. 16. SERVICES 16.1. The term of performance for each Service will begin when specified in the Service Quotation or Addendum and will continue until the earlier of: (a) the expiry date specified in the Quotation or Addendum; (b) the date the Service has been accepted or completed, as the case may be; or (c) the date it is terminated under this Agreement. 16.2. Customer understands that Nokia is in the business of providing services drawing upon the knowledge, understanding and expertise Nokia has gained from working with many varied customers. Nothing in this Agreement will be deemed to assign rights to or limit Nokia's use of any information, know-how or knowledge to the extent it does not contain Customer’s Confidential Information. 16.3. Customer hereby grants to Nokia a non-exclusive, personal, royalty-free and non-transferable license to make, have made, use, execute, perform, copy (as reasonably necessary), display, modify and make derivative works under any and all intellectual property rights owned by Customer to the extent necessary for furnishing Services and deliverables under this Agreement and to perform its obligations under this Agreement. Except as expressly set forth in this Agreement, no right or license is either granted or implied by either Party to the other with respect to any technical or business information, or with respect to rights in any patents, trademarks, copyrights, trade secrets, mask work protection rights, and other intellectual property. Subject to Customer’s right, title and interest in Customer’s Confidential Information, any and all inventions, derivative works, improvements, developments or innovations that Nokia (and its contractors or consultants, as the case may be) may make, conceive or devise in the course of performing Services and/or furnishing deliverables under this Agreement, are the sole and exclusive property of Nokia, including all patents, copyrights, trademarks and trade secrets embodied in them. 16.4. Nokia will make reasonable efforts consistent with sound business practices to honor Customer’s specific requests regarding assignment of employees, but Nokia reserves the sole right to determine the assignment of its personnel to perform Services hereunder. Nokia personnel at all times are subject to the employment conditions of Nokia and not those of Customer. 16.5. During the term of this Agreement (including any extensions) and for one year after termination or expiration of this Agreement, Customer shall not, except with Nokia’s prior written consent, solicit for employment Nokia employees performing Services under this Agreement. This does not restrict Customer from placing employment advertising in trade or general media or from using recruiters provided that such advertising and recruiters do not target Nokia employees. 16.6. Maintenance and Support. Nokia will provide maintenance a support services subject to the terms, conditions and prices set forth in Exhibit 4 attached hereto. 17. CUSTOMER'S RESPONSIBILITIES 17.1. At all times during the performance of any Services at Customer’s site, Customer shall (a) ensure that all easements, rights-of-way and other permits necessary to permit the performance of the Services are in effect, (b) ensure that the site is safe and free from actual or potential hazards and equipped with reasonable heat, light, plumbing, working and staging space, electricity and ventilation, (c) provide sufficient on-site storage space for Nokia’s equipment and materials, (d) ensure that Nokia’s personnel have access to the site and to the applicable Products during the times necessary to perform the Services, and (e) timely comply with Nokia’s reasonable requests for information necessary to permit Nokia to perform the Services properly. While performing Services, Nokia personnel shall comply with any and all site security rules provided and agreed to by Nokia in advance. 17.2. Customer shall cooperate with Nokia in the performance of Services hereunder and perform its responsibilities specified in each Service Quotation or Addendum. In addition, Customer shall: (a) provide experienced, qualified personnel having appropriate skills to perform their assigned tasks and duties in a competent, timely fashion and assist Nokia in completing the Services; (b) promptly render all reviews, decisions and approvals so as not to delay or impede Nokia’s performance of Services; (c) ensure that a Customer representative is available during regular business hours to provide such information and assistance as Nokia may require in connection with the Services, (d) promptly notify Nokia of any issues or concerns; (e) regularly back up files and all data; (f) conduct acceptance tests for Services and Products following the procedures in any Service Quotation or Addendum, or as agreed in writing; (g) unless site preparation is specified as a Service to be provided by Nokia, prepare its site for installation of any Products, providing a standard telecommunications environment according to the applicable site and equipment specifications including the removal and proper disposal of all asbestos or other hazardous materials; and (h) furnish to Nokia the appropriate interface specifications necessary to connect Nokia DAC Equipment to, or use the Licensed Materials on or with, Customer’s network infrastructure, and all rights necessary to use such interface specifications to connect Nokia DAC Equipment to, or use the Licensed Materials on or with, Customer’s network infrastructure. Customer shall ensure the accuracy and completeness of such interface specifications, and Nokia is not responsible for any consequences resulting from inaccurate or incomplete interface specifications. 17.3. Customer understands that Nokia’s performance is dependent on Customer’s timely and effective satisfaction of Customer’s responsibilities under this Agreement, including timely decisions and approvals. If Customer fails to meet any of its responsibilities stated in this Agreement or in applicable Addenda or Service Quotations, Nokia will be excused from performing its obligations until Customer provides what Nokia requires to perform. 18. LIMITATION OF LIABILITY 18.1. Nokia and Customer acknowledge that they have negotiated the Price (among other things) in consideration of their agreement to limit certain of Nokia’s liabilities. In no event will Nokia or any of its suppliers or licensors be liable for any indirect, special, exemplary, consequential or incidental damages, lost profits, lost revenues, lost data and other economic losses, however caused and regardless of whether such damages are foreseeable or whether Nokia has been advised of their possibility. 18.2. Except for a claim for personal injury proximately caused by Nokia, Nokia’s liability for any claim arising out of this Agreement will be limited to actual, provable direct damages not to exceed the Price of the Product or Service that is the subject of such claim. IN NO EVENT WILL NOKIA’S CUMULATIVE LIABILITY FOR ALL CLAIMS, LOSSES, DAMAGES AND EXPENSES OF CUSTOMER ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED TEN PERCENT OF THE TOTAL PRICES ACTUALLY PAID BY CUSTOMER TO NOKIA IN CONNECTION WITH THE CORRESPONDING PURCHASE ORDER DURING THE ONE YEAR PERIOD IMMEDATELY PRIOR TO THE DATE OF THE APPLICABLE CLAIM. 18.3. Except for the Fees set out in Section 18, each Party bears its costs and expenses arising out of or related to this Agreement and the activities hereunder. 18.4. THE LIMITATIONS SET FORTH ABOVE IN THIS SECTION 18 APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDIES SET FORTH IN THIS AGREEMENT. 19. TERMINATION 19.1. Upon the occurrence of any one or more of the following events and upon notice to Customer, Nokia will have the right, in its sole discretion and without prejudice to any other rights or remedies which it may have under this Agreement, to immediately terminate this Agreement in its entirety and to suspend performance hereunder (including suspension of performance of all outstanding Orders), without any further obligation or liability to Customer except with respect to Products already shipped and Services already performed: (a) Customer files, or consents to the filing against it of, any petition for relief, reorganization or liquidation under any bankruptcy or insolvency law of any jurisdiction, or has any such petition filed against it that is not dismissed within 30 days thereafter or makes a general assignment for the benefit of its creditors, or consents to the appointment of a custodian, receiver, trustee or other officer with similar powers over a substantial portion of its assets, or has any proceeding seeking such an appointment filed against it that is not dismissed within 30 days thereafter; (b) Customer becomes controlled by, in control of, or under common control with, any competitor of Nokia; (c) Customer breaches its obligation to, or otherwise fails, to make payment of any amount when due to Nokia, regardless of (i) whether such amount results from an invoice, fee or charge due under this Agreement or (ii) whether a portion of the invoice is subject to a Dispute Notice, and such breach or default continues for a period of 10 days after Customer’s receipt of notice thereof; (d) Customer is in breach of any of its material obligations under this Agreement and such breach continues for 30 days after Customer's receipt of notice thereof; (e) Customer breaches any term or condition of any Nokia Software license or its obligations under “Use of Confidential Information” above and that breach continues for 10 days after receiving notice thereof; or (f) Customer or any of its Affiliates breaches any of the terms of any other agreement, as such breach is defined in such agreement, between Customer or any of its subsidiaries or Affiliates and Nokia or any of its subsidiaries or Affiliates. Each of the events described in subparagraphs (a) through (f) above constitutes an "Event of Default". 19.2. If Nokia breaches any of its material obligations under this Agreement, and such breach continues for 30 days after receiving Customer’s written notice thereof, then Customer will have the right, upon written notice to Nokia, and in Customer’s sole discretion and without prejudice to any other rights or remedies which it may have under this Agreement, to immediately terminate this Agreement in its entirety without any further obligation or liability to Nokia except with respect to Customer's payment obligations respecting Orders for Products already shipped and Services already performed. 19.3. If a Party is in material breach of: (i) a provision of this Agreement related to Services; and/or (ii) a Quotation or Addendum related to Services, and the breach continues for more than 30 days after the non-breaching Party delivers to the other Party notice thereof, then the non-breaching Party may terminate the specific Services provision, Quotation and/or Addendum that is the subject of the breach. 19.4. Upon termination for any reason or expiry of this Agreement or any Services-related Quotation or Addendum: (a) Nokia may immediately cease providing any Services and stop providing the Nokia DAC Service; (b) Customer shall immediately pay all sums due to Nokia, for Products and Services provided as of the date of termination, including costs and expenses and pro rated fees for work partially complete at the date of termination; and (c) Sections 6, 12-14, 19, and 20 survive, provided however that Customer’s rights under Section 13 “Use of Confidential Information” will not survive if Customer’s breach of that Section gave rise to the termination. Upon Customer’s payment of all amounts owing to Nokia, Nokia will deliver all Customer Licensed Materials and work in progress in Nokia's possession as of the date of termination. 19.5. As used in this Section19, “written notice” means a reasonably detailed statement of the subject matter of the Event of Default or breach. 20. GENERAL 20.1. Each Party giving any notice or making any request, demand or other communication required or permitted by this Agreement must do so in writing and must use one of the following methods of delivery: (a) personal delivery, (b) either facsimile or email transmission requiring confirmation of delivery, or (c) nationally recognized overnight courier, with all fees prepaid. A Party giving a notice shall address the notice to the appropriate person at the receiving Party (the “Addressee”) at the address listed on the signature page of this Agreement or to another Addressee or another address as designated by a Party in a notice pursuant to this Section. A notice is effective only if the Party giving the notice has complied with this Section and if the notice has been delivered. 20.2. A Party will be excused (a) from whatever performance is prevented by acts or events beyond its reasonable control (including but not limited to acts of war, acts of nature, fire, flood or other natural disasters, government requirements, wars, riots, strikes, power failures, or embargoes) and (b) from satisfying whatever conditions precedent to the other Party’s obligations that cannot be satisfied due to acts or events beyond its reasonable control. In the event of such delays, the schedule will be extended for the duration of the delaying cause. Despite the preceding sentences, a Party is not excused from making any payment hereunder due to acts or events beyond its reasonable control. 20.3. Except as otherwise expressly provided in this Agreement, each Party shall bear any and all costs and expenses incurred by it in connection with the exercise of its rights and the performance of its obligations under this Agreement. 20.4. If a taxing authority or other governmental entity audits either Party, the other Party agrees to reasonably cooperate with the Party being audited in order to respond to any audit inquiries in an appropriate and timely manner, so that the audit and any resulting controversy may be resolved expeditiously. 20.5. Relationship of the Parties. This Agreement may not be construed as creating an agency, partnership, joint venture, or any other form of legal association between the Parties other than as expressly set forth therein. No Party has any right or authority to assume or create any obligation of any kind or to make any representation or warranty on behalf of the other Party, whether express or implied, or to bind the other Party in any respect whatsoever. 20.6. No Third Party Beneficiaries. No provisions of this Agreement are intended or may be construed to confer upon or give to any person or entity other than the specific Parties hereto and their Affiliates (as applicable) any rights, remedies, or other benefits under or by reason of this Agreement, except as expressly provided herein. 20.7. Nokia may issue a press release or make other public announcements announcing the execution, existence or implementation of this Agreement. Except as provided in the preceding sentence, neither Party shall release or publish news releases, announcements, advertising or other publicity relating to the Products or Services or mentioning or implying the name, trademarks, logos, service marks or other identification of the other Party or its Affiliates or their respective personnel without the prior review and written consent of the other Party. 20.8. Customer shall not assign or otherwise transfer any of its rights or delegate any of its obligations under this Agreement, without the prior written consent of Nokia, in each instance. Nokia may assign or otherwise transfer any of its rights or delegate any of its obligations under this Agreement without the prior consent of Customer. Nothing precludes Nokia from employing a subcontractor in carrying out its obligations under this Agreement. Nokia’s use of such subcontractor will not release Nokia from its obligations under this Agreement. Any purported assignment of rights or delegation of obligations in violation of this Section is void ab initio. 20.9. The Parties may amend, supplement, or rescind this Agreement only in a writing executed by both Parties. The Parties may not waive any provision of this Agreement, except pursuant to a writing executed by the Party against whom any waiver is sought to be enforced. No failure or delay in exercising any right or remedy or requiring the satisfaction of any condition under this Agreement and no course of dealing between the Parties will operate as a waiver or estoppel of any right, remedy or condition. A waiver made in writing on one occasion is effective only in that instance and only for the purpose that it is given and is not to be construed as a waiver on any future occasion or against any other person. No single or partial exercise of any right or remedy under this Agreement precludes the simultaneous or subsequent exercise of any other right or remedy. 20.10. If any provision of this Agreement is determined to be invalid, illegal or unenforceable, the remaining provisions of this Agreement remain in full force and effect, if the essential terms and conditions of this Agreement for both Parties remain valid, legal and enforceable. 20.11. Compliance with Laws. Each Party will comply with all laws, legislation, rules, regulations, and governmental requirements applicable to the exercise of its rights and performance of its obligations under this Agreement. In case any national or state statute, or any local law or regulation or by-law of any duly constituted authority is changed or comes into force or its interpretation is revised after the Effective Date of this Agreement and such change, entry into force or revised interpretation would have an adverse effect on the Nokia DAC Service or either Party's performance of its obligations and undertakings thereunder, the Parties shall meet and discuss next steps and how to manage compliance with such law or regulation. Each Party shall comply with requirements of anti-corruption laws and shall not take any action that may violate these requirements. Parties will not pay, offer to pay or allow the payment of any monetary assets or valuables, directly or indirectly, to any person for influencing the actions or decisions of those persons in order to obtain any improper advantage or to implement other illegal purposes; do not carry out actions that are qualified by the law applicable for the purpose of this Agreement as giving/receiving of bribes or commercial bribery of any individual persons or entities, including, but not limited to, commercial organizations and their representatives, government and public authorities, state and municipal officials. By entering into this Agreement, Customer commit to complying with the requirements of the Nokia Code of Conduct, which is publicly available at http://company.nokia.com/en/about-us/corporate-governance/nokia-code-of-conduct. 20.12. Environment, Health, and Safety Compliance. Customer assumes full responsibility and cost for the health and safety of Customer’s network operations, including maintenance of any product (including the Product) and sites, and for the proper removal, control, collection, recycling, disposal, and reporting of Customer’s products (including the Product) and utilities at their end of life according to sound environmental principles including, if applicable, any such requirements in local legislation. 20.13. The laws of the State of New York as applied to contracts formed and intended to be performed within such state, without giving effect to conflicts of law principles, govern all matters arising out of or relating to this Agreement and the transactions it contemplates, including its interpretation, construction, performance and enforcement. Each Party hereby waives its right to trial by jury of any claim or controversy arising under or related to this Agreement. A Party bringing a legal action or proceeding against the other Party arising out of or relating to this Agreement or the transactions it contemplates must bring the legal action or proceeding in either the Supreme Court, New York County, Commercial Division or the United States District Court for the Southern District of New York. Each Party consents to the exclusive jurisdiction of the Supreme Court, New York County, Commercial Division or the United States District Court for the Southern District of New York and their respective appellate courts for the purpose of all legal actions and proceedings arising out of or relating to this Agreement or the transactions it contemplates. 20.14. The Parties have taken all necessary action to secure all consents, approvals and authorizations for the execution, delivery and performance of this Agreement, and to consummate all the transactions contemplated thereby. Assuming due authorization, execution and delivery hereof by the Parties, this Agreement is a legal, valid and binding obligation of each of the Parties, enforceable against each of them under its terms. Each Party's execution and delivery of this Agreement do not, and the performance of their respective obligations under it, will not conflict with any law or regulation to which each may be subject or conflict with or result in a breach of or constitute a default under any of the terms, conditions or provisions of any agreement to which each may be a party or by which each is bound. Each individual executing this Agreement on behalf of a Party has the actual authority and legal power to bind such Party to this Agreement. As used in this Agreement, “include,” “includes,” and “including” and the words that follow them are intended to be, and should be construed as, inclusive and not exclusive. 20.15. Nothing in this Agreement limits: (a) a Party’s right to apply to a competent court for injunctive or other equitable relief: (i) in relation to an infringement of Intellectual Property Rights; (ii) in respect of misuse of Confidential Information or breach of confidence; or (iii) for enforcement of an arbitral award; or (b) Nokia's right to initiate legal proceedings against Customer in any competent court for the purposes of collecting any payments due under this Agreement. 20.16. Remedies Cumulative. Unless expressly set forth herein to the contrary, a Party’s election of any remedies provided for in this Agreement are not exclusive of any other remedies available thereunder or otherwise at law or in equity, and all such remedies are deemed to be cumulative. 20.17. The Parties have jointly participated in the negotiation and drafting of this Agreement. This Agreement will not be construed against either Party due to authorship. This Agreement does not and is not intended to confer any rights or remedies upon any person other than the Parties. 20.18. This Agreement is the final agreement between the Parties, and supersedes all prior oral and written negotiations and agreements between the Parties, on the matters contained in this Agreement. The provisions of this Agreement may not be explained, supplemented, or qualified through evidence of trade usage or a prior course of dealings. In entering into this Agreement, neither Party has relied upon any statement, representation, warranty, or agreement of the other Party except for those expressly contained in here. There are no conditions precedent to the effectiveness of this Agreement other than execution and delivery. In case of any conflict between a provision of this Agreement and that of any Addendum or attachment, the provision of the Addendum or attachment takes precedence. 20.19. Each Party agrees that: (a) a facsimile, email or other electronic reproduction of its handwritten, electronic or digital signature be regarded as an original signature; and (b) this Agreement can be executed in counterparts, each of which, whether original, electronic or copy, shall be deemed an original. Procuring Nokia Loaned Items. Customer may procure Nokia Loaned Items by submitting an Order in response to that offer, identifying the Products to be loaned. Nokia Loaned Items remain the property of Nokia or its third-party suppliers at all times. 2. Right to Use Nokia Loaned Items. Subject to Customer’s compliance with the terms of this Agreement, Nokia grants Customer a personal, limited, non-exclusive, non-transferable, non-sublicensable, royalty-free license to use the Nokia Loaned Item(s) solely for the purpose of using the Nokia DAC Service, and solely for use at Customer’s site (or the location otherwise agreed in writing with Nokia) and for Customer’s Home DAC Network for the duration of the Loan Period. 3. Liability for the Nokia Loaned Items. Customer will bear the risk of all loss and/or damage to each Nokia Loaned Item from the date on which Customer receives such Nokia Loaned Item until Customer has returned such Nokia Loaned Item back to Nokia. 4. Returning the Nokia Loaned Items. Customer must return the Nokia Loaned Items and any related materials back to Nokia: (i) to the location specified in the Order Confirmation as Return Location on the date specified in the Order Confirmation as Return Date, or as otherwise reasonably instructed by Nokia; and (ii) immediately upon any termination or expiration of this Agreement. 5. Customer’s Option to Purchase the Nokia Loaned Items. Customer may, at Customer’s option, purchase one or more of the Nokia Loaned Items (except for Nokia Loaned Items that are not generally available) and license the applicable Nokia Software by sending Nokia an Order for such purchase and license, at a price equal to the replacement value specified in the Order confirmation or otherwise agreed between Nokia and Customer.
