. GENERAL TERMS 1. Applicability. This document and all attachments incorporated by reference form the IZO Private Connect Service Schedule (“Service Schedule"). To order the Services making up the Tata Communications IZO Private Connect Solution (“Solution”), the Parties must execute an Order Form that expressly incorporates: i) this Service Schedule, and ii) a General Terms and Conditions or Master Services Agreement document (“GT&Cs” or "General Terms"). The GT&Cs, Service Schedule, and Order Form, and all other documents they incorporate by reference, constitute the “IZO Private Connect Solution Agreement” or “Solution Agreement”. The Solution Agreement governs the delivery and Customer’s receipt of the Solution. 2. Definitions. Capitalized terms used in this Service Schedule but not otherwise defined herein shall have the meaning given to them in the GT&Cs. In this Service Schedule, references to “Supplier” means the Tata Communications entity supplying the Service in a given country, and references to “Customer” means the Customer entity that executed the relevant Order Form to receive the Services. For the definition of all other terms capitalised but not defined herein, please refer to the section on definitions under the Additional Service Terms and Conditions. 3. Solution Description. 3.1. Services Forming the Solution: IZO Private Connect is a managed solution that connects Customers network from a specified point of interconnect at its premises or data centre facility (“Customer Site”) to a cloud service hosted by a third-party platform or application provider (“Cloud Service Provider" or "CSP”). This connection is enabled by the Supplier through a Supplier Point of Presence (“PoP”). Unless otherwise provided under the Order Form, the Supplier PoP is connected to the CSP PoP to connect the Customer Site to the CSP. Customer may select any of the following connectivity options in the Order Form: (i) IZO Private Connect with Global Virtual Private Network Services (“GVPN”); (ii) IZO Private Connect with Ethernet Services; or (iii) IZO Private Connect with Third Party Access Service. With either Option (i) or (ii), Customer may also order a Local Loop. For each connectivity option, the IZO Private Connect Solution supports the following: (i) choice of Site(s) of interconnection; and (ii) choice of connection speeds. 3.2. Other Services: By agreement between the Parties, the Solution may be sold with other supported services provided by Supplier which are not listed in Section 3.1 or Section 3.2 above. The provision of such other services shall require the Parties to adopt additional terms to govern such other services. 3.3. Service Level Agreement and Service Credits: For purposes of this Solution, the controlling Service Level Agreement(s) and Service Credits shall be as set forth in Annex A. 4. Restrictions. The Solution does not include, and Supplier is not responsible for cloud services. Customer must have an independent contractual relationship with the CSP for cloud services. In addition, Supplier does not provide any Customer Premises Equipment (“CPE”) as part of the Solution. 5. Ordering. The Solution is made up of the constituent Services ordered by Customer in the Order Form. The Order Form(s) also identifies the specific entities ordering the Solution in different countries as well as the Services, pricing, and billing information applicable to the Solution in such countries. All Order Forms executed by Customer and accepted by Supplier are separate Agreements between the Supplier and Customer entities executing the given Order Forms unless otherwise set forth therein. 6. Order Form Supplementation. The initial Order Form shall be executed between the Supplier and Customer. Unless otherwise agreed in writing, subsequent supplementation of such mutually executed Order Forms shall be accepted by Customer by way of execution, within such timeframe as Supplier may identify (“Order Supplementation”). Any change that the Customer makes to an Order Supplementation shall be deemed a counteroffer that will not be effective unless and until acknowledged by Supplier in writing. Order Supplementation shall include changing Service quantities, rates, or technical requirements. Termination of individual Services by Customer, to the extent permitted under the Solution Agreement, may be accomplished via written notice to Supplier, such as via email. 7. Charges. Customer agrees to pay Supplier the Non-Recurring (i.e., One-Time) charges (“NRC”), Local Loop Charges (if applicable), and Monthly Recurring Charges (“MRC”) and/or usage based fee, as may be applicable, under the Order Form (together, the “Charges").
