1. Definitions
In these terms and conditions:

"Agreement" means this document, including any amendments.
"Services" means the managed services provided by GCT as described in the agreement.
"Customer" means the individual or entity that has agreed to receive services from GCT.
"GCT" means the provider of the Azure managed services.
2. Duration and Termination
This Agreement is valid for 12 months from the start date. Either party may terminate the Agreement with 30 days written notice.

3. Services Provided
GCT agrees to provide the following services under this Agreement:

24/7 Azure infrastructure monitoring and management.
Regular updates and patch management.
Incident response and resolution.
Monthly performance reports.
4. Customer Obligations
The Customer agrees to:

Provide GCT with necessary access to their Azure environment.
Promptly inform GCT of any issues or changes in their environment.
Pay the agreed service fees as per the invoicing schedule.
5. Payment Terms
Payments are due within 30 days of the invoice date. Late payments may incur a 1.5% monthly interest charge.

6. Confidentiality
Both parties agree to keep all information exchanged confidential and to use such information solely for the purpose of fulfilling this Agreement.

7. Limitation of Liability
GCT's liability under this Agreement is limited to the amount paid by the Customer for the services in the 12 months preceding the claim.

8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which GCT operates.

9. Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the parties.

10. Amendments
This Agreement may only be amended by a written document signed by both parties.
