TERMS OF USE:  The software provided for download, or on your Motorola Solutions device, (the “Software”) is intended only for use by authorized, licensed customers of Motorola Solutions Inc. (“Motorola Solutions”).  You are authorized to use the Software solely in conjunction with Motorola Solutions’ products or services. As used hereinafter, “user” means you, your employer, its employees and agents. Access, retention or use of the Software by the user constitutes acceptance of these terms. The use of the Software is subject to the terms and conditions of these Terms of Use and any agreement in force between you and Motorola Solutions. Any personal or other use of the Software is strictly prohibited and you must remove the Software, documentation and all copies thereof if you are not authorized to access or
use the Software. The Software must only be activated and used with a gateway/server or radio
management software provided by Motorola Solutions. The user’s right to use the Software will
automatically and immediately terminate if the user breaches any term herein. Upon termination, the user must remove the Software, documentation and all copies thereof. Title to the Software, including all rights in patents, copyrights, and trade secrets, remain vested exclusively in Motorola or its licensors. The Software may be protected by United States patent and/or copyright laws and international treaty provisions.  Motorola Solutions may gather certain system related data from your use of the Software, including but not limited to information about processor usage, memory usage, software errors and related information (“System Data”). You hereby grant to Motorola Solutions a personal, perpetual, irrevocable, royalty-free, non-exclusive license to use, copy, store, sublicense and create derivatives of the System
Data.  All right, title and interest in and to such derivatives created by Motorola Solutions, or for
Motorola Solutions by a third party, will vest in Motorola Solutions, including any intellectual property rights therein. These Terms of Use are governed by the laws of the United States of America to the extent that they apply and otherwise by the laws of the State of Illinois.  MOTOROLA, MOTO, MOTOROLA SOLUTIONS and the Stylized M Logo are trademarks or registered trademarks of Motorola Trademark Holdings, LLC and are used under license. NOTWITHSTANDING THE FOREGOING, MOTOROLA SOLUTIONS’ TOTAL LIABILITY TO YOU FOR ALL LOSSES, DAMAGES, AND CAUSES OF ACTION, INCLUDING BUT NOT
LIMITED TO THOSE BASED ON CONTRACT, TORT OR OTHERWISE, ARISING OUT OF YOUR USE OF THE SOFTWARE, OR ANY PROVIDED CONTENT OR LINKS, WILL NOT EXCEED THE AMOUNT YOU PAID TO ACCESS AND USE THE SOFTWARE.
