Terms & Conditions
The License Agreement is a legal agreement between Customer (either an individual or a company) and WaveAccess.

The Agreement covers the purchase, install and use of the Products developed by WaveAccess and Services associated with Products.

By installing and using any WaveAccess Product from Microsoft Azure Marketplace, you acknowledge that you have read, understood and agreed to be bound by to the following clauses (Agreement):

We are the copyright holder of the Products. The Product or any portion of it is a copyrightable matter and is under protection of the law.

Any activity that infringes Terms and Conditions of this Agreement violates the copyright law and will be prosecuted according to the current law.

We reserve the right to revoke the license of any user who is holding an invalid license and infringing Terms and Conditions of this Agreement.

We retain all rights and titles, including all copyright and intellectual property rights, related to the Products and all copies thereof.

You may not use all or any part of the code in whole or in part in any other software or product or website besides respective platforms for which the Product is installed.

You are prohibited to give, sell, distribute, sub-license, rent, lease or lend any portion of the Product or documentation to anyone.

You may not place the Product on a server so that it is accessible via a public network such as the Internet for distribution purposes.

You are bound to preserve the copyright information intact.

We reserve the right to publish a selected list of buyers of our Products.

We provide the Products on an as is basis.

WaveAccess makes no representations or warranties, expressed or implied, with respect to the Products other than what is stated elsewhere in this Agreement.

Subject to the foregoing and following, but not limited to, WaveAccess makes no representations or warranties (i) of commercial utility, (ii) of merchantability or fitness for a particular purpose,

or (iii) that the use of the Products will not infringe any patent, copyright, trademark or other proprietary or property rights of others.

WaveAccess expressly disclaims any warranty that the Products are free from the rightful claims of any third party.

Subject to the foregoing, WaveAccess shall not be liable to Customers or any third party with respect to any claim on account of, or arising from,

the use of the Products supplied hereunder or the manufacture, use or sale of products or any other materials or items derived there from.

We will not be liable to you for any damages (including any loss of profits/saving, or incidental or consequential) caused to you, your information and your business arising out of the use or inability to use the Product.

We are not liable for any illegal use or prosecution arising from the use of the Product against the law. WaveAccess reserves the right to change this License Agreement at any time and impose its clauses at any given time.

If the Customer fails to use the Products in accordance with the Terms and Conditions of this License Agreement, it constitutes a breach of the Agreement, and Customer’s license to use the Product will get cancelled.

Termination due to the violation of the License Agreement does not obligate WaveAccess to return the amount spent for purchase of Products by the Customers

License agreement will remain effective until it is terminated.

We retain the right to terminate your license to use the Product at any time, at its sole discretion, if you make any breaches of the Terms and Conditions of the Agreement,

including, but not limited to, obscuring or removing any link or copyright notice as specified in this Agreement.

You may terminate it at any time by destroying all copies of the product.

If you continue to use the Product after WaveAccess gives you the notice of termination of your license, you hereby agree to accept an injunction to ban you from its further use and judgment to enforce our revocation of your
license and you are obliged to pay all costs (including but not limited to reasonable attorney fees) and any damages suffered by us because of your misuse of the Software

Restrictions of use
As a Customer you agree that:

  • you will comply with any applicable restrictions on downloading, using or otherwise exporting the Product;

  • you will not install or use the Product on a jail-broken or rooted device;

  • you will not use the Product in any unlawful manner or in a fraudulent or malicious manner;

  • you will not attempt to derive income from the use or provision of the Product, whether for direct commercial or monetary gain or otherwise;

  • you will not bypass or attempt to bypass the in-built security of the Product or of our systems; and you will not attempt to interfere with any transmissions to or from the Product and/or the servers supporting the Product.

  • you will not use profanity within the Product, either in comments or as part of your user name or email

    • Email Address
    E-mail address must be valid and correct because they will be used for communication purposes. It is strongly recommended to use the e-mail address associated with your company.

    Free emails can be used for registration and checkout process, but orders placed by using free email service addresses will be checked more thoroughly and may take longer for activation as a result.

    Support Policy
    WaveAccess offers 3 months Free Support, from the purchase and install date, which covers only the normal use and operation of the unmodified by Customer or third party

    Products on compatible platforms and with permissible software or hardware according to the present Terms and Conditions of the Agreement.

    Without any additional charge, our support team will provide all reasonably necessary written consultation requested, in connection with use and operation of the Product
    or any problems therewith to the customers, within the above-stated period of time.

    Support team reserves the right to ignore any appeals or requests that do not comply with the present Terms and Conditions of the Agreement

    Confidentiality
    Each party agrees that it shall not disclose to any third party any information concerning the Сustomers, trade secrets, methods, processes or procedures or any other confidential,

    financial or business information of the other party which it obtains during the period of the performance of this Agreement without the prior written consent of such other party.

    This obligation shall survive the cancellation or other termination of this Agreement or License.

    WaveAccess’s Products contain trade secrets and proprietary know-how that belong to WaveAccess and it is being made available to Licensee in strict confidence.

    Severability

    If any part of the Terms and Conditions is held to be invalid or unenforceable by current law or regulation or judgment of a competent court,

    that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

    Waiver

    Either party’s failure to insist on or enforce strict performance of any of the Terms and Conditions will not be construed as a waiver of any provision or right.

    Changes To Terms & Conditions

    Please note that these Terms and Conditions may change from time to time. WaveAccess reserves the right to modify these Terms and Conditions at any time.

    Regardless, we will post any Terms and Conditions changes on this page and, if the changes are significant, we will provide a more prominent notice.

    The above Terms and Conditions go into effect on 01 April, 2019.
