By executing and submitting this Order, Customer expressly agrees to the Agreement, and applicable Licensing/Service Terms in Smart Software’s Master SaaS Agreement here: https://smartcorp.com/master-saas-service-level-agreement/.  Upon complete execution, under the terms of this Order and in consideration for payment of the fees noted below, Smart Software agrees to sell/license (as applicable) the following Products to Customer in the following configuration. Where applicable, the Products acquired hereunder will be invoiced on a prorated basis, in advance, where applicable.

All prices listed herein are exclusive of freight and applicable sales tax, VAT, GST, or other similar taxes or governmental surcharges.  Invoices will include any applicable tax or similar that Smart Software is required to charge and customer is responsible for payment if invoiced. Once executed and submitted, this Order is irrevocable, non-cancellable and final, unless cancelled with Smart Software’s written agreement. The term of this Agreement commences on the date of execution and continues for a period of 12 months.   Unless otherwise stated above, recurring SaaS, Subscription and Hosting Fees are priced on a monthly basis, but payable annually in advance.  The Agreement will automatically renew for 12 months unless either party gives the other party written notice of non-renewal at least ninety (90) days prior to the expiration of the then-current Subscription Term.  The annual subscription fee increase of 5.5% % per year will apply unless otherwise agreed as a 3-year or longer agreement.
