Terms and Conditions for Pera Experience Platform on Microsoft Azure Welcome to the Pera Experience Platform, a comprehensive loyalty engine solution for Retail, Commerce, Sports Clubs, Quick Service Restaurants (QSR), and various other industries. By accessing or using our software-as-a-service (SAAS) platform on Microsoft Azure Marketplace, you agree to comply with and be bound by the following terms and conditions. Please read them carefully. 1. Acceptance of Terms By using the Pera Experience Platform ("the Platform"), you agree to these Terms and Conditions ("Terms"), our Privacy Policy, and any additional terms applicable to certain programs in which you may elect to participate. If you do not agree to these Terms, do not use the Platform. 2. Description of Service The Pera Experience Platform provides a loyalty engine designed to help businesses in Retail, Commerce, Sports Clubs, QSR, and other industries manage and enhance their customer loyalty programs. The Platform includes tools for creating, managing, and analyzing loyalty campaigns and customer engagement strategies. The Platform is hosted on Microsoft Azure, leveraging Azure's robust cloud infrastructure to ensure high availability, security, and scalability. 3. User Responsibilities As a user of the Platform, you agree to: Provide accurate and complete information during the registration process and maintain the accuracy of such information. Use the Platform in compliance with all applicable laws, regulations, and these Terms. Not use the Platform for any unlawful or fraudulent purposes. Maintain the confidentiality of your account information, including your username and password, and notify us immediately of any unauthorized use of your account. 4. Subscription and Payment Access to the Platform is provided on a subscription basis. By subscribing to the Platform, you agree to pay all applicable fees as described in the subscription plan selected. Subscription fees are non-refundable except as required by law. Payment processing and subscription management are facilitated through Microsoft Azure Marketplace. 5. Use of Microsoft Azure By using the Platform, you acknowledge and agree that the Platform is hosted on Microsoft Azure. You agree to comply with all applicable terms and conditions of Microsoft Azure, including but not limited to the Microsoft Cloud Agreement. Any violation of the Microsoft Cloud Agreement may result in the termination of your access to the Platform. 6. Intellectual Property All content, trademarks, service marks, trade names, logos, and icons displayed on the Platform are the property of Pera Experience Platform or its licensors and are protected by intellectual property laws. You may not use any of these materials without the prior written consent of Pera Experience Platform. 7. Data Privacy Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to the collection and use of your data as outlined in our Privacy Policy. Additionally, data storage and processing are subject to Microsoft Azure's privacy and security policies, which can be found here. 8. Limitation of Liability To the maximum extent permitted by law, Pera Experience Platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: Your use of or inability to use the Platform. Any unauthorized access to or use of our servers and/or any personal information stored therein. Any interruption or cessation of transmission to or from the Platform. Any issues related to the use of Microsoft Azure services. 9. Termination We reserve the right to suspend or terminate your access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Platform, us, or third parties, or for any other reason. 10. Modifications to the Terms Pera Experience Platform reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Platform. Your continued use of the Platform following the posting of changes constitutes your acceptance of such changes. 11. Governing Law These Terms and any disputes arising out of or related to these Terms or the Platform will be governed by and construed in accordance with the laws of the jurisdiction in which Pera Experience Platform is headquartered, without regard to its conflict of law principles. 12.
