TERMS OF USE OF SOFTWARE IN THE CLOUD IN THE MODALITY SaaS (SOFTWARE AS A SERVICE)

ATTENTION: By clicking "Accept" or using the software provided by MULT-CONNECT ("Company"), you ("Customer") agree to comply with the terms and conditions of this Cloud Software Term of Use Agreement in SaaS mode ( "Contract"). If you do not agree with these terms, do not use the software.

USE LICENSE
1.1. The Company grants the Customer a non-exclusive, non-transferable, limited and revocable license to access and use the cloud software ("YCRYPTO") in SaaS (Software as a Service) mode during the term of this Agreement.

INTELLECTUAL PROPERTY
2.1. Customer acknowledges and agrees that all intellectual property rights in YCRYPTO, including but not limited to copyrights, patents, trademarks, trade secrets and any other proprietary rights, belong to the Company or its licensors.

USE RESTRICTIONS
3.1. Customer may not: (a) sublicense, resell, rent, lease, distribute, assign or transfer YCRYPTO or any part thereof; (b) modify, adapt, create derivative works of YCRYPTO or incorporate YCRYPTO into other products or services; (c) decompile, disassemble or reverse engineer YCRYPTO except as permitted by law.

SUPPORT AND UPDATES
4.1. The Company will provide technical support to the Customer as described in the YCRYPTO documentation or as agreed by the parties in a separate agreement. The Company may, at its discretion, make updates and improvements to YCRYPTO available to the Customer, subject to the terms of this Agreement.

DATA PRIVACY AND SECURITY
5.1. The Company will protect and maintain the security of Customer data in accordance with applicable laws and regulations and as described in the Company's Privacy Policy, available on the Company's website. The Client agrees to provide the Company with all the data necessary for the execution of the services and will be responsible for the veracity and quality of this data.

PAYMENT
6.1. The Customer will pay the Company the applicable fees for the services provided in SaaS mode, as agreed between the parties. Usage fees will be billed periodically and must be paid within the stipulated period.
TERM AND TERMINATION
7.1. This Agreement is effective on the date Customer accepts the terms and conditions and will remain in effect until terminated by either party. Either party may terminate this Agreement at any time, for any reason, upon thirty (30) days written notice.

LIMITATION OF LIABILITY
8.1. In no event shall the Company be liable for any indirect, incidental, special, punitive, exemplary or consequential damages, including, but not limited to, loss of profits, business interruption, loss of data or failure to perform YCRYPTO . The Company's total liability for any reason and for all reasons, arising out of or related to this Agreement and the Customer's use of YCRYPTO, shall not exceed the total amount of fees paid by the Customer to the Company in the 12 (twelve) months immediately preceding the occurrence of the complaint.

INDEMNITY
9.1. Customer agrees to indemnify, defend and hold harmless the Company, its officers, employees, agents and representatives from any claim, action, suit, liability, loss, damage, cost or expense, including reasonable attorneys' fees, arising out of or relating to the use of YCRYPTO by Customer in breach of this Agreement.

APPLICABLE LAW AND JURISDICTION
10.1. This Agreement will be governed by and construed in accordance with the laws of Brazil. Any dispute arising out of or relating to this Agreement will be submitted to the exclusive jurisdiction of the courts located in São Paulo, and the parties agree to submit to the personal and exclusive jurisdiction of such courts.

GENERAL PROVISIONS
11.1. A waiver of any breach or default of this Agreement will not constitute a waiver of any subsequent breach or default. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
11.2. This Agreement, including any exhibits or documents incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, oral or written, between the parties.
