The terms and conditions set forth in this Service Agreement apply to the webcasting, video storage, video-on-demand and other related technologies and services (hereinafter referred to as the Services) provided by the https://io.danghongyun.com Website that you use. Accept the Terms 1.1 If you choose to accept this Agreement by stamping, clicking on the network page or otherwise choosing to accept this Agreement, it means that you and Arcvideo Cloud have reached an agreement and agree to accept all the contents of this Agreement and be bound by it. Hereby remind you that before accepting this Agreement, please read carefully and fully understand all the contents of this Agreement. If you have any questions about any of the terms of this Agreement, please consult the relevant business departments of Arcvideo Cloud, and if you do not agree with any of the contents of this Agreement or cannot accurately understand Arcvideo Cloud's interpretation of the relevant terms of this Agreement, please do not proceed with the follow-up operations. Terms of Registration 2.1 When you register through Arcvideo Cloud, you shall provide true, accurate, immediate and complete information as required, including but not limited to the name or title of the contact person and/or administrator, contact address, contact number, email address, etc., and the enterprise user needs to submit the company's business license, organization code certificate, legal person information, bank account opening information, etc.; if your information changes, you shall update it online and notify Arcvideo Cloud in a timely manner; if your information is untrue, inaccurate or incomplete or the contact person and/ or any consequences caused by the act or inaction of the administrator shall be borne by you, Arcvideo Cloud has the right to suspend or terminate your account. 2.2 You shall keep the data stored on the Arcvideo Cloud Platform and the passwords for accessing and managing various products and services on the Arcvideo Cloud Platform properly, and shall not transfer or lend them to other third parties for use, and you shall be solely responsible for any losses and consequences caused by the loss or leakage of the aforesaid data and passwords due to your improper maintenance or improper storage. Service Notice 3.1 When using Arcvideo Cloud Services, you shall comply with relevant laws and regulations, this Agreement and the relevant management norms and procedures on the www.danghongyun.com website. Unless otherwise expressly stated, this Agreement shall apply to new products, new functions and new services launched by Arcvideo. You should be aware that the contents including but not limited to the aforesaid agreements, specifications, product systems, names and prices may change from time to time, and if such changes occur, we will announce the changes on the appropriate page of the website. If you do not agree to the changes, you have the right to stop using Arcvideo Cloud services, in which case, you shall settle the relevant service fees (if any), and if you continue to use Arcvideo Cloud services, you shall be deemed to have accepted the aforesaid changes and be bound by them. 3.2 Arcvideo Cloud Service is a prepaid service, you shall pay the corresponding service fee in accordance with the current effective price system prompted on the website page and the agreement of this Agreement, and the aforesaid service fee will be publicized on the order page. You should be aware that all the free service items or activities in the price system of Arcvideo Cloud are one-time special offers of Arcvideo Cloud in addition to the normal service price, and the preferential content does not include the modification, update and maintenance fees of the free service items, and the free service items cannot be discounted to offset the service price. Once you've prepaid, we'll start providing the service, and you'll want to check your account balance frequently to make sure you're ready to top up. If your prepaid fees are not recharged in time or the balance is insufficient, we have the right to suspend all services and/or technical support at any time without notice, and you shall be solely responsible for any consequences arising therefrom. 3.3 You shall be responsible for handling and resolving user inquiries and complaints caused by non-network communication problems, providing effective and smooth channels for accepting complaints, and actively cooperating with us in handling user complaints when necessary. You are ultimately responsible for handling and resolving user complaints that cannot be reasonably explained by either party. 3.4 Arcvideo Live Platform has the right to review the applications provided by you, including but not limited to content review, functional testing, security testing, etc. If it is found that your application does not comply with national laws, regulations and policies, or the application you provide may infringe upon the legitimate rights and interests of others or contain advertising information to other third parties, or other circumstances that do not meet the requirements, Arcvideo has the right not to access and transmit it, and if it has been accessed and transmitted, Arcvideo has the right to immediately stop the access and transmission, keep relevant records, report to the relevant competent authorities, and delete or remove any website content or application you publish without notice. However, this agreement shall not be deemed to be the legal guarantee for the application provided by you Arcvideo Cloud provides you, and you shall provide the guarantee for the application provided by you and assume all the responsibilities arising therefrom. 3.5. In the event of a dispute over the application provided by you, including but not limited to the application infringing on the legal rights of others, litigation, major complaints, and major circumstances of breach of contract, Arcvideo has the right to stop the testing and launch of the application and freeze your account. If you are involved in the aforesaid disputes due to your reasons, Arcvideo has the right to require you to compensate for all the aforesaid losses in advance, and also has the right to deal with it in advance and require you to provide necessary support and assistance. Notwithstanding the foregoing, Arcvideo Cloud also has the right to require you to bear the liability for breach of contract in accordance with this Agreement. 3.6 During the service period, Arcvideo will provide you with 7 ×24. After-sales fault service, and provide you with effective contact information and ensure that you can contact the fault contact, and the fault contact person will give feedback in a timely manner after the fault is clear; Arcvideo Cloud is only responsible for the operation and maintenance of the underlying part of the Arcvideo platform and the software provided by Arcvideo Cloud, if the fault is due to the inaccessibility caused by your failure to correctly configure in accordance with the relevant documents provided by the Arcvideo platform or the service failure caused by your own technical reasons, it is not within the scope of the Arcvideo service. 3.7 Arcvideo Cloud will eliminate the failure caused by your non-human operation, except for your reasons and/or force majeure and matters beyond the control of Arcvideo Cloud. 3.8 You should be aware and acknowledge that the data center may be relocated if necessary. Arcvideo will notify you 7 days in advance before the above operations, because the above operations may need to modify the DNS of your relevant domain name, so you need to modify the DNS to the designated IP in accordance with the required time after receiving the notice of Arcvideo, otherwise you shall be responsible for the inaccessibility of the website. 3.9 Arcvideo reserves the right not to provide you with services and/or technical support, or to terminate services and/or technical support before you have paid all fees as agreed. User Management 4.1 If you use the services provided by Arcvideo Cloud to carry out business activities that require the license or approval of the relevant state departments, you shall obtain the relevant license or approval in advance. You shall keep the access log records of your website in accordance with the provisions of the Measures for the Administration of Internet Information Services, the Provisions on the Administration of Internet Electronic Bulletin Services, and other laws and regulations, including the content of the published information and the time of its release, Internet address (IP), domain name, etc., and the relevant state authorities shall cooperate in providing them when making inquiries in accordance with the law. You shall be solely responsible for all legal liabilities arising from your failure to keep relevant records as required. 4.2 You undertake that: A) Except for obtaining prior written permission, the software and code provided by Arcvideo Cloud shall not be modified, translated, adapted, rented, sublicensed, disseminated or transferred on the information network, nor shall it be reverse engineered, decompiled or otherwise attempted to discover the source code of the software provided by Arcvideo Cloud; B) Shall not disseminate spam text messages, harassing text messages, spam calls, harassing phone calls, and e-mail advertisements that violate relevant national laws and regulations and are unfavorable to Arcvideo Cloud; shall not use the services provided by Arcvideo Cloud to distribute a large number of unwelcome or unsolicited electronic advertisements or text, voice and video content containing reactionary, pornographic and other harmful information; C) The following information or content shall not be broadcast live by using the resources and services provided by Arcvideo Cloud, and shall not provide any convenience for others to broadcast such information: i. Political propaganda and/or news information that violates state regulations; ii. Information involving state secrets and/or security iii. feudal superstition and/or obscene, pornographic, indecent or instigating crime; iv. Illegal Internet publishing activities such as gambling prizes, gambling games, "private servers", "plug-ins", etc.; v. Information that violates the ethnic and religious policies of the State; vi. Information that interferes with the operation of the Internet; vii. Information that infringes upon the legitimate rights and interests of others and/or other information or content that is detrimental to social order, social security, and public morality; viii. Other content that violates laws, regulations, departmental rules or national policies d) Do not establish or use relevant equipment, configuration and run programs or processes unrelated to the purchased services, resulting in a large occupation of server memory, CPU or network bandwidth resources in the platform composed of Arcvideo Cloud resources (such as network bandwidth, storage space, etc.), affecting the smooth connection between Arcvideo Cloud and the Internet or between Arcvideo Cloud and specific networks, servers and Arcvideo Cloud, or causing the server where Arcvideo Cloud platform products and services or other user websites of Arcvideo Cloud are located, crashes or the user's products/applications based on the Arcvideo platform are inaccessible, etc.; e) Do not make any changes or attempts to change the system configuration provided by Arcvideo Cloud or undermine the system security; f) Do not engage in other illegal, illegal or non-compliant behaviors that violate the terms of this Agreement. 4.3 If you violate the provisions of the above clauses, Arcvideo has the right to take corresponding measures according to the situation, including but not limited to immediately terminating/suspending the service, keeping relevant records, reporting to the relevant competent authorities, and deleting the corresponding information Storage, destruction and download of data 5.1 In order to serve you, Arcvideo Cloud may release information to you, including but not limited to product and service information. 5.2 You should be aware that your data will be partially or wholly disclosed in the following circumstances: a) with your consent, to third parties; B) Disclosure to third parties or administrative or judicial authorities in accordance with laws and regulations or requirements of administrative or judicial authorities; c) To protect the legitimate interests of the public and Arcvideo Cloud; D) Arcvideo Cloud may cooperate with a third party to provide you with relevant software or services, if you use such services, it shall be deemed that you agree that the third party knows your data. 5.3 Unless otherwise stipulated by law and this Agreement, Arcvideo Cloud will no longer retain your data after 7 days from the date of termination of this Agreement, you shall be aware of and bear all the consequences arising from the destruction of its data. Confidentiality 6.1 Confidential information refers to all technical and non-technical information (including but not limited to product information, product plans, prices, financial and marketing plans, business strategies, customer information, customer data, research and development, software and hardware, API application data interfaces, technical descriptions, designs, special formulas, special algorithms, etc.) disclosed by one party to the other party. 6.2 Either party to this Agreement shall keep confidential the above-mentioned confidential information of the other party, and strictly restrict employees who have access to the above-mentioned confidential information to comply with the confidentiality obligations of this article. Unless required by a state organ in accordance with law or the above-mentioned confidential information has entered the public domain, the party receiving the confidential information shall not disclose it to the public. 6.3 This Agreement expressly recognizes important data assets such as user information and business data, as well as key confidential information. When all the live broadcast content of the users of the Arcvideo platform belongs to the live broadcast users, when the Arcvideo platform only provides software platforms and technologies to keep all the content confidential for the users, and at the same time, the content is not disclosed, disclosed or disseminated without the permission of the user, except for the mandatory disclosure or acquisition by state organs in accordance with the law. Both parties to this Agreement shall do their best to protect the above-mentioned confidential information from being disclosed or maliciously obtained by a third party. Once the above-mentioned confidential information leakage is discovered, the two parties shall cooperate and take all reasonable measures to avoid or mitigate the consequences of the damage. Intellectual Property 7.1 You represent and guarantee that the application published on the Arcvideo Cloud Platform has intellectual property rights, or has been legally authorized by the legal right holder in advance and used on the Arcvideo Cloud Platform in a licensed manner. You shall not publish, disseminate or share content that is not original or unauthorized use on the Arcvideo Cloud Platform, except for fair use or statutory permission in accordance with laws and regulations. You shall bear all legal responsibilities for the intellectual property rights of the applications and all materials released through the Arcvideo Cloud platform. 7.2 If you publish an app that contains professional information about meteorology, education, medical care, transportation, finance, film and television, animation, publications, information, etc., or an app that contains information such as avatars, logos, and body language of public figures, celebrities, and individuals, you should ensure that you have the legal right to use, portrait right, or image right. 7.3 You guarantee that the application you publish through the Arcvideo Cloud platform will not infringe the legal rights of any third party. If the application you publish infringes the legal rights of any third party, you will bear all relevant legal responsibilities and risks. If Arcvideo is involved in a lawsuit, claim or other judicial proceeding (hereinafter referred to as "Infringement Litigation") due to the infringement of the legal rights of a third party by your application, you agree to deal with and indemnify in accordance with the following provisions: (1) Arcvideo shall promptly notify you after the occurrence of the above-mentioned infringement lawsuit, and suspend the provision of services to you in the course of the above-mentioned infringement lawsuit. (2) You shall, after receiving the written notice of Arcvideo Cloud, appoint a representative to participate in the infringement lawsuit filed by the above-mentioned third party for the rights and interests of Arcvideo Cloud, and you shall provide necessary support and assistance to Arcvideo Cloud on litigation strategies and other matters during the course of the above-mentioned infringement lawsuit, and bear all litigation costs, attorney fees, travel expenses, settlement amounts or damages stipulated in effective legal documents, software usage fees and other expenses incurred. (3) Arcvideo Cloud has the right to require you to bear the liability for breach of contract in accordance with the provisions of this contract on liability for breach of contract. Term and Termination 8.1 The validity period of the service shall be calculated from the date of successful payment of your Arcvideo Cloud account (not from the date when you obtain the administrator login number and password of Arcvideo Cloud), and the service price shall be confirmed based on the amount of function fee you select. At the time of official use, in order to avoid the suspension or suspension of use caused by insufficient fees, please ensure that there is sufficient balance in the account. 8.2 The Service Period shall be terminated in advance under the following circumstances: a) Early termination by mutual agreement between the two parties; b) If you violate this Agreement (including but not limited to i. failure to perform payment obligations as agreed in the Agreement, and/or ii. serious violation of legal provisions, etc.), Arcvideo has the right to terminate the service in advance and will not refund the fees you have paid; c) You acknowledge and fully acknowledge that although Arcvideo has established (and will continue to improve according to the development of technology and market) the necessary technical and commercial measures to: i. Defend against matters or behaviors that endanger network security, including computer viruses, network intrusions, attacks and sabotage; ii. Construct a complete SMS, voice relay and video network to ensure the smooth operation of your services; iii. In view of the limitations and relativity of network security technology, the unpredictability of such behaviors, and the unpredictability of national and operator policies, Arcvideo may suspend or terminate the service at its own discretion due to technical or policy reasons. D) Arcvideo Cloud may notify you of the termination of this Agreement by notice on www.danghongyun.com 30 days in advance and notify you by way of notice, there is no need to give reasons. Disclaimer 9.1 You acknowledge and acknowledge that, in view of the particularity of computers and the Internet, the following circumstances do not belong to Arcvideo Cloud's breach of contract: a) Arcvideo Cloud is consuming and maintaining the server, it needs to interrupt the service for a short time; b) The uplink or downlink speed of your website is reduced due to problems such as channel blockage or weak signal on the Internet; c) Service interruption or failure to meet your requirements due to force majeure, computer virus or hacker attack, adjustment of relevant national industry authorities and operators, system instability, your location, your shutdown and any other technical, Internet, communication line reasons, etc.; d) Due to the unavoidable defects of the technical level of the industry, there are defects in the services provided by Arcvideo Cloud (such as Arcvideo Cloud cannot guarantee that your data storage is absolutely safe), but Arcvideo Cloud promises to continuously improve the service quality and technical level. e) Although Arcvideo Cloud provides a certain amount of free data storage services, it does not mean that free data storage is the obligation of Arcvideo Cloud. Arcvideo Cloud does not guarantee that the user's free storage data will not be lost, nor does it assume any responsibility for the user's free data storage and backup results, you have the obligation and responsibility to store and back up your own data for the second time. 9.2 Under no circumstances shall you be liable for any indirect, consequential, exemplary, incidental or special damages arising from the use of the services provided by the Arcvideo Cloud Platform, including the loss of profits suffered by you from using the Arcvideo Cloud services (even if you have been informed in advance of the possibility of such damages). 9.3 You should be aware and acknowledge that the use of the services provided by the Arcvideo Cloud Platform may have the risk of anonymous or impersonated information from any third party, including threatening, defamatory or illegal content or behavior, or infringement of the legal rights of others, and you shall bear the aforementioned risks. The implied warranties and conditions of title and non-infringement shall not be liable for any direct, indirect, incidental, special or consequential damages arising out of your improper or unlawful use of the Services. Force Majeure 10.1 If the performance of this Agreement is impossible, unnecessary or meaningless due to force majeure or other unexpected events, the party suffering from the force majeure or unexpected events shall not be liable. Force majeure and unexpected events refer to objective events that are unforeseeable, insurmountable and unavoidable and have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, plague epidemics, etc., as well as social events such as wars, turmoil, government actions, interruption of telecommunications trunk lines, hackers, network congestion, technical adjustments of telecommunications departments and government control, etc. Governing Law and Dispute Resolution 11.1 This Agreement shall be governed by the laws of the People's Republic of China. In the event of any dispute arising during the performance of this Agreement, the two parties shall resolve it through negotiation in a timely manner. If the negotiation fails, either party may directly file a lawsuit with the people's court where Arcvideo Cloud is located. Supplementary Provisions 12.1 Any attachment to this Agreement, the service description, price description and the subscription service content that you confirm and agree to on the page of this Agreement are an integral part of this Agreement. In the event of any inconsistency between the foregoing specific provisions and this Agreement, the foregoing specific provisions shall prevail. 12.2 If any provision of this Agreement is held to be invalid or unenforceable, it shall not affect the validity and binding effect of the remaining provisions of this Agreement. The provisions of this Agreement, including, but not limited to, warranties, confidentiality, intellectual property rights, law and venue shall survive termination of this Agreement. 12.3 In any case, the total liability of Arcvideo for the Terms of Service shall not exceed the total amount of the corresponding service fee.
