### Platform is delivered as a service
The Platform product is set up as a CI/CD solution that is continuously deployed to the customer tenant under this agreement. In the event of termination of the agreement, the installed platform is given to the Customer with full rights, to use the deployed Platform for the agreed purpose.

### Platform code is purchased exclusively
Fellowmind provides the platform, development including management modules to the Customer as described in a separate Statement of Work for offboarding (the “deliverables”), and the Customer acknowledge that the Deliverables are the sole and exclusive intellectual property and copyright of Fellowmind. However, Fellowmind grants the Customer a non-exclusive, non-transferable, non-assignable, non-sublicensable, perpetual license to copy, use and modify the deliverables for the purpose of deploying and maintaining the Platform developed specifically for the customer. This include that the Customer is allowed to offer to its customers to host the platform in their own tenant environment as part of the Customers offered products to its customers; however, the platform must solely contain and be used for the Customers products and no other applications and services. The Customer will not otherwise be allowed to rent, lease, lend, sell, assign, license, or otherwise transfer the deliverables or any portion thereof to any third party without the consent of Fellowmind.
