TERMS AND CONDITIONS FOR HITRUST SERVICES CORP. SERVICES/PRODUCT OFFERINGS LISTED ON MICROSOFT MARKETPLACE

The following Terms of Use (“Terms”) are between You (“You”) and HITRUST Services Corp. (“HITRUST”) and these Terms govern your access, offers, and engagement with HITRUST’s products and/or services offered (“Offering”) through the Microsoft Marketplace (“Marketplace”). Please read the Terms carefully before you access or request an offer with HITRUST through the Offering on the Marketplace. By using the Marketplace, you represent and warrant that you are of legal age to form a binding contract with HITRUST.

By using the Marketplace, you accept and agree to be bound by these Terms and HITRUST’s Privacy Notice, incorporated herein by reference. If you do not agree to these Terms and the Privacy Notice, you may not access or engage with HITRUST’s Offering on the Marketplace. 

HITRUST reserves the right to withdraw or amend the Offering or any component thereof, including, but not limited to these Terms, pricing, products, and services, in HITRUST’s sole discretion, and without notice to You. 
HITRUST MAKES NO WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AND HITRUST SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. CONTENT IS PROVIDED “AS IS,” EXCLUSIVE OF ANY WARRANTY WHATSOEVER IN RESPECT TO THE OFFERINGS MADE AVAILIBLE THROUGH THE MARKETPLACE. 

These Terms shall be governed by and construed in accordance with the laws of the State of Texas. You (a) consent that for any dispute regarding these Terms, to the exclusive jurisdiction and venue shall be the state or federal courts located in Collin County, Texas; (b) waive any argument or objection that such is an inconvenient forum or that venue is improper in such forum; and (c) agree not to bring any such action in any other jurisdiction or venue to which You be entitled to by domicile or otherwise.

IN ORDER TO RECEIVE ACCESS TO HITRUST PRODUCTS OR SERVICES YOU MUST FIRST SUBMIT A REQUEST THROUGH HITRUST’S MARKETPLACE OFFERING
1.)	UPON SUBMITTING YOUR REQUEST FOR HITRUST PRODUCT OR SERVICES, YOU WILL RECEIVE FOLLOW UP INSTRUCTIONS AND AN END-USER LICENSE AGREEMENT OR OTHER APPLICABLE AGREEMENT FROM A HITRUST PRODUCT SPECIALIST TO REVIEW AND EXECUTE. 
2.)	FOLLOWING YOUR REVIEW AND EXECUTION OF THE APPLICABLE AGREEMENT, WHICH WILL GOVERN YOUR USE OF HITRUST’S PRODUCTS AND/OR SERVICES PURCHASED THROUGH HITRUST’S OFFERING ON THE MARKETPLACE YOUR ACCOUNT WILL BE PROVISIONED WITHIN 24-72 HOURS AND YOU WILL BE ASSIGNED A HITRUST CUSTOMER SERVICE MANAGER TO ASSIST YOU WITH ANY ACCOUNT QUESTIONS. 

YOUR USE OF HITRUST PRODUCTS AND/OR SERVICES SHALL NOT START UNTIL THE APPLICABLE AGREEMENTS ARE EXECUTED. 

HITRURST EXPRESSLY RESERVES ANY AND ALL RIGHTS TO REJECT ANY REQUESTS MADE THROUGH THE MARKETPLACE FOR ANY REASON.
