This license agreement (“License Agreement”) is concluded between you (“you” or “Client”) and the Ekimetrics entity which provides you access to the application (“Ekimetrics”). By accessing or using the application (“Application”), you agree to be bound by the terms and conditions of this License Agreement. If you do not agree to the terms and conditions of this License Agreement, you are not authorized to access or use the Application. The License Agreement applies to all updates, modifications, or new versions of the Application, unless such updates or modifications are accompanied by a separate license agreement, in which case the terms of that agreement shall govern.

Scope of the license granted on the Application. Ekimetrics grants the Client a non-exclusive, personal license, for the territory of the specific legal entity for which the license is granted, to use the Application only for the own internal needs and purposes of the concerned entity. The Client acknowledges that Ekimetrics retains all rights, title, and interest in and to the Application, and that the license granted hereunder does not confer any ownership or proprietary rights to the Client. The Client agrees to use the Application only in accordance with the terms and conditions of this license agreement and to take all necessary steps to prevent unauthorized use or reproduction of the Application.

Restrictions of use. You shall not and commits not to: 
(i)	reverse engineer, decompile, translate, disassemble or attempt to discover any source code or underlying ideas or algorithms of the Application unless permitted under applicable law; 
(ii)	transfer, sublicense, sell, lease or lend the Application; 
(iii)	disclose or give access to the Application to a third party, except where expressly authorized by Ekimetrics; 
(iv)	remove or modify any notice of Ekimetrics’ proprietary rights on the Application; or
(v)	create any derivative works based on the Application. 
You are required to take all necessary measures to ensure that both its personnel comply with these conditions.

Additional services. Any additional services, including but not limited to consultancy services, maintenance of the Application, specific developments, and other related services, will be provided by Ekimetrics to the Client subject to a separate agreement between the parties. If Ekimetrics and the Client enter into a separate agreement for the provision of additional services, the provisions of such separate agreement shall supersede the terms and conditions of this License Agreement.
