AMENDMENT TO COFINITY-X FRAMEWORK AGREEMENT FOR TRACE-X This Amendment to the Cofinity-X Framework Agreement (hereinafter: “Amendment for Trace-X Services”) governs the provision the business application Trace-X Services (hereinafter: “Trace-X Services”) between Cofinity-X GmbH whose registered address is Im Mediapark 5, D-50670 Cologne, Germany, (hereinafter “Cofinity-X”) and the contracting party (hereinafter “Customer”; Cofinity-X and Customer hereinafter also individually referred to as “Party” and together as “Parties”). PREAMBEL (A) The Parties have entered into the Cofinity-X Framework Agreement (hereinafter “Agreement”) which inter alia governs the registration for and access to the Cofinity-X Platform and the provision of Core Services as defined in Lit. (A) of its Preamble, while being part of the Cofinity-X Services as defined in Lit. (B) of its Preamble. (B) Subject to Lit. (B) of its Preamble, Customer may, after the Initial Registration, conclude additional agreements with Cofinity-X in order to obtain further Cofinity-X Services, such as digital applications or enablement services. (C) Customer now is interested in obtaining Trace-X Services as Software-as-a-Service and therefore intends to conclude an amendment to the Agreement. (D) Both Parties share the common understanding that the Trace-X Services, being business applications, constitute digital applications within the meaning of Lit. (B) of the Preamble of the Agreement and therefore form part of the Cofinity-X Services. Both Parties therefore further agree that the provisions of the Agreement and its Annexes shall apply mutatis mutandis to the provision of Trace-X Services, unless otherwise agreed in this Amendment for Trace-X Services. This shall particularly apply with regard to the provisions already made for Cofinity-X Services, as Trace-X Services form part of those services. (E) Capitalized terms not defined but used in this document shall have the meaning ascribed to them in the Agreement. 1. Object of the Amendment for Trace-X Services Subject to the prior conclusion of the Agreement and the Initial Registration, Customer shall obtain Trace-X Services from Cofinity-X as described in Section 2. 2. Provision of Trace-X Services 2.1 Subject to the payment of the applicable fees set out in Section 3, Cofinity-X shall enable Customer to use the Trace-X Services as specified in Annex 1 during the term of this Amendment for Trace-X Services on the Cofinity-X Platform on a Software-as-a-Service basis. Cofinity-X shall provide Customer with login credentials and/or other technical details enabling Customer to access the Trace-X Services 2.2 Cofinity-X aims to achieve a reasonable stability and availability of the Trace-X Services as specified in Annex 2. 2.3 Cofinity-X grants to Customer for the term of this Amendment for Trace-X Services a non-exclusive and non-transferable and (with the exception of use in and in connection to Brazil) territorially unrestricted right to use the Trace-X Services specified in Annex 1 for Customer’s own business purposes on the Cofinity-X Platform within a reasonable scope in accordance with the provisions of this Amendment for Trace-X Services and the Agreement. Such use is, in principle, not subject to a metering or specified limitation of scope, however, Cofinity-X may narrow such use to protect the operational stability of the Cofinity-X Services and the Cofinity-X Platform. Customer is not entitled to rent, lease or otherwise commercially dispose the Trace-X Services to third parties. Customer undertakes to maintain all proprietary notices being contained in the Trace-X Services such as copyright and other legal notices without any changes. 2.4 Cofinity-X will take care that any Trace-X Services provided under this Amendment for Trace-X Services are either Catena-X certified or subject of an ongoing certification process by Catena-X. 2.5 Trace-X Services always exclude (a) the provision of any software or services not subject to this Amendment for Trace-X Services (including an EDC and applications or on-premise software provided by Third-Party Providers) even if they interoperate with the Trace-X Services and (b) any hardware intended for the connection of devices, systems, or other equipment for the Cofinity-X Platform. 3. Fees 3.1 Customer undertakes to pay the respective fees as set out in Annex 3. 4. Liability Notwithstanding Section 14.3 of the Agreement, Cofinity-X’s liability for other damages within the meaning of Section 14.2 of the Agreement arising in connection with Cofinity-X’s provision of Trace-X Services subject to Section 2 of this Amendment for Trace-X Services shall be restricted to an amount twice that of the fees paid under this Amendment for Trace-X Services. 5. Term 5.1 This Amendment for Trace-X Services enters into effect upon conclusion by the Parties (hereinafter “Effective Date”). Unless otherwise agreed between the Parties, this Amendment for Trace-X Services’ minimum term is twelve (12) months and shall automatically renew for an extension term of twelve (12) months until either Party terminates [ordentliche Kündigung] it three (3) months prior to the expiration of the minimum term or the applicable extension term. 5.2 In addition to the provisions of Sections 15.2 to 15.6 of the Agreement, which shall apply mutatis mutandis, Customer may terminate this Amendment for Trace-X Services with a notice period equal to the notice period agreed for termination of the Agreement. Annex 1 – Description of Trace-X Services Cofinity-X’s Trace-X Services have been designed in accordance the “Operating White Paper” of Catena-X as published on the Catena-X’s website under https://catena-x.net/fileadmin/_online_media_/231013_1_BMW_003_Operating_Model.pdf. Cofinity-X will render such Trace-X Services as defined and described below pursuant to the terms and conditions of the Agreement and this Amendment for Trace-X Services entered into between Cofinity-X and Customer. The Parties’ accord hereunder will become an annex to the Amendment for Trace-X Services. This document defines the purpose of Trace-X Services that can be obtained from Cofinity-X (section 1), a description of the (technical) features of the Trace-X Services (section 2) and a description of the system requirements and Cus-tomer responsibilities for using the Trace-X Services (section 3). Capitalized terms referred to and not defined herein will have the same meaning as they are defined in the Amendment for Trace-X Services and/or the Agreement. 1. Purpose of services Business applications aim to solve a specific business problem in different domains such as demand and capacity management or circular economy. They are built on top of other Cofinity-X Services such as Core Services or enablement services and implement value-added business functions for Participants based on Catena-X standards. Business applications can range from large enterprise solutions to specialized solutions for small and medium sized enterprises. 2. Service features 2.1 Cofinity-X shall provide to Customer the following business application: Trace-X. 2.2 Trace-X enables companies, from small and medium enterprises (“SMEs”) to large original equipment manufacturers (“OEMs”), to participate in the Catena-X “Traceability” use case. The application provides an overview of manufacturing supply chains and the respective flows of goods and materials that move from source to final production. In addition, a standardized alert workflow for incidents related to product and material quality helps companies to resolve quality issues faster and more accurately. All of this can help to save costs and time by providing a high level of transparency, while at the same time creating confidentiality and trust within the supply chain through clearly defined and secure data access by the companies and departments involved in the process. 2.3 The primary functionality of the Trace-X application can be described in three steps: (a) Display detailed information of manufactured parts. (b) List and view customer and supplier parts based on bill of materials as build (“BoM as Build”), bill of mate-rials as planned (“BoM as Planned”), bill of materials as ordered (“BoM as Ordered”), bill of materials as supported (“BoM as Supported”), and bill of materials as recycled (“BoM as Recycled”). (c) Send and receive quality investigations. The available features of the aforementioned Business Application Trace-X are described below as well as its interplay with required Enablement Services. List of supplier parts based on AssemblyPartRelationship Aspect and view parts and parts relations in parts tree. Send and receive quality investigations. A standardized workflow enables users to exchange and manage quality investigation data, ensuring that potential issues are transmitted, identified, addressed and resolved. Communication with enablement services. Trace-X communicates with the (i) Eclipse Dataspace Components (“EDC)” such as Data Space Protocol, Policy Management, Contract Management, Identity Check and (ii) Digital Twin Components such as Digital Twin Registry, Asset Administration Shell Server and Item Relationship Service. If Customer requires additional services and/or deliverables not specified in this document, such services shall be provided under separately concluded annexes or agreements. 3. System requirements and Customer responsibilities 3.1 Customer shall independently and at its own costs establish the following technical requirements in advance for being able to use the Trace-X Services provided by Cofinity-X in accordance with the Amendment for Trace-X Services. (a) Cofinity-X Services including business applications such as Trace-X Services are cloud-based solutions. Customer shall ensure that its IT infrastructure supports continuous access to web-based interfaces and that Customer agents and their devices are permissive to configure and work Cofinity-X web-based user interfaces. (b) Customer shall independently manage, organize and structure its various databases to ensure that they can be continuously made available and be transformed according to the semantic models of Catena-X. For the avoidance of doubt, the data transformation is not part of the service scope of the business applications such as Trace-X Services provided by Cofinity-X. (c) To exchange data in the dataspace using business applications such as the Trace-X Services and Core Services, Customer shall install and configure enablement services and purchase an EDC from Cofinity-X or a Third-Party Provider. Catena-X certified enablement services can be obtained at the Cofinity-X marketplace. Only if all necessary enablement services have been correctly configured, Customer can start to exchange data using the business applications and Core Services. Customer may verify correct configuration based on error logging and deploy its custom build solutions in test environments. 3.2 Timely completion and ongoing availability of these requirements are a prerequisite to ensure that Cofinity-X can fulfill its responsibilities and obligations described in the sections above. 3.3 Customer acknowledges and agrees that any failure by Customer to meet its responsibilities may result in disturbances and/or delays with using the services. Annex 2 – Service Level and Help Desk 1. Service Levels and Service Credits 1.1 Notwithstanding Section 1 of Annex 3 to the Agreement, Cofinity-X will use commercially reasonable efforts to make the Trace-X Services available with a Monthly Uptime Percentage of at least 99%. 1.2 Notwithstanding Section 2 of Annex 3 to the Agreement, Cofinity-X will not provide service credits to Customer if Cofinity-X fails to meet the agreed service levels. Any statutory rights of the Customer in connection with any such failure shall remain unaffected. 2. Help desk services Notwithstanding Section 3.6 of Annex 3 to the Agreement, if Cofinity-X having received such a request has established that an issue actually exists, it will finally decide on its classification and begin to remedy such issue within the period corresponding to its classification set in Section 3.6 of Annex 3 to the Agreement in accordance with the table set out below: Severity class Targeted Response Time Critical Within one (1) hour from the time of the confirmation receipt of the request. High Within two (2) hours from the time of the confirmation receipt of the request. Moderate Within one (1) business day from the time of the confirmation receipt of the request. Low Within two (2) business days the time of the confirmation receipt of the request. Annex 3 – Pricing Model 1. Pricing Model For the provision of Trace-X Services, Cofinity-X will charge a fee of EUR 4.200,00 p.a. Trace-X: Stand Alone Version, EUR 4.200 p.a. Both parties acknowledge and agree that Cofinity-X reserves the right to pass on exceptionally high compute costs to the customer. Exceptionally high compute costs shall be defined in regular comparison to average computing costs per customer of this Software as a Service. 2. Invoicing 2.1 The fees are to be paid on a monthly basis shall become due in advance. Customer shall pay the applicable amount(s) to the account Cofinity-X has indicated by the twenty-fifth (25) day of the respective previous month. 2.2 The invoice currency will be Euro (EUR) unless expressly otherwise agreed in writing. 3. Right to change fees Cofinity-X shall be unilaterally entitled to adjust the fees as set out in this Annex 3, by providing to Customer a written notice three (3) months prior to the date on which the price adjustment shall take effect. Customer is deemed to have agreed to such price adjustment unless it terminates the Amendment for Trace-X Services for which a price adjustment has been notified by providing written notice to Cofinity-X two (2) months prior to the date on which the price adjustment shall take effect.
