Order and Agreement Terms and Conditions.  

The Parties to this transaction are customer and Nuance Communications, Inc., with a principal place of business at 5 Wayside Road, Burlington, MA 01803, as set forth in an Order document executed by the Parties outside of Azure Marketplace.  

Reference to the specific Order, and any documents providing the terms and conditions that govern same (such as a master agreement), will be included in the Plan Description in the Azure Portal, which the Parties mutually agree shall govern this subscription offer. 
 
By activating a subscription plan for this offer, the Parties hereby confirm that the Order and the Agreement (as defined in the Agreement) have each been fully executed and delivered to each Party.  

The Parties hereby agree that the Order and the Agreement shall be binding between the Parties for purposes of this transaction, without the need to attach or link to such Order and Agreement in the subscription plan.   The Order and the Agreement shall constitute the legal agreement between the parties to this transaction, and are hereby incorporated by reference into, and shall solely constitute, these Order and Agreement Terms and Conditions for any subscription plan activated under this offer.
