Canopy License.  
a.	Grant of License.  Subject to Customer’s compliance with the terms of this Master Services Agreement, Banyan hereby grants Customer, and Customer accepts, a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use Canopy during the Term (as defined below).

b.	 Scope of License.  Customer shall use Canopy only if Customer is a licensed individual, a licensed entity, or an employee or independent contractor of a licensed entity and then only in accordance with the terms of this Master Services Agreement. 

c.	Restrictions on Use.  Customer agrees not to use Canopy for any illegal purposes and to comply with all applicable local, state, national, and international laws, and regulations. Customer further agrees that neither this Agreement nor any other right or remedy of Banyan requires Banyan to exercise any right or remedy in order to benefit or protect anyone, although Banyan reserves the right to do so in its sole discretion. Customer agrees not to, and agrees not to allow, enable, or facilitate any third party to, reverse engineer, decompile, disassemble, translate, or attempt to view or learn any part of the source code of Canopy. Unless expressly set forth or specifically authorized by the terms of this Agreement, Customer may not use, copy, duplicate, reproduce, adapt, modify, create derivative works of, distribute, sell, assign, pledge, sublicense, lease, loan, rent, timeshare, deliver, or otherwise transfer, directly or indirectly, Canopy, in whole or in part. Customer may not remove from Canopy, or alter or add, any marks or copyright notices or other proprietary rights markings. Customer shall use all reasonable efforts to protect Canopy from unauthorized use, modification, reproduction, distribution, or publication. The license to Canopy is limited to one copy per authorized machine per any installation instructions provided by Banyan.

d.	Ownership of Canopy.  All rights, title, and interest in and to Canopy and any derivative works are owned exclusively by Banyan (even if such derivative works are developed by Banyan pursuant to a Statement of Work and even if such derivative works were paid for by Customer).
