Thank you for choosing 2W Technologies, Inc. for your managed services needs. These terms and conditions outline the expectations and responsibilities of both parties in our business relationship.

Services
2W Technologies, Inc. will provide the managed services as agreed upon by the parties in a separate contract or agreement. We will make every reasonable effort to ensure that our services are provided to you in a timely and professional manner.

Payment
Payment for our services will be made in accordance with the terms and conditions specified in the separate contract or agreement. All payments are due upon receipt of invoice unless otherwise specified.

Confidentiality
2W Technologies, Inc. will maintain the confidentiality of all confidential information received from you in connection with our services. We will not disclose such information to any third party without your prior written consent.

Termination
Either party may terminate the contract or agreement upon written notice to the other party. Upon termination, all outstanding payments must be paid in full.

Liability
2W Technologies, Inc. will not be liable for any damages arising out of or in connection with the services provided to you, including but not limited to, direct, indirect, incidental, consequential or special damages. In no event shall our liability exceed the amount paid by you for the services provided.

Intellectual Property
You acknowledge that any intellectual property created or developed by 2W Technologies, Inc. in connection with the services provided to you shall remain the property of 2W Technologies, Inc. You shall not use or reproduce any such intellectual property without our prior written consent.

Force Majeure
2W Technologies, Inc. shall not be liable for any delay or failure to perform its obligations under the contract or agreement if such delay or failure is caused by events beyond its reasonable control, including but not limited to, acts of God, war, terrorism, strikes, or government regulations.

Governing Law
The contract or agreement shall be governed by and construed in accordance with the laws of the state of Wisconsin, without giving effect to its conflicts of law provisions.

Assignment
Neither party may assign the contract or agreement without the prior written consent of the other party.

By engaging 2W Technologies, Inc. for managed services, you acknowledge that you have read, understood, and agree to these terms and conditions.
