Fireblocks Master Service Agreement sets out the terms and conditions for the following: Rights and Restrictions to the Client’s use of the Fireblocks’ Service, which describes the client’s usage rights and provides access to the Fireblocks’ platform, as well as what Fireblocks’ does not permit its clients to do; Setup and Client Obligations, which maps out the process of the Client creating wallets and how the self-custody model protects the Client by providing them with backup materials and private key shares; Usage Data and Confidential Information describes the relationship between the aggregate anonymized data Fireblocks collected and the confidentiality obligations of both parties; Support levels includes the commitment Fireblocks makes to ensure the platform is available and accessible to its clients; Accessing Third Party Services, which outlines the terms around the Client’s use of third party services through the Platform and the liability Fireblocks’ is willing to accept in relation to those third party services; Commercial Terms, including Payments, Term and Termination, lays out the payment schedules, late payment penalties, renewals and termination rights; Proprietary Rights describe Fireblocks’ intellectual property rights; The Warranties, Indemnities, and Limitation of Liability set forth the responsibilities of the parties to each other and third parties in the event something goes wrong and apportions liability; and, Finally, the standard legal disclaimers include a Force Majeure clause, Export Controls requirements, governing law and jurisdiction, a clause permitting injunctive relief, etc.
