DIGITAL PARTNER OF RECORD / PARTNER ADMIN LINK The Partner of Record / Partner Admin Link (PAL) for Azure subscription(s) or resource groups must be assigned to Thakral One who is helping client to design, build, deploy or manage Azure infrastructure and workload. NON-HIRING During the term of this Agreement, and for a period of twelve (12) months after termination hereof, client shall not directly or indirectly, knowingly solicit, hire, or otherwise retain, as an employee, consultant or independent contractor, any employee of the other party, within one (1) year of the employee leaving the employ of the other party, unless previously agreed in writing by the other party. ASSIGNMENT Client shall not have the right to assign or transfer, in whole or in part, this agreement, without Thakral One’s prior written consent, which shall not be unreasonably withheld or delayed. NOTICES Any notice, request, or other communication to be given under this agreement may be delivered or sent by certified mail address (verified company email domain), registered mail, or courier, or by e-mail or facsimile transmission to the other party to be delivered at its address appearing in this agreement. TERMINATION FOR CAUSE Notwithstanding the above, Thakral One has the right to terminate this Agreement with immediate effect, if there are any facts relating to the customer which leads to the reasonable conclusion that Thakral One cannot be expected to continue the project. TERMINATION FOR CONVENIENCE Thakral One is authorized to terminate this contract for convenience subject to 3-months prior notice. In case of such termination by Thakral One, Thakral One shall return to customer the prorated amount calculated for the months services was provided paid upfront by customer for the Services that would have had to be provided in the Service periods after the effective date of termination. TOOLS, EQUIPMENT To ensure quality and operability of the complete Support Services implementation, Thakral One may direct customer in the usage and implementation technologies and tools as well as quality systems including Support desk / ticket management tools and may take influence on the extent necessary on client’s processes. If and where client provides Thakral One resource with working aids e.g. in the form of software, tools, documents or premises for the implementation of the services according, Thakral One resource will only use such client’s contributions exclusively for the purposes of the support service and shall ensure to abide to the instructions of client for such use at all times. At the end of the agreement, any and all client’s contributions, as well as any documents, saved data or work results created during the term of the project, will to be returned and transferred to client in full. Thakral One may provide Laptop or Workstation to support engineer. If necessary, support engineer’s workstation / laptop can be joined, managed by client to comply with any security requirement. Other security configurations, desired state configurations are expected to be provided by client to meet the device compliance polices of client. If no policies are provided at the initial stage of the engagement, it is assumed that it is not necessary to comply engineer device with client’s policies. REMEDY / REPERFORMANCE In case of any service performance or service results not conforming to specifications as set out in Appendix A being discovered during the acceptance procedure, customer shall inform the Thakral One within a reasonable time about the identified faults/shortcomings of the service performance or the service results. Thakral One will then come up with Service Improvement Plan to re-perform the respective services or remedy the shortcomings in the service performance. After elimination of the identified faults/ shortcomings in the service performance or the service results, the services/work results will then be re-submitted to the acceptance process without undue delay. Customer will indemnify and hold harmless Thakral One from any supplementary costs and expenses or damages caused through having to repeat the work or handover / acceptance and by not meeting the scheduled dates or SLA’s.
