Software License Agreement
Hitachi Solutions, Ltd.
Hitachi Solutions, Ltd. (the "Company") grants you (the "Customer") to use Credeon Secure Full-text Search (the "Software") in accordance with this Software License Agreement (the "Agreement"). This Agreement governs the Customer's use of the Software. BY DOWNLOADING, INSTALLING, AND/OR USING THE SOFTWARE, THE CUSTOMER (A)ACKNOWLEDGE THAT THE CUSTOMER HAS READ AND UNDERSTAND THIS AGREEMENT; AND (B) ACCEPTS THIS AGREEMENT AND AGREES THAT THE CUSTOMER IS LEGALLY BOUND BY ITS TERMS. IF THE CUSTOMER DOES NOT AGREE TO THIS AGREENMENT, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
1. Licensing
The Company hereby grants to the Customer a limited, non-exclusive, non-transferable and revocable right and license to use the Software on one virtual machine only in accordance with this Agreement. The "use" refers to reading into the computer's temporary memory such as the RAM, or installing onto the fixed memory such as the hard disk.
2. Conditions of Use
2.1 The Customer shall not copy the Software without a prior consent of the Company. For the avoidance of doubt, the Company agrees that Microsoft Azure Marketplace environment makes a backup of the Software.
2.2 The treatment of the copied Software set forth in Section 2.1, is the same as the treatment of the original. The Customer shall also give the same descriptions to all copied Software as to the original, while treating it only in accordance with the provisions of this Agreement.
2.3 The Customer shall not or shall not allow a third party to disassemble or decompile the whole or a part of the Software.
2.4 The Customer shall not or shall not allow a third party to modify the whole or a part of the Software, or combine it with another program.
3. Limitations of Liability.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE COMPANY AND THE OWNERS OF COPYRIGHT TO THE SOFTWARE BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY RELATING TO THE SOFTWARE EXCEPT WHERE PROVIDED FOR IN SECTION 3.1.
4. No Transfer
The Customer shall not allow a third party to use the Software through methods such as transferal or licensing, whether or not it be for profit.
5. Export Control
If the Customer directly or indirectly handles all or part of the Software independently, in conjunction with another product, or as a part of any other product through any of the following means, all necessary steps shall be taken upon verification with the rules of the Foreign Exchange and Foreign Trade Act of Japan, Export Administration Regulations of the US, and any other applicable Japanese or foreign export related regulations:
(1) By exporting;
(2) By taking to a foreign country;
(3) By supplying to or allowing use by a non-resident; or
(4) By any other way set forth in the Foreign Exchange and Foreign Trade Act of Japan, or the export related regulations of a foreign country that is not as provided in (1), (2) and (3) of this Section.
6. Termination of Use
6.1 In case that the Customer terminates the use of the Software, the Customer shall delete, destroy or take any other necessary measures to make the Software and all copies thereof completely unrecoverable.
6.2 In case that the Customer breaches this Agreement, the Company may immediately terminate the Customer's use of the Software and make the Customer delete, destroy or take any other necessary measures to make the Software and all copies thereof completely unrecoverable. Upon the Company's request, the Customer shall certify in writing to the Company that the Customer has taken such action.
6.3 In case of Section6.1 and 6.2, the Company will not return the purchase fee to the Customer.
7. Treatment of Additional Conditions
The Software having additional conditions of use (the "the Software Additional Conditions of Use") shall also fall under the provisions of the Software Additional Conditions of Use. In the event that there are provisions in the Software Additional Conditions of Use that differ to those of this Agreement, the Software Additional Conditions of Use shall take priority and be applied.
8. Anti-social Forces Exclusion.
8.1 The Customer represents and affirms that it does not fall into any of the following at present or in the future;
(1) It is crime syndicates or its members, quasi members, companies related to crime syndicates, corporate extortionists, racketeers advocating for social activities, special smart violent group, or other equivalents (collectively "Anti-social Forces (ASF)") currently or in the past.
(2) ASF is controlling management of the Customer.
(3) Representative, manager or person who substantially involved in management is ASF.
(4) It has a relationship with ASF deemed as utilizing them in order to seek illegal profit for itself or third party.
(5) It has a relationship with ASF deemed as providing them profits such as providing money or give favors to ASF.
(6) It has a relationship which elicits social disapproval such as close interaction with ASF.
(7) It makes violent or unjust demand beyond legal obligations.
(8) It conducts threatening behavior or uses violent act in the course of transactions.
(9) It damages the credit or obstructs the business of the other party by spread spreading false rumors, by the use of fraudulent means, or by force.
8.2. If the Customer breaches any of representations or affirmations in Section 8.1, then the Company may terminate this Agreement in whole or in part without making any notice or taking any measures and may seek compensation for damages caused by termination to the Customer. The Company shall have no duty to compensate damages of the Customer.
9. Governing Law and Dispute Resolution
This Agreement shall be governed and construed by the laws of Japan. All disputes, controversies or differences that may arise between the parties hereto out of, in relation to or in connection with this Agreement shall be finally settled by arbitration in Tokyo, Japan in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The award rendered by the arbitrator(s) shall be final and binding upon the parties hereto.
The Software Additional Conditions of Use
1. Reproduction
The Customer shall obtain prior written consent from the Company in the event that the Customer reproduces scripts, figures, graphics, diagrams or any other information in the documentation attached to the Software.

2. Open Source Software
2.1 The Software contains a part of following open source software (hereinafter "OSS") which the Company modified. If there is a conflict between the terms and conditions of this Agreement and any terms and conditions applicable to such OSS license, the terms and conditions applicable to such OSS license shall prevail and govern.

Terms and conditions applicable to such OSS license will be set forth in Exhibit A. In addition, attribution notices will be set forth in Exhibit B. Provided, however, that the Customer shall check the terms and conditions applicable to such OSS license on the website (its address will be described in Exhibit A) periodically for changes.
3.2 Any intellectual property rights of the OSS shall remain vested in its licensor. THE OSS IS PROVIDED "AS IS". SUCH Licensor AND THE COMPANY HEREBY EXPRESSLY DISCLAIMS, ANY AND ALL WARRANTIES, CONDITIONS, OR REPRESENTATIONS (EXPRESS OR IMPLIED, ORAL OR WRITTEN), WITH RESPECT TO THE OSS OR ANY PART THEREOF, INCLUDING ANY AND ALL IMPLIED WARRANTIES OR CONDITIONS OF TITLE, NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS OR SUITABILITY FOR ANY PURPOSE (WHETHER OR NOT SUCH Licensor OR THE COMPANY KNOWS, HAS REASON TO KNOW, HAS BEEN ADVISED, OR IS OTHERWISE IN FACT AWARE OF ANY SUCH PURPOSE).
