** TERMS AND CONDITIONS OF USE FOR LACNET TESTNET NODE OPERATORS ** PLEASE READ THESE TERMS AND CONDITIONS OF USE (THIS "AGREEMENT") CAREFULLY. IT IS A LEGAL AND BINDING CONTRACT BETWEEN YOU AND THE BLOCKCHAIN NETWORK OPERATOR FOR LATIN AMERICA AND THE CARIBBEAN (L-NET) (“L-NET”). THIS AGREEMENT APPLIES TO THE USE OF THE LACNET TEST NETWORKS (“LACNET TESTNETS”) AND THE CAPABILITIES AND INFORMATION AVAILABLE TO YOU THROUGH THEIR USE. BY CONTINUING WITH THE NODE DEPLOYMENT PROCESS, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND ACCEPT THIS AGREEMENT AND AGREE TO BE BOUND BY IT IN ITS ENTIRETY. IF YOU ARE REGISTERING TO USE THE LACNET TESTNETS ON BEHALF OF AN ORGANIZATION OR OTHER LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND SUCH LEGAL ENTITY TO THIS AGREEMENT, AND THAT SUCH ENTITY EXISTS AND IS IN GOOD STANDING. YOU FURTHER AGREE THAT THE LEGAL ENTITY WILL BE BOUND BY AND RESPONSIBLE FOR ANY BREACH OF THIS AGREEMENT. IF YOU DO NOT AGREE WITH ANY OF THE TERMS DESCRIBED HEREIN, YOU MUST IMMEDIATELY DISCONTINUE YOUR USE OF THE LACNET TESTNETS. LACNET TESTNETS are blockchain testing networks orchestrated by L-NET. L-NET is an international non-government organization legally incorporated in Uruguay and recognized by the Uruguayan Ministry of Foreign Affairs. The main purpose of L-NET is to manage, operate, and facilitate L-NET's blockchain infrastructure and DLT and other related resources for the benefit of the LACChain community in particular and of the region of Latin America and the Caribbean (LAC) in general; to provide services related to the establishment and operation of a digital trust infrastructure based on DLT and blockchain infrastructure managed by L-NET, and to collaborate in the growth of blockchain and the implementation of DLT technologies in the region of Latin America and the Caribbean. The LACNET TESTNETS provide services that allow any entity to operate a node. The entities operating a writer node can send transactional data to the network for the purpose of developing proofs of concept or testing applications using blockchain technology. The LACNET TESTNETS are for the benefit of users who have registered on the LACNET TESTNETS (“Users”). Users will have access to and use of the LACNET TESTNET infrastructure and will have permission to generate transactions with certain types of Content. After you agree to this Agreement and once your registration (“Registration”) is accepted, you will become a User for the purpose of this Agreement. It should be noted that, as used herein, the term Users always refers to the entities that operate nodes, not to potential end users, services or off-chain applications that interact indirectly with these nodes. LACNET TESTNETS seek to provide service infrastructure for the deployment of proofs-of-concept and testing applications using blockchain technologies. LACNET TESTNET REGISTRATION To access the full functionality of the LACNET TESTNETS, you must register as a User through any means offered on the LACNET TESTNET. As part of the registration process, you must (i) identify a person of contact within your organization who will be responsible for the administration of the node and who can be contacted for any technical issue, (ii) identify a commercial or administration person of contact for any communication between L-NET and the User, (iii) specify precisely the type of information and content that will be registered in the blockchain, and (iv) specify if any entity other than the User will have access to the writer node. If your registration is accepted, you will be assigned a user identification code (“User Identification”). You will have access to various Content and system resources associated with your User Identification as determined by L-NET at its sole discretion, which L-NET may modify, terminate, increase or decrease at its sole discretion and at any time. You also acknowledge that you assume all liability for any Content that is posted using your User Identification, including any transactional data (as defined below). You are solely responsible for the activity that occurs using your User Identification, so you must keep your access credentials secure. You must notify L-NET immediately of any breach of security or unauthorized use of your User Identification, and you must not use any User Identification without the permission of the relevant User. Although L-NET will not be liable for any losses you may incur due to the unauthorized use of your User Identification, you may be liable for the losses that L-NET or others may incur due to such unauthorized use. L-NET will notify users about any personal information data security breach or intrusion by third parties. The LACNET TESTNETS and the Services are provided for professional use only, and by registering as a User, you acknowledge that the Services and any Content may not be used for personal, family, or household purposes. The LACNET TESTNETS and the Services are provided by L-NET free of charge and on a temporary basis. L-NET reserves the right to discontinue the LACNET TESTNETS and the Services, in whole or in part, or to accept, deny or revoke any Registration and the associated User Identification, at any time, at its sole discretion, for any reason, or for no reason at all. TRANSACTIONS AND OTHER DATA SENT TO THE LACNET TESTNET. You may enable a writer node or send transactional data to the LACNET TESTNETS in connection with your use of the Services. You hereby grant to L-NET a nonexclusive, irrevocable, worldwide, perpetual, assignable, transferable and royalty-free right to copy, produce derivative works, distribute, transmit, display, publish, retain, translate, analyze, and use (including alone or as part of a collective work), in any way now known or in the future discovered, any transactional data you provide directly or indirectly in connection with L-NET’s offerings on the LACNET TESTNETS and/or the Services, and to publish your name in connection with your transactional data, without any further consent or notice to you or to any third party. All of the rights listed above are referred to as “Licenses”. Unless you have a separate written agreement with L-NET to provide services to L-NET for compensation, no compensation will be paid to you or to any third party with respect to the use of your transactional data and the License as provided in this document. The personal data of the users of the LACNET TESTNETS will not be considered transactional data. By submitting any transaction to LACNET TESTNETS, you represent and warrant that you have all rights necessary to submit such transaction, and that the transaction is legal, non-private, non-confidential, and does not violate any contractual limitations or the rights of third parties. You represent and warrant that you own any copyrighted material which is included in the application, or that you have all the rights and authorizations required to grant to L-NET and other Users the License, and any other rights granted under this Agreement. You further represent and warrant that you have the financial, intellectual, and human resources required to execute the proposed blockchain services. You understand and agree that L-NET may, but has no obligation to, monitor, review, assess, edit, filter or validate any Content. Likewise, L-NET has no obligation to verify the identity of the persons who register on the LACNET TESTNETS or to monitor the use of the Services. L-NET will not be a party to or in any way responsible for monitoring any transaction between you and any other User or any other third party. L-NET reserves the right to reject any transaction sent by you, or to deny, restrict, suspend or terminate your access to all or any part of the TELNET TESTNETS or the Services at any time, with or without notice or explanation, if L-NET suspects that these terms of reference may have been violated. L-NET has no obligation to store, maintain, or provide you a copy of any Content that you or other Users provide when using the Services, whether during the term of your Registration or after its termination. You are solely responsible for creating backup copies of your transactional data and of any electronic communications sent or received by you using the Services. INFORMATION, FEEDBACK AND CONFIDENTIALITY The LACNET TESTNET, any information relating to the progress and results of any testing, or any information relating to the product or any other proprietary technology or know-how provided to you by L-NET in whatever form in connection with the testing and evaluation of the LACNET TESTNETS is considered confidential (“Confidential Information”). You will keep and ensure that any person, firm, company or organization associated with you will keep all Confidential Information in confidence and will not disclose such Confidential Information to any person except as permitted under this clause. This confidentiality obligation does not apply to the disclosure of information which: (a) is or comes into public domain, except through breach of the confidentiality obligation under this clause; (b) comes lawfully into your possession from a third party who is not bound by a confidentiality obligation relating to such Confidential Information; (c) is required to be disclosed by any competent court or by any competent judicial, governmental, supervisory or regulatory body, or by any law, provided that you promptly notify L-NET in writing; or (d) is disclosed by you with the prior written consent of L-NET. UNDER NO CIRCUMSTANCE MAY ANY INFORMATION REGARDING THE TESTING PROGRESS AND/OR RESULTS BE PROVIDED TO PERSONS NOT INVOLVED IN THE TESTING PROCESS. ANY PUBLICATION OF TESTING RESULTS, REVIEWS OR EVALUATIONS IS ONLY PERMITTED WITH THE PRIOR WRITTEN CONSENT OF L-NET. You will provide L-NET feedback about the LACNET TESTNETS, consisting of, without limitation, your suggestions, comments, or any other feedback, whether required or offered voluntarily. If you provide feedback to L-NET as part of the testing and evaluation of the LACNET TESTNET, you agree that: (a) L-NET may freely use, disclose, reproduce, license, distribute, and otherwise commercialize the Feedback in any product, specification or other documentation; and (b) you will not give L-NET any Feedback (i) that you have reason to believe is subject to any patent, copyright or other intellectual property claim or right of any third party; or (ii) that is subject to license terms that seek to require that any L-NET product incorporating or derived from any Feedback, or other L-NET intellectual property, be licensed or otherwise shared with any third parties; and (iii) no compensation will be paid to you or to any third party with respect to the provision of any feedback for the improvement of the test network. LIABILITY As part of your registration, you are providing L-NET with information about the types of data you plan to register in the LACNET TESTNETS. L-NET reserves the right to unilaterally deny or revoke access to the LACNET TESTNETS. A list of prohibited activities is included in Annex A. You are also providing information about a contact person responsible for the use of the writer node in your entity. Should the User intend to make changes related to the data and transactions to be registered, the contact person, the third parties using the writer node or any other matter that affects these Terms and Conditions, this must be notified to and approved by L-NET. YOU WILL BE FULLY RESPONSIBLE FOR THE OPERATION OF THE WRITER NODE AND THE USE OF THE LACNET INFRASTRUCTURE. UNDER NO CIRCUMSTANCE WILL YOU TRANSFER OR DELEGATE RESPONSIBILITY TO OTHERS. IF THE USER WISHES TO ALLOW ANY THIRD PARTY TO USE THEIR WRITER NODE TO SEND INFORMATION OR TRANSACTIONS TO THE LACNET TESTNET, THE USER (I) MUST NOTIFY L-NET, (II) MUST BE AUTHORIZED BY L-NET, AND (III) ASSUMES FULL RESPONSIBILITY FOR ANY USE OF THEIR WRITER NODE BY THE THIRD PARTY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, L-NET, FOR ITSELF AND ITS AFFILIATES, EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES WITH RESPECT TO ANY AND ALL CONTENT, FEATURES AND FUNCTIONS MADE AVAILABLE ON OR THROUGH THE LACNET TESTNET, INCLUDING, WITHOUT LIMITATION, ANY AND ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY OF DATA, AND NON-INFRINGEMENT. THE LACNET TESTNET IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. L-NET IS NOT RESPONSIBLE FOR AND MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE DELIVERY, INTEGRITY OR VISIBILITY TO THIRD PARTIES OF ANY MESSAGES OR OTHER INFORMATION SENT THROUGH THE LACNET TESTNETS. L-NET AND ITS AFFILIATES ARE NOT RESPONSIBLE FOR AND DO NOT WARRANT, RECOMMEND OR ENDORSE, AS APPLICABLE (i) THE ACCURACY, QUALITY OR EFFECTIVENESS OF ANY CONTENT, INCLUDING ANY SUBMISSION BY ANY USER, (ii) ANY TRANSLATION OF ORIGINAL CONTENT, (iii) THE SUCCESS OF ANY PROJECT OR COLLABORATION WITH OTHER USERS OR OTHER THIRD PARTIES THAT MAY RESULT FROM A SUBMISSION OR FROM INTERACTIONS WITH OTHER USERS OR THIRD PARTIES, or (iv) THAT THE LACNET TESTNETS OR THE SERVICES WILL FUNCTION WITHOUT INTERRUPTIONS OR ERRORS IN FUNCTIONING. IN PARTICULAR, THE OPERATION OF THE LACNET TESTNETS AND THE SERVICES MAY BE INTERRUPTED DUE TO MAINTENANCE, UPDATES OR SYSTEM OR NETWORK FAILURES. L-NET DISCLAIMS ANY AND ALL LIABILITY FOR DAMAGES CAUSED BY ANY SUCH INTERRUPTIONS OR ERRORS IN FUNCTIONING. L-NET EXPRESSLY MANIFESTS THAT THE LACNET TESTNETS ARE NOT A FINAL SERVICE AND, AS SUCH, MAY PRODUCE OR CONTAIN VARIOUS ERRORS, DEFECTS AND MAY BE UNSTABLE. WE DO NOT RECOMMEND INSTALLING OR USING LACNET TESTNET'S SOFTWARE AND PROTOCOLS OTHER THAN FOR TESTING PURPOSES. FURTHERMORE, WE DO NOT RECOMMEND USING THE LACNET TESTNETS UNLESS YOU ARE AN EXPERIENCED USER. L-NET DOES NOT GUARANTEE THAT IT WILL PROVIDE ANY UPDATES TO THE LACNET TESTNET, INCLUDING UPDATES TO MALWARE OR ANY OTHER CONTENT USED BY THE LACNET TESTNETS (SUCH AS VIRUS AND SPYWARE DEFINITIONS, ANTI-SPAM RULES, URL LISTS, FIREWALL RULES, VULNERABILITY DATA OR LISTS OF AUTHENTICATED WEB PAGES) (“UPDATES”). HOWEVER, SHOULD L-NET PROVIDE YOU WITH ANY UPDATES, SUCH UPDATES WILL BE DEEMED PART OF THE LACNET TESTNETS FOR ALL PURPOSES UNDER THESE TERMS AND CONDITIONS, UNLESS OTHER TERMS OF USE ARE PROVIDED BY L-NET. NO CONTENT OR OTHER MATERIALS OR INFORMATION ON OR ACCESSIBLE THROUGH THE LACNET TESTNETS OR THE RELATED SERVICES ARE INTENDED TO BE A SOLICITATION TO SELL OR AN OFFER TO BUY ASSETS OF ANY KIND BY L-NET OR ANY OTHER PERSON OR ENTITY. TO THE EXTENT THAT THE LACNET TESTNETS LINK TO A WEBSITE THAT FACILITATES SUCH SOLICITATION, SUCH LINK IS PROVIDED FOR THE CONVENIENCE OF THE USER AND DOES NOT REPRESENT THE ENDORSEMENT OF ANY OFFER OR SOLICITATION MADE BY OR FACILITATED THROUGH SUCH LINKED WEBSITE. USE OF SERVICES You are responsible for all your activity on the LACNET TESTNETS and shall abide by all applicable local, state, national, and foreign laws and regulations in connection with your use of the Services, including those related to data privacy, international communications, and the transmission of technical, financial or personal data. You shall: (a) notify L-NET immediately of any unauthorized use of your User Identification, your writer node, any password, any Registration information, or any other known or suspected breach of security; (b) immediately notify L-NET and use reasonable efforts to stop any copying or distribution of Content that you know or suspect infringes the intellectual property rights of any other third party or is otherwise illegal, inappropriate, or in violation of any provision of this Agreement. You agree to only post, send, and receive information that is proper and related to the Services. By way of example, and not as a limitation, you agree that when using the Services, you will NOT: 1. alter or modify any part of the LACNET TESTNETS, the Services or any of the related technologies; 2. defame, abuse, harass, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others; 3. publish, post, distribute or disseminate any false, misleading, inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material or information; 4. duplicate, license, sublicense, broadcast, transmit, distribute, display, sell, rebrand, or otherwise transfer information or Content found on the LACNET TESTNETS (excluding Submissions by you) except as expressly permitted by this Agreement; 5. upload files that contain software or other materials protected by intellectual property laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consents; 6. upload files that contain viruses, malicious files, or any other similar software or program that may damage the operation of another's computer; 7. advertise or offer to sell or buy any goods or services for any commercial purpose, unless the Services specifically allow such messages, in which case you may do so only in accordance with the additional terms and conditions applicable to such messages; 8. conduct or forward surveys, contests, chain letters or the like; 9. download any file posted by another User that you know, or reasonably should know, cannot be legally distributed in such manner; 10. falsify or delete any author attribution, legal or other notices or proprietary designations or labels of origin or source of the software, Content or other materials contained in a file that is uploaded to the network; 11. use any alias, pseudonym (other than the proper trade name) or means for concealing the sender or recipient of any electronic communication made by you using the features of the LACNET TESTNETS or made by you to any other person; 12. damage, disable, restrict or inhibit any other User from using and enjoying the Services; 13. violate any code of conduct or other guidelines that may be applicable to any particular Service, including L-NET guidelines regarding prohibited practices (Annex A); 14. collect information about others, including email addresses, without their consent; 15. violate any applicable laws or regulations; 16. reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code of any underlying intellectual property used to provide the Services or any part thereof; or 17. circumvent, disable, or otherwise interfere with security-related features of the LACNET TESTNETS, such as those that prevent or restrict the use or copying of any Content, or that impose limitations on the use of the LACNET TESTNETS or the Content therein. As a condition for the use of the LACNET TESTNETS, you represent and warrant to L-NET that you will not use the LACNET TESTNETS for any purpose that is unlawful or prohibited by this Agreement. You may not obtain or attempt to obtain from L-NET or the LACNET TESTNETS any material or information not intentionally made available or provided through the LACNET TESTNETS. Likewise, L-NET reserves the right to unilaterally establish a) the time limit for the use of the LACNET TESTNET, which may be notified when joining the network or at any time prior with notice of 30 calendar days; and b) the maximum number of transactions that can be carried out in the LACNET TESTNET. INTELLECTUAL PROPERTY RIGHTS You acknowledge and agree that the LACNET TESTNETS and the Services include features and Content that are protected by copyright, patent, trademark, trade secret or other laws governing proprietary rights. L-NET or its licensors own all rights, licenses, titles and interests in and to the LACNET TESTNETS, the Services, and all Content (other than your Submissions), software, code, data and other materials thereon, as well as the look, design and organization of any aspect thereof. Use of the LACNET TESTNETS does not grant you ownership or title of, in or to any Content or other material on the LACNET TESTNETS, or the right to use the LACNET TESTNETS or any of the Services for any purpose other than as expressly stated in this Agreement. Without limiting the foregoing, the names and logos of L-NET, the names and logos of the LACCHAN Global Alliance and the LACNET TESTNETS, the names associated with them and the Services are trademarks of L-NET, and no right or license is granted to use them. PRIVACY You must carefully read our Privacy Policy in its entirety before using the LACNET TESTNETS or any of the Services. The Privacy Policy, included in Annex B, governs L-NET's treatment of any information you submit to us, including Personally Identifiable Information. You acknowledge, consent, and agree that L-NET may access, preserve, and disclose your Registration and any other information you provide if required to do so by law or in good faith belief that such access, preservation, or disclosure is reasonably necessary in our opinion to: (1) comply with legal process, including, but not limited to, civil or criminal subpoenas, court orders, or other compulsory disclosures; (2) enforce this Agreement; (3) respond to claims of violation of any right of a third party, whether or not the third party is a User, an individual, a government agency or another legal entity; (4) respond to customer service inquiries; or (5) protect the rights, property, and personal safety of L-NET, any User, or the public. PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT L-NET respects the intellectual property rights of others. You may notify L-NET in accordance with the following procedures if you believe that the content of any of the Submissions has been copied in an infringing manner. ANY INQUIRY OR NOTICE NOT IN ACCORDANCE WITH THE FOLLOWING PROCEDURE WILL RECEIVE NO RESPONSE. L-NET has implemented procedures for receiving written notifications of potential copyright infringement and has designated an officer to receive such notifications in accordance with applicable legal requirements. If you believe in good faith that your work has been copied in a way that constitutes copyright infringement, you may provide a written communication containing the following: 1. an electronic or physical signature of the person authorized to act on behalf of the copyright owner; 2. a description of the copyrighted work that you claim has been infringed; 3. a description of the location on the LACNET TESTNETS of the material that you believe has been infringed; 4. your postal address, telephone number and email address; 5. a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and 6. a statement by you, made under penalty of perjury, that the information you provide is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. REMEDIES AND DISPUTES IN NO EVENT WILL L-NET BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (i) THE USE OF THE LACNET TESTNETS OR ANY OF THE SERVICES, (ii) THE DELAY OR FAILURE TO USE THE LACNET TESTNETS OR ANY OF THE SERVICES, (iii) THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, INFORMATION, SOFTWARE, PRODUCTS OR OTHER DATA0 OBTAINED THROUGH THE LACNET TESTNETS, OR OTHERWISE ARISING OUT OF THE USE OF THE LACNET TESTNETS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF L-NET OR ITS SUPPLIERS OR CONTENT PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IF YOU ARE DISSATISFIED OR CONSIDER THAT ANY DAMAGE MAY BE CAUSED OR PRODUCED IN CONNECTION WITH ANY PORTION OF THE LACNET TESTNET, ITS ADMINISTRATION OR ANY OF THE SERVICES, YOU MAY TERMINATE YOUR USER IDENTIFICATION AND DISCONTINUE THE USE OF THE LACNET TESTNETS AND THE SERVICES AND SUCH DISCONTINUATION WILL BE YOUR SOLE AND EXCLUSIVE REMEDY. This Agreement will be governed, interpreted, and enforced in accordance with the laws of the Republic of Uruguay. Notwithstanding the provisions of the following item, the Uruguayan courts in Montevideo shall be competent to hear any matters excluded from arbitration, the proceedings prior to arbitration, the execution of the award, and the appeal for its annulment, as provided in the General Code of Procedure. No waiver by L-NET of any provision of this Agreement shall be binding, except as set forth in writing and signed by its duly authorized representative. All disputes between you and L-NET arising out of or relating to this Agreement shall be resolved by arbitration before the Conciliation and Arbitration Center of the Uruguayan Stock Exchange (“the Center”), following the provisions set forth in the Center’s Rules of Arbitration. The arbitrators shall be three in number, the seat of the arbitration shall be the city of Montevideo, and the procedure shall be conducted in Spanish. The party that initially resorts to arbitration shall notify the Secretary General of the Center and the other party of their intention to submit a matter to arbitration, fully in accordance with the “Arbitration Procedure” rules of the Center's Regulations. When the arbitration agreement is granted (which must be granted within 15 calendar days of the notification mentioned above), each party shall appoint an arbitrator of their choice or, failing that, the Center shall appoint an arbitrator selected from their roster. Within ten calendar days of their appointment, the arbitrators thus appointed shall appoint a third arbitrator and, should no agreement be reached within the following five calendar days, the third arbitrator shall be appointed by the Center from among the members of its Arbitration Body. The third arbitrator shall preside over the Arbitration Court. The ruling of the Arbitration Court may not be appealed, with the exception of an appeal for annulment provided for in the General Code of Procedure. ALL CLAIMS MUST BE BROUGHT IN EACH PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION PROCEEDING, AND, UNLESS YOU AND L-NET AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND L-NET ARE EACH WAIVING THE RIGHT TO PARTICIPATE IN A CLASS ACTION. NOTHING IN THIS CLAUSE OR THIS AGREEMENT SHALL OPERATE AS A WAIVER OF, OR OTHERWISE BE CONSTRUED TO RESTRICT, LIMIT OR DEFEAT ANY RIGHT, PRIVILEGE OR IMMUNITY GRANTED TO L-NET UNDER THE AGREEMENT ESTABLISHING THE INTER-AMERICAN DEVELOPMENT BANK OR ANY TREATY OR PROVISION OF DOMESTIC OR INTERNATIONAL LAW. ASSIGNMENT Any rights and licenses granted under this Agreement may not be transferred or assigned by you but may be assigned by L-NET without restriction. GENERAL This Agreement is between you and L-NET in connection with your use of the LACNET TESTNETS and the Services, and supersedes any prior agreements or understandings between you and L-NET with respect to the subject matter of this Agreement. You agree that no joint venture, partnership, employment, or agency relationship exists between you and L-NET as a result of this Agreement or your use of the LACNET TESTNETS. L-NET's performance of this Agreement is subject to existing laws and legal processes, and nothing contained in this Agreement is in derogation of L-NET's right to comply with governmental, court, and law enforcement requests or requirements relating to the use of the LACNET TESTNETS or the Services or information provided to or collected by L-NET with respect to such use. If any part of this Agreement, including, without limitation, the warranty disclaimers and liability limitations set forth above, is determined to be invalid or unenforceable under applicable law, then the invalid or unenforceable provision shall be deemed superseded by the valid and enforceable provision that most closely matches the intent of the original provision, and the remainder of this Agreement shall continue in effect. Should you need to contact L-NET under this Agreement, or should you need to contact L-NET with respect to the LACNET TESTNETS or the Services, please send your communication to tech-support@lac-net.net. MODIFICATION OF THESE TERMS OF USE L-NET reserves the right to modify this Agreement and to change the terms and conditions under which the LACNET TESTNETS and the Services are offered. Such modification shall be effective when it is published on https://github.com/LACNetNetworks/besu-networks/tree/master/testnet/terms_and_conditions. Your continued use of the LACNET TESTNETS or the Services after the revised Agreement is posted means that you accept the revised Agreement in its entirety. You should therefore review this Agreement regularly and when we notify you of any changes thereto. ANNEX A USERS MUST USE THE LACNET INFRASTRUCTURE WITH RESPONSIBILITY. USERS AGREE NOT TO MISUSE THE LACNET INFRASTRUCTURE OR HELP ANYONE ELSE DO SO. USERS MUST NEVER ATTEMPT TO DO THE FOLLOWING IN CONNECTION WITH THE SERVICES AND PRODUCTS OF THE LACNET INFRASTRUCTURE: • PROBE OR TEST THE VULNERABILITY OF ANY SYSTEM OR NETWORK UNLESS DONE IN AGREEMENT WITH L-NET; • PARTICIPATE IN CRYPTOCURRENCY TRANSACTIONS OR GAMBLING, UNLESS DONE IN AGREEMENT WITH L-NET; • BREACH OR OTHERWISE CIRCUMVENT ANY SECURITY OR AUTHENTICATION MEASURE; • ACCESS, CONTROL OR USE NON-PUBLIC AREAS OR PARTS OF THE SERVICES OFFERED, OR SHARED AREAS OF THE SERVICES TO WHICH THE USER HAS NOT BEEN ALLOWED ACCESS; • ACCESS, SEARCH OR CREATE ACCOUNTS ON THE LACNET INFRASTRUCTURE SERVICES AND PRODUCTS BY ANY MEANS OTHER THAN OUR PUBLICLY SUPPORTED INTERFACES (FOR EXAMPLE, SCRAPING TO EXTRACT INFORMATION FROM WEBSITES OR CREATING ACCOUNTS IN BULK) UNLESS DONE IN AGREEMENT WITH L-NET; • SEND UNSOLICITED COMMUNICATIONS, PROMOTIONS, ADVERTISEMENTS OR SPAM; • SEND ALTERED, DECEPTIVE OR FALSE SOURCE-IDENTIFYING INFORMATION, INCLUDING SPOOFING OR PHISHING; • PROMOTE OR ADVERTISE PRODUCTS OR SERVICES OTHER THAN THOSE OWNED BY THE USER WITHOUT THE APPROPRIATE AUTHORIZATION; • SELL OR RESELL LACNET INFRASTRUCTURE SERVICES AND PRODUCTS UNLESS SPECIFICALLY AUTHORIZED TO DO SO; • USE THE LACNET INFRASTRUCTURE PRODUCTS AND SERVICES TO PROMOTE, SUPPORT, DEVELOP, OR CONTRIBUTE TO ANY ACTIVITY THAT IS ILLEGAL, PORNOGRAPHIC, INDECENT, OR RELATED TO ACTS OF VIOLENCE OR TERRORISM, INCLUDING TERROR PROPAGANDA; • ADVOCATE BIGOTRY OR HATRED AGAINST ANY PERSON OR GROUP OF PEOPLE BASED ON THEIR RACE, RELIGION, ETHNICITY, SEX, GENDER IDENTITY, SEXUAL ORIENTATION, OR DISABILITY; • HARASS OR ABUSE OTHER ENTITIES OPERATING LACNET INFRASTRUCTURE; • VIOLATE THE LAW IN ANY WAY, INCLUDING FRAUDULENT, DEFAMATORY OR MISLEADING ACTIVITIES; • VIOLATE THE PRIVACY OR INFRINGE THE RIGHTS OF OTHERS. ANNEX B THIS PRIVACY POLICY SETS FORTH THE DATA PROTECTION POLICIES AND PRACTICES OF THE LACNET TESTNETS, BLOCKCHAIN NETWORKS ESTABLISHED AND SUPPORTED BY THE BLOCKCHAIN NETWORK OPERATOR FOR LATIN AMERICA AND THE CARIBBEAN (L-NET)(“L-NET” or “US”). AS EXPLAINED IN THE TERMS AND CONDITIONS OF USE FOR LACNET TESTNET NODE OPERATORS, TO WHICH THIS PRIVACY POLICY IS INCORPORATED AS AN ANNEX, L-NET IS AN INTERNATIONAL NON-GOVERNMENT ORGANIZATION LEGALLY INCORPORATED IN URUGUAY AND RECOGNIZED BY THE URUGUAYAN MINISTRY OF FOREIGN AFFAIRS. BY USING THE LACNET TESTNETS, YOU ARE AGREEING TO THE TERMS OF THIS PRIVACY POLICY, INCLUDING THAT THEY MAY BE AMENDED AT ANY TIME. YOUR USE OF THE LACNET TESTNETS THEREFORE CONSTITUTES YOUR CONSENT TO THE COLLECTION, USE AND DISCLOSURE OF PERSONAL INFORMATION WE COLLECT FROM YOU THROUGH THE LACNET TESTNETS OR ANY OF THE SERVICES, AS DESCRIBED IN THIS AGREEMENT. WHEN YOU USE THE LACNET TESTNETS, YOU MAKE YOUR ACTIVITY TRACEABLE AND PUBLIC. INFORMATION COLLECTED AUTOMATICALLY YOUR USE OF THE LACNET TESTNETS MAY BE MONITORED AND ANALYZED USING VARIOUS TOOLS. WHEN YOU USE THE LACNET TESTNETS, CERTAIN ANONYMOUS INFORMATION SUCH AS IP ADDRESSES MAY BE COLLECTED AUTOMATICALLY. IF YOU RUN APPLICATIONS WITH END USERS, CERTAIN ANONYMOUS INFORMATION ABOUT THE END USERS MAY BE COLLECTED AUTOMATICALLY FOR THE PURPOSE OF MEASURING THE SOCIAL IMPACT ACHIEVED BY THE LACNET TESTNETS. ALL OF THIS IS DESIGNED TO IMPROVE THE LACNET TESTNETS. BY USING THE LACNET TESTNETS, YOU AGREE TO THE USE OF TRACKING TECHNOLOGIES AS DESCRIBED ABOVE. SHARING OF INFORMATION COLLECTED THROUGH THE LACNET TESTNETS FOR PURPOSES OF CREATING ECOSYSTEMS, EXPOSING AND EXPLORING USE CASES, RAISING AWARENESS, PROMOTING THE TECHNOLOGY, SHARING THE LESSONS LEARNED, AND FOR TRANSPARENCY PURPOSES, THE INFORMATION YOU SUBMIT AND THE INFORMATION THAT IS AUTOMATICALLY COLLECTED ABOUT YOU MAY BE SHARED PUBLICLY WITHOUT PRIOR NOTIFICATION. IF YOU ESTABLISH A PRIVATE CHANNEL WITH ONE OR MORE USERS OF THE LACNET TESTNETS, L-NET SHALL NOT BE RESPONSIBLE FOR ANY DISCLOSURE OF PRIVATE INFORMATION BY THE OTHER USER(S) OF THE PRIVATE NETWORK, OR FOR THE UNAUTHORIZED DISCLOSURE OF INFORMATION CORRESPONDING TO THE PRIVATE CHANNEL FOR ANY OTHER REASON. WE MAY DISCLOSE PERSONALLY IDENTIFIABLE INFORMATION (“PII”) IN RESPONSE TO LEGAL PROCEEDINGS OR WHEN WE BELIEVE IN GOOD FAITH THAT THE LAW REQUIRES IT, FOR EXAMPLE, IN RESPONSE TO A COURT ORDER, SUBPOENA, OR REQUEST FROM A LAW ENFORCEMENT AGENCY. WE MAY ALSO DISCLOSE PERSONALLY IDENTIFIABLE INFORMATION (“PII”) TO PROTECT THE SECURITY AND OPERATION OF THE SITE OR THE RIGHTS OF OTHER USERS OF THE SITE, AND TO PROTECT OURSELVES AND OUR PARTNERS, AFFILIATES, CONSULTANTS, AND PROVIDERS AGAINST LIABILITY, OR IF WE HAVE REASON TO BELIEVE THAT SOMEONE IS CAUSING OR THREATENING TO CAUSE HARM TO OR INTERFERE WITH L-NET'S RIGHTS OR PROPERTY, AS WELL AS TO PROTECT AGAINST FRAUD OF ANY KIND. DELETION OF PERSONAL INFORMATION YOU UNDERSTAND THAT THE LACNET TESTNET, AS A BLOCKCHAIN NETWORK, IS AN IMMUTABLE AND DECENTRALIZED REGISTER OF INFORMATION. ANY INFORMATION YOU REGISTER FROM YOUR WRITER NODE MAY REMAIN IN THE BLOCKCHAIN UNTIL THE LAST NODE IS TURNED OFF. YOU ARE RESPONSIBLE FOR NOT REGISTERING ANY INFORMATION THAT YOU DO NOT WANT TO BE PUBLIC OR THAT YOU MAY NO LONGER WANT TO BE PUBLIC AT SOME TIME. L-NET SHALL NOT BE RESPONSIBLE FOR DELETING ANY INFORMATION YOU HAVE REGISTERED IN THE LACNET TESTNETS. DATA SECURITY WE STRIVE TO PROTECT AND TO MONITOR THE SECURITY AND INTEGRITY OF THE PERSONALLY IDENTIFIABLE INFORMATION (“PII”) WE COLLECT BY IMPLEMENTING PHYSICAL, ELECTRONIC, AND MANAGEMENT PROCEDURES TO SAFEGUARD AND SECURE INFORMATION FROM LOSS, MISUSE, UNAUTHORIZED ACCESS OR DISCLOSURE, ALTERATION OR DESTRUCTION. HOWEVER, DUE TO THE INHERENT NATURE OF THE INTERNET AS AN OPEN AND GLOBAL VEHICLE FOR COMMUNICATION, WE CANNOT GUARANTEE THAT ANY INFORMATION, WHILE STORED ON OUR DATA SYSTEMS OR MAINTAINED BY US, WILL BE FULLY PROTECTED FROM INTRUSION BY OTHERS, SUCH AS HACKERS. INTERNATIONAL DATA TRANSFERS WHEN YOU SEND US INFORMATION VIA EMAIL, THROUGH THE LACNET TESTNET OR OTHERWISE, THE INFORMATION (INCLUDING ANY PERSONALLY IDENTIFIABLE INFORMATION) WILL BE PROCESSED ON CLOUD SERVERS, WHICH MAY BE LOCATED IN COUNTRIES WHOSE DATA PROTECTION AND OTHER PRIVACY LAWS MAY NOT AFFORD THE SAME LEVEL OF PROTECTION AS THE LAWS OF CERTAIN OTHER COUNTRIES. BY PROVIDING PERSONAL INFORMATION TO L-NET, WHETHER DIRECTLY OR INDIRECTLY THROUGH THE LACNET TESTNET OR OTHERWISE, YOU EXPRESSLY AGREE TO THE INTERNATIONAL TRANSFER OF YOUR INFORMATION, IN ACCORDANCE WITH THE PROTECTION MEASURES DESCRIBED IN THIS PRIVACY POLICY.
