ADDENDUM TO THE GENERAL TERMS AND CONDITIONS OF PURCHASE OF IT-EFFECT A/S PRODUCTS ON MICROSOFT STORE Last update 01-10-2019 1. In general: Unless otherwise expressly agreed between the parties, this addendum to the general terms and conditions of sale and delivery applies to the ordering of subscriptions, creation of users in ITE cloud environment, and support for these products. This addendum covers only online products under the product group IT-Effect Cloud (hereafter referred to as iTec), provided by ITE. 2. Conclusion of the contract and term: the general terms of sale and delivery, as well as this addendum, are accepted by ticking the "approve trading conditions" on the online order form, upon acceptance of submitted offers, by using the application or services, or by other means to declare acceptance thereof, and applies between ITE and the customer. The customer agrees that all users created as an administrator are regarded by ITE as legally binding persons who, on behalf of the customer, can create new users, make purchases for customer's solution. The minimum binding period is 1 month. The subscription runs until the subscription is terminated. If the customer wishes to terminate their iTec subscription, it must be done at 10 business days before the end of the month. Termination of the subscription must be made in writing to this email address: support@iteffect.dk. 3. Prices and Terms of payment: All prices are exclusive of VAT and other taxes. On the iTec WebAdmin (Administrator Web page for customer's iTec solution), the customer can view and change its active subscribers. Prices that may be mentioned in price lists, advertisements and the like may be changed immediately and without notice. All prices can be indexed once a year. Subscription costs are calculated at the end of the month and are based on the number of users who have had access to the service/product during that month and the number of additional services selected. Invoice will be submitted within 5 business days after subscription costs are calculated. When paying by credit card, the payment is deducted from the first working day of the next month. It is the customer's responsibility to ensure that credit card information is always correct. The credit card information is not stored by ITE. When paying by invoice, the general conditions of sale and delivery apply. In case of non-payment of subscriptions, ITE is entitled to terminate the connection to the products covered by the customer's subscription with 3 days notice. If the customer's access is to be re-established, the customer is billed DKK 1,000.00 in reestablishment fee. 4. Change in Products: changes due to updates, releases, new versions etc. will take effect when ITE updates the software in question. Major changes are announced with a minimum of 2 business days before the changes take effect. The customer should be aware that such updates may lead to change to the customer's own system and its setup if the customer has made adjustments to the system. Customer may request assistance from ITE for such changes at the applicable general terms and conditions of sale and delivery conditions for such services that are paid after time spent. 5. Customer Data: customer's data in the purchased iTec solution is available to customer for a maximum of 36 months and is only included customer's active subscriptions and associated active users. Data older than 36 months will be deleted continuously. If the customer wishes to extend the period, the customer must contact ITE to agree on the length and price of the period. ITE reserves the right to delete the customer's data immediately after the subscription is terminated or after the customer's data is exported. ITE has no obligation to store data after this date.
