THE LICENSED MATERIALS ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS WITH ALL FAULTS, DEFECTS AND ERRORS, AND WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES (EXPRESS, IMPLIED, ARISING BY LAW OR OTHERWISE) REGARDING THE LICENSED MATERIALS AND ANY RESULTS IN RESPECT OF THEIR PERFORMANCE OR SUITABILITY FOR CLIENT’S INTENDED USE, INCLUDING ANY REPRESENTATIONS OR WARRANTIES REGARDING MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. FOR THE AVOIDANCE OF DOUBT, COMPANY MAKES NO WARRANTY, GUARANTY, COMMITMENT OR OTHER OBLIGATION RELATED TO THE ACCURACY OR COMPLETENESS OF ANY RESULTS (INCLUDING, WITHOUT LIMITATION, ANY PREDICTIONS OR PREDICTIVE ANALYTICS INCLUDED IN SUCH RESULTS) AND CLIENT IS SOLELY RESPONSIBLE FOR ITS USE AND RELIANCE ON ANY SUCH RESULTS, THE LICENSED MATERIALS ARE NOT FAULT TOLERANT.

In no event shall Company be liable to Client for indirect or consequential damages, for any lost data or content, lost profits, business interruption or for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of or relating to these Terms, even if Company has been advised of the possibility of such damages, and notwithstanding the failure of essential purpose of any limited remedy.  Company shall not be liable for any damages in excess of the amount paid to Company by Client in the previous twelve (12) months. 

These Terms, including and any previously signed NDA, is the complete and exclusive agreement with regards to the terms set forth above and supersede all previous or contemporaneous understandings or agreements.  By signing this, the individuals signing below hereby represent and warrant that they have the legal authority to bind the party on whose behalf they are signing.
