GENERAL TERMS OF USE WELCOME TO T2B! The T2B services are provided by the company TOD, located at 27-29 rue Raffet, 75016 Paris, SAS with capital of 16,444 euros, registered in the RCS of Paris under number 829775980 - Intra-Community VAT No.: FR74 829775980 TOD (hereinafter 'TOD') is the publisher of the T2B software (hereinafter 'Application'), released in Software As A Service mode known as SaaS, and offers extensive talent management services to employers (hereinafter 'Clients') including smart assessment, mobility and recruitment assistance tools. The use of the Application and its services is strictly reserved to Clients with whom TOD has entered into a User and Service Licence Agreement (hereinafter 'Contract') and to users designated by the Client from among its personnel and candidates for recruitment (hereinafter 'Users') in accordance with the terms of the Agreement. Users have access to the Application and use its services under the sole responsibility of the Client. The Clients and Users are automatically subject to these General Terms of Use (hereinafter 'Terms of Use'). The Terms of Use supplement the terms of the Agreement. In the event of a contradiction between the Terms of Use and the Agreement, the terms of the Agreement shall prevail.The use of the Application and its services implies your acceptance of the Terms of Use. We invite you to read them carefully. LThe use of the Application and its services is also subject to our Privacy Policy, which explains in particular our obligations, rights and methods with regard to the processing of personal data. 1. Your Account T2B 1.1. Use of the Application and its services by the Users members of staff of the Client The Client assigns to its users, members of its staff, personal Accounts (below 'Accounts') according to the terms of the Contract. The use of the Application and its services requires that these Users join the Application on request of the Client through an automated link. The registration pulls automatically the opening of the Account in the name of the User, giving him/her access to a personal space (below the 'Personal Space') which allows him/her to manage its use of the Application and its services according to the rights bound to his/her type of Account. There are five profiles of possible rights associated to an T2B Account, one User may have several profiles: - Administrator : the Administrator Profile has all the access and authorisations to manage all the Client’s Accounts, to create, close or modify any personal account, to open positions or assignments at the Client’s premises, to invite external candidates to respond to the “Spirit of TOD” Questionnaire on the Application and to order audio reports from TOD on Users and external candidates. - Communication : the Communication Profile can only create, modify or delete internal communication content, published on the Application for Users. - Human resources : the Human Resources profile can create and delete personal accounts, add, modify and delete personal information related to its own profile, create, modify or delete job or temporary assignments proposals on the Client’s internal job market, apply for proposals that are displayed in the section “My Opportunities”, invite External Candidates to respond to the Application “Spirit of TOD” Questionnaire, order audio reports from TOD on Users and External Candidates. The Human Resources profile does not have the permission to add, modify or delete any personal information of any other Users Personal Spaces. - Manager : the Manager profile has the authorization to add, modify and delete personal information on its own profile, to consult all available information on the Personal accounts of the Users, members of its team (direct reports only), to create, modify or delete proposals on the Client’s internal job market (positions that will report to him or her) and to apply for proposals that appear in the 'My Opportunities' section. - Employee : the Employee profile has the authorisations to add, modify and delete personal related to its own profile, to consult all the personal information available on the Personal Space of his/her direct Manager of his/her Team and to apply for job proposals or assignments open to the Client that are displayed in the 'My Opportunities' section. 1.2. Use of the Application and its services by External Candidate Users As part of a recruitment process, the Human Resources and Manager profiles can invite an external candidate to respond to the Application’s “Spirit of TOD” Questionnaire via an automated link for personal use sent by email. The response to the Questionnaire by the External Candidate does not give rise to the creation of an Account. 1.3. Prohibited Users The use of the Application and all its services is strictly prohibited to minors. 2. Identifier and password The creation and use of an Account require a personal username and password. The password is strictly confidential. A User cannot have access to more than one Account. A User has a strictly personal use of his Account. The Client is responsible for the personal access and use of the User Accounts. The Client is solely responsible for the preservation and confidentiality of the password related to its Account and the passwords related to the Accounts of its Users. The Client undertakes to take all necessary measures to ensure this confidentiality. The Client undertakes to notify TOD without delay of any omission, loss or any voluntary or voluntary disclosure to third parties of its password or a User’s password. In the event of voluntary or voluntary forgetting, loss or disclosure to third parties of a password linked to an Account, the Client is responsible for the use of the Account until it has requested the change of the password from TOD. 3. Your content The Application and its services allow you to import, store, receive and share content (proposals for open positions or assignments at the Client’s premises, personal information or content for internal communication purposes) in the conditions related to your Profile type. You retain all your intellectual property rights in this content. The Client is responsible for its contents and the Users' contents. It undertakes to take all necessary measures to avoid the import or sharing by itself or by Users of illegal, inaccurate, abusive, misleading, offensive or otherwise harmful content. The Client may decide to terminate the use license at any time in compliance with the terms of the Agreement. Where applicable and in other cases where the contractual commitment between TOD and the Client is terminated, we do not guarantee that we will store or continue to display on the Application the content published by the Client or Users. 4. Confidentiality rules and processing of personal data As part of its contractual commitment with the Client, TOD is required to process the Client’s and Users' personal data. The processing and protection of the Client’s and Users' personal data are subject to our Data Protection Policy and its updated versions. 5. Intellectual property rights TOD reserves all of its intellectual property rights related to the Application and its Services. T2B software is protected by copyright law and international conventions. Any partial or total reproduction or distribution of the software and the structures and contents of any kind (questionnaires, texts, images, visuals, etc.), by any means whatsoever, is strictly prohibited. Anyone who does not comply with these provisions will be guilty of the offence of counterfeiting and will be subject to the criminal sanctions provided by the law. 6. About these terms of use We may modify these Terms of Use, in particular to reflect changes in the law or changes in our services. We recommend that you consult the Terms of Use regularly. Changes to the Terms of Use will be posted on this page.
