1. GENERAL This is a Legal Agreement between Recodify Ltd and a subscription customer who purchases an ongoing monthly subscription to a Recodify Ltd Service. It is assumed that on purchasing the product, the customer acknowledges the understated terms and conditions of this agreement. The customer will lose all the rights to use the product automatically on breaching of this agreement. Under these circumstances Recodify Ltd will revoke access to the subscribed service with immediate effect. 2. SUBSCRIPTION All Recodify Ltd Productions covered by this agreement are purchased on a subscription basis. Your subscription will continue month-to-month until terminated. Unless you cancel your subscription before your monthly billing date, you authorize us to charge your next month's subscription fee to your Payment Method (see "Cancellation" below). 3. BILLING 3.1 Free Trail. All subscriptions are offered with an initial 30 day no obligation free trial. 3.2. Billing Cycle. The subscription fee for the Recodify service will be charged on a monthly basis to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your subscription (i.e. after your free trial ends). In some cases your payment date may change, for example if your Payment Method has not successfully settled or if your paid subscription began on a day not contained in a given month. 3.4. Cancellation. You can cancel your Recodify subscription at any time, and you will continue to have access to the Recodify service to which you have subscribed through the end of your monthly billing period. To the extent permitted by the applicable law, payments are non-refundable and we do not provide refunds or credits for any partial-month subscription periods. To cancel, please email billing@recodify.co.uk 3.5. Changes to the Price and Service Plans. We may change our service plans and the price of our service from time to time; however, any price changes or changes to our service plans will apply to you no earlier than 30 days following notice to you. 3.6 Conversion from Free Trail to Paid. Towards the end of your free trail, you will be contacted by Recodify to confirm whether you want your subscription to transition to a paid tier. Details on how to specify your payment method will be given at this juncture. 4. COPYRIGHT Any illegal copying, leasing, renting, sublicensing, conveying, developing any derivative works, or divulging of modification source codes in any way, transferring of product to other platforms and CRM without prior written approval from Recodify is restricted. Evidence of copyright infringement include, but not restricted to, similar code pattern and structures and containing similar product source code, design and layout. Customer is not authorized to terminate the original Recodify Ltd copyright inscription from the source code of the product. Customer can modify the source code, but at their own risk. If found that the product is used breaching the above terms of use, Recodify Ltd is authorized to suspend the license, suggesting the customer on what actions should be taken to resolve the issue. If in case a severe or repetitive violation is found where advice has been ignored, Recodify Ltd is authorized to revoke the license of the product. The files and source codes are owned by Recodify Ltd and are subject to UK law along with international copyright treaty provisions. Recodify Ltd retains title and ownership of the product and all enhancements, customization and updates of the product. 5. INSTALLATION Recodify Ltd can help you install the product at an extra cost, which is non-refundable. An installation guide for all subscriptions is available. Please see support pages for details. 6. PRODUCT SUPPORT POLICY Recodify Ltd offers free support, for every subscription legally purchased from Recodify Ltd and for any subscription during its free trial. Without any additional charge, the support team will offer all required written consultation requested, for use and operation of the subscription or any issues therewith to the customers. All subscriptions will be actively monitored for failures and proactively fixed by Recodify Ltd. SERVICE LEVEL AGREEMENT Recodify Ltd will provide support services via support tickets Monday to Friday, 9 am - 5 pm GMT. No explicit resolution time SLA is provided but best efforts will be applied to resolve as soon as reasonably feasible. 8. PRODUCT UPDATES Recodify Ltd will inform the customers through email about the release of new update of the purchased subscription. 9. REFUNDS No Refunds will be issued. Customers can cancel at anytime. See 3.3 for details. 10. CONFIDENTIALITY Each party agrees that it shall not disclose any information about the customers, trade secrets, methods, processes etc. or any other confidential, business or financial information of the other party, which it comes to know during the course of its performance of this agreement to any third party, without the prior written consent of such other party. This obligation shall survive the termination of this agreement or license. 11. DESCLAIMER OF RESPONSIBILITY Recodify Ltd products are not stand-alone solutions and they require framework installation and backend services, Recodify Ltd does not guarantee for its product to perform correctly on any Framework solution, whether modified or not. Recodify Ltd is not liable for damages or incorrect running of the Products, occurred due to installation or utilizing of module. Recodify Ltd does not hold any accountability for content of a site on which the product is installed. Complaints of any third party may lead to license suspension or revocation if the matter is not resolved. Recodify Ltd holds the right to suspend the license and offer both parties time for settlement or advice. Recodify Ltd is not responsible to customer or any third party for any damages that include, but not restricted to, loss of business or business profits, loss of business information due to using Recodify Ltd products. By accepting this license agreement the customer acknowledges to use the product at own risk and is entirely responsible for any damage to own computer system or data. 12. CHANGES IN TERMS Recodify Ltd reserves the right to amend or modify these agreement terms at any time. It is the responsibility of the customer to inquire about any changes made to the present agreement.
