This document establishes the general terms of use (hereinafter “TERMS”) between CODE FOR ALL, LDA, a company incorporated and existing according to the laws of Portugal, with the company number 510894160 and headquarters located at RUA DE SÃO SALVADOR, 42, PRAIA LINKS - INCUBADORA DE NEGÓCIOS E NINHO DE EMPRESAS DA PRAIA DA VITÓRIA 9760-541 PRAIA DA VITÓRIA and/or its permitted successors and assigns (hereinafter “CODE FOR ALL”) applying to any users (hereinafter, “USER”) who access and/or use the Plataform ubbu© hosted at www.ubbu.io (hereinafter, “the PLATFORM”). 

By the access and utilization of the PLATFORM the User is accepting the TERMS. If the User has any reservation, doubts or objections in respect thereof, he/she shall refrain from using the PLATFORM, shall suspend authentication and utilization and contact ubbu by alternate means. 

ubbu reserves the right to change these TERMS at any time and without previous notice. Any alteration will constitute an integral part hereof as the updated TERMS. The reaffirmed access and use of the PLATFORM means a confirmation of acceptance of the TERMS in each moment of access and utilization, according to the version in force on such date. 

Ownership 

The compilation of all content included in or made available through the PLATFORM including layout, design, imaging and graphics, page headers, button icons, scripts, and product and service names included in or made available through the PLATFORM are either owned or used by CODE FOR ALL under license of one or more third party partners (“Licensors”) and may be subject and protected by local and international laws. All software used on the PLATFORM is the property of CODE FOR ALL or its Licensors and protected by local and international laws.

UBBU© PLATFORM, LICENCES AND CONTENT

The PLATFORM integrates the ubbu© CONTENT and the connected documentation made available through license agreement (“ubbu© Licences”) and which activation, access and utilization are made in the Platform by the certified personnel of ubbu (“Teachers) for the licensed education establishments (“Schools”). 

The multimedia and interactive contents that cover the curricular programs of the subjects of Programming Introduction I and Curriculum of Continuity Programming II (“UBBU©  CONTENTS”) the subject matter of ubbu© Licenses are intended for children and young people aged 6-12 years attending to the educative system in effect in Portugal on the First and Second years of Basic Education (“Students”).

ubbu delivers to the Schools a certain number of ubbu© Licenses that Schools will handover to teachers of such School who will be Code Teachers for the education of UBBU© CONTENTS to Students aged 6-12 on/before the expiration date of the ubbu© Licenses. 

Code Teachers shall complete the activation of the ubbu© Licenses pursuant to the UBBU© CONTENTS selected by the School, pursuant to herein TERMS, the terms and general conditions of ubbu© License Agreement and the documentation that is made available on their reserved areas of the PLATFORM. 

The PLATFORM includes: 

* Access profiles for Code Teachers who generate Student profiles at the PLATFORM in a fully anonymous way, non-defined or identifiable pursuant to the documentation, the Guidance and Instructions of Use of the Platform and the confidentially and privacy Policies that are all part of the Documentation at the PLATFORM;
* Access profiles for the Code Teachers that have coordination roles at the School and act as focal points of contact with ubbu; 
* The UBBU© CONTENTS;
* Self-assessment contents generated by Students;
* Progress controls and time accounting controls that enable the evaluation of learning’s progress of the Student and the continuous adaptation of the UBBU© CONTENTS to the Student’s knowledge stage;
* Contents and controls for Students and Class management;
* Services that permit the download and upload of files containing, namely, sheets and exercises and their resolutions, the opening, conduction and presentation of teams and/or works. 
Conditions of Access and Use PLATFORM 

In the first place the access to the PLATFORM depends on the acquisition - by means of a separate document - of ubbu© Licenses by and between the School and ubbu.The provision of the number of the ubbu© Licenses to be activated in the Platform is granted by ubbu to the School according to the dimension of the license agreement and assumes the guarantee that the School is in the rightfull possession of all permits and authorisations necessary by the Student’s Guardians.

Each School may designate a Code Teacher that will be responsible for the ubbu©  Program and that is the preferential interface with ubbu. 

Code Teachers sign up at the PLATFORM with their personal and non-transferable username and password which are at their entire responsibility and have restricted controlled accesses to the PLATFORM depending on their function, as managed and controlled by ubbu. 

The School at its sole and exclusive responsibility distributes the correct number of ubbu©  Licenses internally amongst the Code Teachers according to their function, the number of Students enrolled and under their direct control. 

After the Code Teachers activating the ubbu© Licenses at the PLATFORM, the PLATFORM is available for use including by the Students of the School throughout the period of validity of the ubbu© Licenses. 

The PLATFORM is for individual and non-transferable use, being assumed as a condition precedent for the access and legitimate usage that the Code Teacher is qualified at the School and the activation is made according to the number of Students from such School who are under the responsibility of the Code Teacher. 

The Code Teacher signs up at the PLATFORM with a personal and non-transferable username and password which are at his/her entire responsibility and that should be construed according to the documentation available at the reserved area. 

The Students are registered at the Platform by the Code Teacher in an anonymous manner by resourcing from usernames and nicknames, which shall be construed according to the Guidance and the Platform’s usage instructions available at the reserved area. 

The username and passwords of Code Teachers as well as the fictitious usernames and nicknames of the Students are the access “Credentials” for the use of the PLATFORM in each and every School. User Credentials are personal and not transferable and shall be dealt with in accordance to the documentation available at the reserved area of the PLATFORM. 

ALL THE ABOVE SAID ACCESS AND ACCREDITATION PROCEDURES ARE THE SOLE ONES AUTHORIZED BY UBBU FOR ACCESS AND USE OF THE PLAFORM. 

IF THE ACCESS TO THE PLATFORM IS GRANTED BY NA INDIVIDUAL PERSON OR A COMPANY EXTERNAL TO UBBU OR BY ANY OTHER MEANS NOT CORRESPONDING TO THE ABOVE SPECIFIED, SUCH IS NA INCIDENT AND MUST BE PROMPTLY REPORTED TO hello@ubbu.io. ACCESS AND USE OF THE PLAFORM SHOULD BE SUSPENDED UNTIL UBBU DETERMINES OTHERWISE. 

The Code Teachers of each and every School in their own name and as representatives of their Students – as applicable – should adopt the necessary procedures to safeguard the Credentials’ confidentiality and should refrain from entrusting, disclosing, sharing and delivering the Credentials to any third parties. Code Teachers shall ensure the restricted access to any devices or communication media in which the Credentials (or those of their Students) may be easily accessible or may be kept in memory to enable an automatic access to the reserved areas of the PLATFORM, or where Code Teacher’s Credentials (or those belonging to their Students) may be recorded, stored, registered or maintained under any possible ways. Adequate levels of security and protection of the Credentials should be adopted and if a Code Teacher reasonably suspects of a possible security breach or if reasonably believes that his/her Credentials (or those of a Student) were stolen, copied or are under the use of third parties, he/she shall promptly warn the School’s board, another Code Teacher or ubbu at hello@ubbu.io.

On latter said cases access and use of the PLATFORM should be suspended until ubbu or the School determines otherwise in writing. 

Where a User forgets his/her Credentials, the ubbu may not have the means to provide assistance in the restoring of such Credentials and may opt to grant other replacement credentials capable of being edited in the future pursuant the same rules of construction and management of usernames and passwords for the initial sign-up at the PLATFORM.

ANY SOFTWARE OR HARDWARE THAT THE USER MAY USE TO STORE, RECOVER OR DECYPHER THE CREDENTIALS SHALL BE USED AT THE SOLE RISK AND RESPONSIBILITY OF THE USER.

The School, the Code Teachers and the Legal Guardians of the Students shall be liable in contract and in law for all consequences and damages arising from the non-compliance with the herein TERMS by the Students. 

Code Teachers may resource from ubbu as explicitly detailed in the Documentation available at the reserved área of the Platform.

The access to the PLATFORM may be cancelled for whatever reason attributed to a force majeure or any other that is out of the control or is otherwise unavoidable by ubbu and for which ubbu may not be liable. 

ubbu shall endeavor all reasonable commercial efforts to remove and mitigate any obstacles imposed in the access to the PLATFORM as soon as possible depending upon availability of means and/or resources to such effect. 

Limited License Agreement

Subject to total and permanent compliance of these TERMS and of the terms of the ubbu©  Licenses - which are governed by a separate document - ubbu grants to the User a limited, personal, non-commercial, non-transferable or sub-licensable license to access and use the PLATFORM for strictly private use. 

The User (including Students, Code Teachers, the School and their workers or agents and/or Guardians, if/as applicable) shall proceed to the use of the PLATFORM in an appropriate way, avoiding any use that could contradict these TERMS, harm or prejudice the rights of ubbu or any third parties. 

The User commits to comply with these TERMS as well as to comply with all the laws that could apply to him/her while accessing or using the PLATFORM.  

In particular the USER understands and accepts that he/she shall not:

* Introduce any modifications in the PLATFORM or in any of the components, except under express written authorization by the ubbu;
* Use the PLATFORM or one of its components for an illegal activity (even if such is perpetrated only under mere negligence or lack of due diligence and care); 
* Copy, reproduce, replicate, share, imitate by any form the PLATFORM (in whole or in part); 
* Download any information or make the PLATFORM contents available or visible, except as expressly determined by the PLATFORM or as implied by the teaching instructions displayed in the contents; 
* Copy, use, remove, change, hide or by any other form make use of the trademarks, proprietary notices, warnings or others showing at the PLATFORM and that pertain or are correlated to the intellectual or industrial property of ubbu or any third parties; 
* Connect, disseminate and/or reproduce or make accessible in the Platform an open, public or private network, for use outside the limits of the ubbu© license agreement and/or in contradiction with the terms and conditions herein and the Documentation of the ubbu©;
* Interconnect, sell, resell or deliver, rent or for any other way grant access, the use or provide and/or explore the PLATFORM, the associated brands and/or their materials or contents in any way to third parties except as previously and expressly (by written) authorized by ubbu; 
* Change or modify any part of the PLATFORM except as strictly necessary for its use and provided that such is strictly in accordance with the Guidance of Use and other Documentation available in the Platform for its accredited Users, Code Teachers or Students. 
Without any other reservation, limitation or exception, the User must not  use the Contents of the PLATFORM to:

* Create and/or develop or promote - based on the ideas materialized in the PLATFORM or in the ubbu©  and/or the CONTENTS - other businesses, concepts, contents, products, sub-products, materials or services essentially identical or similar to ubbu©  - even if in another support (physical support in paper, digital media, presentations, graphics or any other); 
* Infringe the intellectual property rights related or inherent to the PLATFORM and/or to ubbu©;
* Search or obtain data, identify, constitute or manage profiles, follow or track the professional activity of any person or the online activity of a person with resource to the PLATFORM or ubbu©  even if with the docking, conjugation or links potentiated by them or with the conjugation of them with products from third parties (software or hardware);
* Use or share ubbu© (totally or in part) in connection with any third parties’ business or professional activity (with or without profit aim) where such are unrelated to ubbu, except upon the previous consent in writing of the ubbu;
* Circumscribe, format, cut out, copy and paste or resort to other techniques for the extraction, migration, reproduction, adaptation, copy, referencing, creation of hyperlinks, composition of any contents or materials of the PLATFORM or accessible therein, including ubbu© CONTENTS, AS WELL AS, copy or associate any brand, logo or distinctive signs of ubbu to those of others, except upon the previous consent in writing of ubbu and the related holders; 
* Use meta tags or other form of “hiding text” from or with reference to the PLATFORM, or to the names and/or brands of ubbu or any other, except upon the previous consent in writing of ubbu and the related holders. 
FOR THE AVOIDANCE OF DOUBT AND THE SAKE OF CLARITY 

The licensed use of ubbu© does not include (i) any right of commercial utilization and neither of any of the products, materials and contents therein contained; (ii) the permission or tolerance to a different use - direct, indirect- apart from the one expressly mentioned herein or contrary to that described in the ubbu© license agreement; (iii) the use of tools or technological devices (software or hardware) track, extraction, treatment, compilation or cross of data traffic tools in association with the PLATFORM. 

ubbu reserves the right to monitor the use of the PLATFORM and verify compliance by any party or entity with the present TERMS and the ubbu© license agreement. 

The ubbu© licenses may be canceled according to the terms of the ubbu©  License agreement.

Where ubbu reasonably suspects of an improper use or access to the Platform an User may be temporary or definitely interrupted or disabled independently of any cancelation of the ubbu© Licenses. 

The cancellation may show in a visible area of the PLATFORM whenever the User pretends to access thereto or may be implemented by any other measures to disable/interrupt an already granted access.

IN CASE OF PERMANENT AND TOTAL CANCELLATION OF THE ACCESS AND USE OF THE PLATFORM LICENSE, THE USER WON’T HAVE MORE ACCESS AND WON’T BE ABLE TO USE THE PLATFORM. ALL THE INFORMATION STORED OR AVAILABLE AT THE PLATFORM WILL BE UNAVAILABLE AND INACCESSIBLE ONCE THAT UBBU DOES NOT USE OR IMPLEMENT PROCESSES OF COLLECTION AND UTILIZATION OR SESSION DATA STORAGE. 

ubbu© Licenses aren’t reusable beyond their validity term nor usable by third parties external to the license agreement. 

The User will be liable in contract and in law for any consequences and damages resulting from his/her non-compliance with the present TERMS. 



STUDENTS_SURVEILLANCE DUTIES 

The PLATFORM is intended for Students who will in their great majority be underage minors.

The Students may access and use the PLATFORM only and exclusively for the intended purposes of the PLATFORM, for the promotion and learning of ubbu©  CONTENTS; (i) at School, under supervision of a Code Teacher and (ii) outside School, under supervision of whomever has the legitimacy to control and supervise the education of the Students (the “Guardians”). 

The School, the Code Teachers and the Guardians are bound to the surveillance duties in respect of the Students and will be responsible by their actions and behavior, including their use of the PLATFORM or of ubbu©  CONTENTS. Whether at School or outside, as well as, for the damages arising from non-compliance by Students of the present TERMS. 

Legal persons 

The PLATFORM is not intended for legal persons’ access. IF THIS HAPPENS, ubbu does not check or validate the legal existence, or the legitimacy or the natural person’s powers to represent and bind a legal person. 

The access or use of the Platform with the Credentials of a School or of a Code Teacher are presumed as done by them and/or in his/her representation and in the interest of the School, without repudiation by the Code Teacher and the School in question in respect of such accesses and use. Whenever such access and/or use are in contravention with the present TERMS, or with the terms of the ubbu©  license agreement the School and ubbu may jointly or separately initiate the proceedings against the transgressor. 

The legal persons should adopt the appropriate internal controls, procedures and organizational measures to supervise any activity in the internet on its name. 

Exclusive non-commercial use

THE PLATFORM IS NOT INTENDED FOR PROMOTION, EXIBHITION AND SUPPLY OF COMMERCIAL AND MARKETING CONTENT. 

IF SUCH ACTIVITY IS DETECTED ALONG WITH ANY RELATED COMMERCIALIZATION AND MARKETING OF ANY PRODUCTS OR CONSUMER GOODS, WE REQUEST THAT REPORTS ARE MADE TO US INTO

USER IS ADVISE TO LEAVE THE PLATFORM AND REFRAIN FROM CONTINUED ACCESS AND UTILIZATION UNTIL FURTHER INSTRUCTIONS ARE GIVEN BY THE SCHOOL OR BY UBBU. 

Responsible use of the Internet_Privacy

THE USER SHOULD BE AWARE THAT THE INTERNET IS UNSTABLE AND THAT THE INFORMATION THAT HE ACCEDES ONLINE, MIGHT NOT ALWAYS BE SUFICIENTLY PROTECTED. 

The technical, organizational and procedural resources used by ubbu to anticipate, prevent and block or reduce the cyber risks are subject to the disruption, interference or unavailability possibilities, without previous warning to, for extra reasons or for reasons that overcome the due diligencia duties and carefulness that would be necessary to ubbu.  

THE USER SHOULDN’T SHARE THE AMBIENCE OR THE CONTENTS OF HIS RESERVED PERSONAL AREA IN THE PLATFORM WITH HIS FRIENDS OR ONLINE GROUPS AND ALSO SHOULDN’T DIVULGATE HIS DATA OR IDENTIFIABLE INFORMATION OF HIS PERSONAL AREA.

ubbu advertises for the need to navigate in a responsible way and to verify the Privacy Policies, guaranties and/or any other terms and conditions of sale or others conditions that may apply online out of the PLATFORM.

Exclusion of Guaranties and Responsibility Limitation:

The User uses the Platform at its sole risk and liability. 

THE PLATFORM IS PROVIDED AND USED ON AN AS IS and AS AVAILABLE BASIS.

UBBU DOESN’T PROVIDE ANY EXPRESS OR IMPLICIT GUARANTEE IN RESPECT of THE FUNCTIONING OR UTILIZATION OF THE PLATFORM, IN WHAT RELATES TO THE QUALITY, QUANTITY, RELIABILITY, ADEQUATION, CORRECTION, NON-INFRINGEMENT OR FIT FOR ANY PURPOSE, OBJECTIVE OR OPERATION AND/OR CONTINUOUS AND UNINTERRUPTED  ACCESS, ERROR-FREE OPERATION AND PERFORMANCE OR THAT THE PLATFORM IS AND SHALL BE FREE FROM ANY VIRUS OR HARMFUL CODE. 

UBBU WON’T BE RESPONSIBLE FOR ANY TYPE OF EVENTUAL OR ALLEGED DAMAGE OR LOSS RESULTING FROM THE USE OR ACCESS OF/TO THE PLATFORM BY AN USER. 

TO THE FAR EXTENT THAT THE APPLICABLE LAW PROHIBITS THE LIMITATION OR EXCLUSION OF LIABILITY, THE EXCLUSIONS AND THE LIMITATIONS ABOVE SHALL BE INTERPRETED AND APPLIED ONLY TO THE FAR EXTENT PERMITTED BY LAW. 

INDEMNIFICATION

User shall defend, indemnify and hold UBBU, its affiliates and their respective directors, officers, employees and agents harmless from any claims, losses, damages, liabilities, including attorney’s fees, arising out of your use or misuse of the PLATFORM and any consequences arising from the violation by User of these Terms amounting to violation of the rights of any other person or entity. UBBU reserves the right, at its own expense, to assume the exclusive defense and control of any matter or claim by a third party for which User may have to indemnify UBBU for hereunder and User agrees to fully cooperate with such defense and fully indemnify UBBU in respect thereof without limitation.

Claims: 

The user may submit a claim in writing to UBBU at Travessa de São Pedro 8, 1200-348 Lisboa or at the survey available in the PLATFORM www.ubbu.io.

Applicable law: 

These Terms were drafted and shall be construed and interpreted in accordance to the laws of Portugal.

Jurisdiction: 

Any claims arising from or in connection with these Terms shall be exclusively submitted and resolved by the Civil Courts (Comarca) of Lisbon (Portugal). User expressly agrees with ubbu to the aforementioned disputes resolution clause upon waiver by either of them to any other forae or disputes resolution form such as mediation or arbitration.
