GeneralTermsofLicenceforAppwayProductsAppwayAG,locatedatLessingstrasse5,8002,Zürich,Switzerland("Appway")licenseesitssoftwaresubjecttoadistinctsoftwarelicenseagreementnegotiatedandsignedwitheachofitslicensees.Thesetermsarelistedheresolelyasindicativeinformation.Anyfinaltermsagreedwithalicenseewillbesetoutinaseparateanddistinctsoftwarelicenseagreement.GeneralTerms:1.Appway uses a subscription license model with a license term of a minimum of three  years.  The  term  may  be  extended  on  agreement  of  the  parties.  Longer terms  can  be  arranged,  depending  on  licensee’s  requirements  and  agreed commercial terms.2.Appway  offers  various  software  packages,  which  can  be  modified  to  suit  the needs  of  licensees,  based  upon  agreement  and  commercial  considerations.  All licensed software is granted on a non-exclusive basis.3.Standard support and maintenance of software is included with the software, at no  additional  charge.  Modifications  available  to  software  licenseesbased  upon agreement and commercial considerations.4.Appway  provides  only  the  right  to  use  the  software  for  a  set  scope  of  use.  No other rights in the software are granted other than the right to use in accordance with the software license agreement. No transfer of ownership or any other rights in the software is intended.5.All  software  updates  (including  patch  releases)  are  provided  to  licensees  via  a website.  It  is  the  responsibility  of  a  licensee  to  regularly  update  its  licensed software. Failure to regularly update can result in loss of support by Appway.6.Modifications to the licensed software (implementations) can be undertaken by Appway, based upon agreement and commercial terms, and/or a number of third party companies that have expertise in Appway’s software. Appway maintains a directory of third party companies with certain levels of expertise. Appway bears no responsibility  for those companies or the results they attain if engaged by a licensee.7.Appway offers the services of its Appway Academy to licensees and other third parties that wish to expand their knowledge of Appway software.
