2. LICENSE GRANTED

2.1 Sigma Software. Subject to the terms and conditions of this Agreement, during the Term Sigma grants to Customer a non-exclusive, non-transferable, non-sublicenseable license to Access the Sigma Software for its internal business purpose, as described in Exhibit A.

2.2 Restrictions on Use. Customer shall not itself, and shall not authorize or enable a third party to:

a) use the Sigma Software on behalf of any third party as a service bureau, or on a “software as a service” basis, or otherwise;

b) use, reproduce, modify, lease, rent, permit concurrent use of, or distribute the Sigma Software other than as expressly permitted in this Agreement;

c) offer the Sigma Software for resale to any third party;

d) make the Sigma Software available to third parties;

e) disassemble the Sigma Software or unbundle any software it contains;

f) prepare or create Derivative Works of the Sigma Software;

g) reverse engineer, decompile, or otherwise derive the source code of the Sigma Software; or

h) remove or modify any proprietary notices from the Sigma Software.

Where Customer requires interoperability between the Sigma Software and other software or programmes licensed to the Customer by third party providers, the Customer may request information from Sigma to achieve interoperability and Sigma will make such information as Sigma may determine in its sole discretion is required for interoperability available to Customer. Any such request shall be made by the Customer in writing to the address set out in clause 15.1. Such information shall be Confidential Information.]

3. ACCESS AND INSTALLATION

3.1 Access. Sigma will, in accordance with the timeframe and in the manner to be mutually agreed by the parties, give Customer Access to the Sigma Software, on the System. The Sigma Software is deemed to be accepted by the Customer as of the Access Date.

3.2 SaaS. Subject to the terms and conditions of this Agreement, Sigma shall provide services during the Term, as described in Exhibit A attached hereto.
