ShookIOT Essentials™ End-User Licence Agreement (“EULA”) PLEASE READ THIS DOCUMENT CAREFULLY BEFORE USING THE SOFTWARE. BY ACCESSING THIS WEBSITE AND CLICKING “I AGREE” BOX BELOW, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA AND ALL TERMS INCORPORATED BY REFERENCE IN RESPECT OF YOUR USE OF SHOOKIOT ESSENTIALS™ SOFTWARE (THE “SOFTWARE”) AND THE SHOOKIOT WEBSITE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENCE, YOU ARE NOT PERMITTED TO USE THE SOFTWARE. 1. ShookIOT Website - Terms of Use ShookIOT reserves the right to change or modify any of the terms and conditions for use of the ShookIOT website or any policy or guideline of the ShookIOT website, at any time and in its sole discretion. Any changes or modification will be effective immediately upon posting of the revisions on the ShookIOT website, and End-User waives any right to receive specific notice of such changes or modifications. Accordingly, End-User should review the terms of use and applicable policies from time-to-time to understand the terms and conditions that apply to End-User’s use of the ShookIOT website. 2. Licence and Restrictions ShookIOT grants End-User a time-limited, non exclusive, non transferable right use the Software, subject to the terms and conditions in this EULA. End-User shall not rent, lend, lease or transfer the Software to any third party. End-User shall not modify, adapt, reverse engineer, decompile, disassemble or convert the Software into human readable form or direct a third party to do the same. 3. User Accounts The ShookIOT website is only accessible through a standard username and password login to registered users. In creating a user account, End-User agrees to (a) provide accurate, current and complete information as may be prompted by any registration forms (b) maintain the security of End-User’s password and identification; (c) maintain and promptly update the registration data, and any other information End-User provide to ShookIOT, to keep it accurate, current and complete; and (d) accept all risks of unauthorized access to the registration data and any other information provided to ShookIOT. End-User is responsible for all activity that occurs on End-User’s account and is responsible to keep End-User’s account password secure. End-User must notify ShookIOT immediately of any breach of security or unauthorized use of End-User’s account. Should ShookIOT become aware of any unauthorized activity on End-User’s account, ShookIOT may remove access to the ShookIOT website. 4. Privacy and Confidentiality ShookIOT will collect, use and disclose End-User registration data and other information provided to ShookIOT by End-User in accordance with the ShookIOT Privacy Policy [hyperlink]. ShookIOT may collect information related to usage of the Software and ShookIOT website for use to facilitate billing procedures and may provide such information to third parties to facilitate billing procedures. Except to the extent expressly authorized by End-User, ShookIOT shall keep completely confidential and shall not publish or otherwise disclose and shall not use for any purpose any confidential or proprietary information of End-User. 5. Unauthorized Use of ShookIOT Website End-User must not use the ShookIOT Website to take any of the following actions: a. Defame, abuse, harass, stalk, threaten, or otherwise violate the legal right of others; b. Publish, post, upload, e-mail, distribute, or disseminate (collectively, "Transmit") any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful content; c. Transmit files that contain viruses, corrupted files, or any other similar software or programs that may damage or adversely affect the operation of another person's computer, ShookIOT’s website, software, hardware, or telecommunications equipment; d. Advertise or offer to sell any goods or services for any purpose; e. Transmit surveys, contests, pyramid schemes, spam, unsolicited advertising or promotional materials, or chain letters; f. Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or the source of software or other material; g. Restrict or inhibit any other user from using the public areas or their restricted areas within the ShookIOT website; h. Collect or store personal information about other end users, except in compliance with applicable laws; i. Interfere with or disrupt ShookIOT’s website, servers, or networks; j. Impersonate any person or entity, or falsely state or otherwise misrepresent an affiliation with a person or entity; k. Forge headers or manipulate identifiers or other data in order to disguise the origin of any content transmitted through ShookIOT’s website; l. Take any action that imposes an unreasonably or disproportionately large load on ShookIOT’s infrastructure; m. Engage in any illegal activities. 6. Access to and use of the Software End-User shall not: a. Disrupt, interfere with or restrict the use of the Software or the ShookIOT website by other users including, without limitation, denial of service attacks, mail-bombing, flooding or other deliberate attempts to overload the Software or the ShookIOT website; b. Transmit any materials through the Software or the ShookIOT website which are false, offensive, defamatory, threatening, obscene, unlawful, which violate export control laws or which infringe the rights, including but not limited to intellectual property rights, of any other person anywhere in the world; c. Probe, scan or test the vulnerability of the Software or to attempt to circumvent or hack any user authentication or security controls in respect of the Software, or attempt to do so; d. Reverse compile, disassemble, reverse engineer, decompile, copy, duplicate, modify or adapt any code or scripts forming part of the Software or the ShookIOT website (except to the extent permitted by law) or attempt to Transmit to or via the Software or the ShookIOT website any information that contains a virus, worm, Trojan horse or other harmful or disruptive component; e. Attempt to obtain, or assist others in obtaining, access to the functionality of the Software; f. Change, modify, delete, interfere with or misuse any files or other data contained in the Software or the ShookIOT website; or g. Use the Software or the ShookIOT website in contravention of any applicable law. 7. Ownership ShookIOT retains all property, right, title and interest in and to the Software and User Guide, including, without limitation, all trademarks, trade names, copyrights, patents and other intellectual property rights. 8. Warranty Disclaimer The Software, User Guide and other information is delivered to the user “as is” and with all faults. All warranties or conditions, express or implied, including the implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose and infringement and those arising by statute or otherwise in law or from the course of dealings or usage of trade are hereby excluded. ShookIOT does not represent or warrant the performance of the Software, or that the Software will meet any or all of End-User’s particular requirements, or that the Software will operate error-free or uninterrupted, or that all faults in the Software can be corrected. ShookIOT assumes no responsibility, and shall not be liable for any damages to, or viruses that may infect End-User’s computer equipment or other property on account of End-User’s access to, use of, or browsing in the ShookIOT website or downloading of any materials, data, text, images, video, or audio from the ShookIOT website. ShookIOT shall not under any circumstances be liable to any person for any special, incidental, indirect or consequential damages resulting from use of or reliance on the information presented, loss of profits or revenues or costs of replacement goods even if informed in advance of the possibility of such damages. 9. Liability In no event shall ShookIOT be liable for any other damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use of the Software or the ShookIOT website, even if ShookIOT has been advised of the possibility of such damages. The entire risk as to the results and performance of the Software is assumed by End-User. End-User agrees to hold ShookIOT harmless from any loss, damage or claim resulting from its use of the Software and the ShookIOT website. 10. Controlling Law This EULA shall be interpreted in accordance with the laws in force in the Province of Alberta. The parties submit to the exclusive jurisdiction of the courts of the Province of Alberta. I HAVE READ THE TERMS OF THIS EULA AND AGREE TO ALL OF THE PROVISIONS CONTAINED ABOVE. “I ACCEPT”
