1. Terms of Use 1.1. Limited Use: Licensee has the right to use the Licensed Software only in Object Code form, only by those units, entities, departments or other affiliates affiliated with Licensee and only for Licensee's internal data processing. 1.2. Transfer or assignment: Licensee may not transfer or duplicate the Licensed Software. Licensee may not assign, transfer or sublicense its license in whole or in part and may not make the Licensed Software available in any timesharing or rental arrangement, in whole or in part. 1.3. Third Party Software: Licensee acknowledges that the Licensed Software may contain components of software owned by and proprietary to third parties (“Third Party Developers”) and which is supplied by Mariner under license from such Third Party Developers (“Third Party Software”). Title to any Third Party Software shall at all times remain vested in such Third Party Developers. Except for the right of use that is expressly provided to Licensee under this Agreement, no right, title or interest in or to Third Party Software is granted to Licensee. 1.4. Security: Licensee is solely responsible for maintaining the security of the Licensed Software on Licensee’s computer systems, and protecting any data entered or stored in the Licensed Software by Licensee or its authorized users. Licensee releases Mariner and its Third Party Developers from any liability for loss or damage caused by or resulting from any failure or breach of security. 1.5. Licensee agrees that neither it nor anyone acting for it or on its behalf will use the Licensed Software or any portion thereof in any manner not expressly authorized by this Agreement, or in a manner (other than as recommended or contemplated by the Licensed Software documentation) that would impair or interfere with the operation of the Licensed Software or the network upon which it is accessed or accessible. Licensee agrees that the Licensed Software will be used only for lawful purposes. Licensee will not use, or knowingly allow any other person to use the Licensed Software either directly or indirectly, in a manner that (a) violates any rights of others, including but not limited to, infringement of any proprietary rights, copyrights, trademarks, patents, or trade secrets; (b) violates any applicable local, state, national, international or foreign law; or (c) violates any agreement Licensee has with any person or entity.
